WHEREAS, Pennsylvania Association of Non-Profit Homes for the Aging (the
"Owner"), contemporaneously herewith has executed or is about to execute a contract
with Wagman Construction (the "Contractor") for the construction of a building, upon
that certain land now owned by Owner situate in Silver Springs Township, Cumberland
County, Pennsylvania, more particularly bounded and described on Exhibit A attached
hereto.

NOW, this October 1.-'1 .2000, at the time of and immediately before the
execution of the said principal contract, and before any authority has been given by the
Owner to the Contractor to commence work on, or to furnish or purchase materials for
the aforesaid construction, in consideration of the making of said contract with the
Contractor and the further consideration of One Dollar to the Contractor paid by Owner,
it is agreed that no liens or claims shall be filed or made against said building and/ or
land, or any part, piece, parcel or lot thereof, by the Contractor, or any subcontractor, or
by any materialmen, workmen or other persons for or on account of any labor provided
or materials furnished or purchased, or any extra labor or materials provided, furnished

or purchased for said building or construction, hereby expressly waiving any and all
rights to file or make such liens and claims.
AND, in furtherance hereof, the Contractor does hereby represent and warrant
that as of the time of the execution hereof, neither the Contractor, nor any sub-
contractors, materialmen, workmen or any other persons have commenced any work on,
or furnished or purchased any materials for the aforesaid building or construction.
IN WITNESS WHEREOF, the Owner and Contractor, each intending to be legally
bound hereby, have duly executed this Stipulation on the aforesaid day, month and year.

LEGAL DESCRIPTION
ALL THAT CERTAIN tract or parcel of ground situate in Silver Spring
Township, Cumberland County, Pennsylvania, being Lot No.7 on that certain Final
Subdivision Plan for Bent Creek prepared by H. Edward Black & Associates, P.c. dated
March 20, 1997, last revised March 2,1998, and recorded in Cumberland County Plan
Book 76, Page 76 (the "Plan"), as more particularly bounded and described as follows,
to wit:
BEGINNING at a point on the western right-of-way line of Bent Creek Boulevard
(80 feet wide), said point being on the dividing line between Lot 6 and Lot 7 as shown
on the Plan; thence continuing along the said dividing line South 67 degrees 05 minutes
54 seconds West a distance of 284.89 feet to a point at or near the low water mark of the
Conodoguinet Creek; thence continuing in, along and through the Conodoguinet Creek
North 41 degrees 21 minutes 54 seconds West a distance of 279.38 feet to a point on the
dividing line between Lot 7 and Lot 8 as shown on the Plan; thence continuing along
the said dividing line North 67 degrees 05 minutes 54 seconds East a distance of 373.37
feet to a point on the western right-of-way line of Bent Creek Boulevard
aforementioned; thence continuing along same South 22 degrees 54 minutes 06 seconds
East a distance of 265.00 feet to a concrete monument (to be set), said point being the
point and place of BEGINNING.
BEING Lot No.7 and CONTAINING 87,219 square feet or 2.00 acres, more or
less.
