COMPLAINT I. PARTIES 1. Plaintiff High Employee Services, Ltd. is a Pennsylvania corporation maintaining a place of business at 301 Market Street, Lemoyne, Pennsylvania 17043. 2. Defendant M & M Contractors, Inc. is a Pennsylvania corporation with its principal place of business located at 221 West Martin Avenue, Shippensburg, Pennsylvania 17257. II. JURISDICTION 3. This Court has jurisdiction over this matter pursuant to 42 Pa. C.S.A. ~93 L III. VENUE 4. Venue in this matter properly lies in this Court pursuant to Pa. R.Civ.P. 1006 and Pa. R.Civ.P.2179. IV. BACKGROUND 5. In April 1999, M & M Contractors, Inc. entered into an agreement with High Employee Services, Ltd. through which High Employee Services, Ltd. provided M & M Contractors, ',,~--"" Inc. with a temporary employee for use in its business operations at the rate of $21.50 per hour and $32.25 per overtime hour (the "Agreement"). 6. Pursuant to the Agreement and as requested by M & M Contractors, Inc., on April 4, 1999, High Employee Services, Ltd. provided M & M Contractors, Inc. with temporary employee Luke Zimmerman who providedM & M Contractors, Inc. an aggregate amount of forty-two and one- half (42\12) hours of temporary employee services from April 4,1999 through April 8,1999. 7. A true and correct copy of the Time Ticket evidencing Mr. Zimmerman's services to M & M Contractors, Inc. is attached hereto at Appendix "A". 8. Pursuant to the terms and conditions of the Time Ticket, M & M Contractors, Inc. certified that the hours worked by Mr. Zimmerman were correct and that his work was performed in a satisfactory manner. 9. On April 16, 1999, High Employee Services, Ltd. tendered an invoice bearing No. 69151 to M & M Contractors, Inc. for the amount of $951.92 representing the amount due and owing to High Employee Services, Ltd. for the services provided to M & M Contractors, Inc. by Mr. Zimmerman. A true and correct copy of the April 16, 1999 Invoice is attached hereto at Appendix "B". 10. Pursuant to the Agreement and M & M Contractors, Inc.'s continuing request, on April 12, 1999, High Employee Services, Ltd. provided M & M Contractors, Inc. with temporary employee Luke Zimmerman who provided M & M Contractors, Inc. an aggregate amount of forty- four and one-half (44\12) hours of temporary employee services from April 12, 1999 through April 16, 1999. - 2- -",\1)" _'_,roo. ... . , 11. A true and correct copy of the Time Ticket evidencing Mr. Zimmerman's services to M & M Contractors, Inc. is attached hereto at Appendix "A". 12. Pursuant to the terms and conditions of the Time Ticket, M & M Contractors, Inc. certified that the hours worked by Mr. Zimmerman were correct and that his work was performed in a satisfactory manner. 13. On April 23, 1999, High Employee Services, Ltd. tendered an invoice bearing No. 69273 to M & M Contractors, Inc. for the amount of $1,017.19 representing the amount due and owing to High Employee Services, Ltd. for the services provided to M & M Contractors, Inc. by Mr. Zimmerman. A true and correct copy of the April 23, 1999 Invoice is attached hereto at Appendix "B". 14. Pursuant to the Agreement and M & M Contractors, Inc.'s continuing request, on April 19, 1999, High Employee Services, Ltd. provided M & M Contractors, Inc. with temporary employee Luke Zimmerman who provided M & M Contractors, Inc. an aggregate amount of forty- one (41) hours of temporary employee services from April 19, 1999 through April 23, 1999. 15. A true and correct copy of the Time Ticket evidencing Mr. Zimmerman's services to M & M Contractors, Inc. is attached hereto at Appendix "A". 16. Pursuant to the terms and conditions of the Time Ticket, M & M Contractors, Inc. certified that the hours worked by Mr. Zimmerman were correct and that his work was performed in a satisfactory manner. 17. On April 30, 1999, High Employee Services, Ltd. tendered an invoice bearing No. 69397 to M & M Contractors, Inc. for the amount of $902.96 representing the amount due and owing to High Employee Services, Ltd. for the services provided to M & M Contractors, Inc. by -3- '""'- ,<. -.' ...' Mr. Zimmerman. A true and correct copy of the April 30, 1999 Invoice is attached hereto at Appendix "B". 18. Pursuant to the Agreement and M & M Contractors, Inc.' s continuing request, on April 26, 1999, High Employee Services, Ltd. provided M & M Contractors, Inc. with temporary employee Luke Zimmerman who provided M & M Contractors, Inc. an aggregate amount of forty- seven and one-half (4 7Yz) hours of temporary employee services from April 26, 1999 through April 30, 1999. 19. A true and correct copy of the Time Ticket evidencing Mr. Zimmerman's services to M & M Contractors, Inc. is attached hereto at Appendix "A". 20. Pursuant to the terms and conditions of the Time Ticket, M & M Contractors, Inc. certified that the hours worked by Mr. Zimmerman were correct and that his work was performed in a satisfactory manner. 21. In May, 1999, High Employee Services, Ltd. tendered an invoice bearing No. 69529 to M & M Contractors, Inc. for the amount of $1,115.10 representing the amount due and owing to High Employee Services, Ltd. for the services provided to M & M Contractors, Inc. by Mr. Zimmerman. A true and correct copy ofthe May 1999 Invoice is attached hereto at Appendix "B". 22. Pursuant to the Agreement andM & M Contractors, Inc.' s continuing request, on May 3, 1999, High Employee Services, Ltd. provided M & M Contractors, Inc. with temporary employee Luke Zimmerman who provided M & M Contractors, Inc. an aggregate amount of forty-three and one-half (43%) hours of temporary employee services from May 3, 1999 through May 8, 1999. 23. A true and correct copy of the Time Ticket evidencing Mr. Zimmerman's services to M & M Contractors, Inc. is attached hereto at Appendix "A". - 4- '~ ')--' _ ..,-' ',c""'_ " , 24. Pursuant to the terms and conditions of the Time Ticket, M & M Contractors, Inc. certified that the hours worked by Mr. Zimmerman were correct and that his work was performed in a satisfactory manner. 25. On May 14, 1999, High Employee Services, Ltd. tendered an invoice bearing No. 69684' to M & M Contractors, Inc. for the amount of $984. 55 representing the amount due and owing to High Employee Services, Ltd. for the services provided to M & M Contractors, Inc. by Mr. Zimmerman. A true and correct copy of the May 14, 1999 Invoice is attached hereto at Appendix "B". 26. Pursuant to the Agreement and M & M Contractors, Inc. 's continuing request, High Employee Services, Ltd. provided M & M Contractors, Inc. with temporary employee Luke Zimmerman who provided M & M Contractors, Inc. an aggregate amount of forty-five (45) hours of temporary employee services during the week of May 10, 1999. 27. A true and correct copy of the Time Ticket evidencing Mr. Zimmerman's services to M & M Contractors, Inc. is attached hereto at Appendix "A". 28. On May 21, 1999, High Employee Services, Ltd. tendered an invoice bearing No. 69830 to M & M Contractors, Inc. for the amount of $1,033.51 representing the amount due and owing to High Employee Services, Ltd. for the services provided to M & M Contractors, Inc. by Mr. Zimmerman. A true and correct copy of the May 21, 1999 Invoice is attached hereto at Appendix "B". 29. Pursuant to the Agreement andM & M Contractors, Inc.' s continuing request, on May 17, 1999, High Employee Services, Ltd. provided M & M Contractors, Inc. with temporary employee - 5- -~~ -, .y,"\" ,~ ,- , Luke Zimmerman who provided M & M Contractors, Inc. an aggregate amount of four (4) hours of temporary employee services on May 17, 1999. 30. A true and correct copy of the Time Ticket evidencing Mr. Zimmerman's services to M & M Contractors, Inc. on behalf of High Employee Services, Ltd. is attached hereto at Appendix "A". 31. Pursuant to the terms and conditions of the Time Ticket, M & M Contractors, Inc. certified that the hours worked by Mr. Zimmerman were correct and that his work was performed in a satisfactory manner. 32. On May 28, 1999, High Employee Services, Ltd. tendered an invoice bearing No. 69981 to M & M Contractors, Inc. for the amount of $87.03 representing the amount due and owing to High Employee Services, Ltd. for the services provided to M & M Contractors, Inc. by Mr. Zimmerman. A true and correct copy of the May 28, 1999 mvoice is attached hereto at Appendix "B". 33. On December 7,1999, M & M Contractors, Inc. tendered the amount of $127.12 in partial satisfaction of invoice No. 69151. 34. On September 15, 2000, M & M Contractors, Inc. tendered $680.00 to High Employee Services, Ltd. in partial satisfaction of the amount due and owing to High Employee Services, Ltd. pursuant to invoice No. 69151 leaving a remaining balance on the invoice of $144.80. 35. Despite repeated demands by High Employee Services, Ltd., M & M Contractors, Inc. has failed to pay the amount of $5,285.14 presently due to High Employee Services, Ltd. - 6- .';~ ~ ""'" , . . - COUNT I - BREACH OF CONTRACT 36. Paragraphs One (1) through Thirty-Five (35) are incorporated by reference as if fully set forth herein. 37. Pursuant to the terms and conditions of the Agreement and Time Tickets executed by M & M Contractors, Inc., M & M Contractors, Inc. was obligated to tender payment in the amount of $5,285.14 to High Employee Services, Ltd. representing the fair and reasonable value of the temporary employee services provided to M & M Contractors, Inc. by High Employee Services, Ltd. 38. Despite repeated demands by High Employee Services, Ltd., M & M Contractors, Inc. has failed to pay the amount of $5,285.14 currently due and owing to High Employee Services, Ltd. WHEREFORE, Plaintiff High Employee Services, Ltd. seeks judgment against Defendant M & M Contractors, Inc. in the amount of $5,285.14 plus lawful interest and costs of bringing this action. COUNT II . UNJUST ENRICHMENT 39. Paragraphs One (1) through Thirty-Eight (38) are incorporated by reference as if fully set forth herein. 40. As a direct and proximate result of the temporary employee services provided to M & M Contractors, Inc. by High Employee Services, Ltd., M & M Contractors, Inc. directly benefitted from the temporary services without having paid High Employee Services, Ltd., the fair and reasonable value of the services. -7- _nO _,~, " .. 41. As a result ofM & M Contractors, Inc.' s refusal to tender the amounts due and owing to High Employee Services, Ltd. arising out of the temporary employment services provided by High Employee Services, Ltd., M & M Contractors, Inc. has been unjustly enriched by the amount of $5,285.14. WHEREFORE, Plaintiff High Employee Services, Ltd. seeks judgment against Defendant M & M Contractors, Inc. in the amount of $5,285.14 plus lawful interest and costs of bringing this action. COUNT III . OUANTUM MERUIT 42. Paragraphs One (1) through Forty-One (41) are incorporated by reference as iffully set forth herein. 43. M & M Contractors, Inc. directly benefitted from the temporary employee services provided to it by High Employee Services, Ltd. without having paid High Employee Services, Ltd. the fair value of the services. 44. The fair and reasonable market value of the temporary employee services provided by High Employee Services, Ltd. to M & M Contractors, Inc. was $5,285.14. 45. As a result ofM & M Contractors, Inc.' s refusal to tender to High Employee Services, Ltd., the fair and reasonable value of the temporary employee services provided to it by High Employee Services, Ltd., M & M Contractors, Inc. has been unjustly enriched to High Employee Services, Ltd.'s detriment in the amount of $5,285.14. - 8 - >-"~~ ~ -,~' ., WHEREFORE, Plaintiff High Employee Services, Ltd. seeks judgment against Defendant M & M Contractors, Inc. in the amount of $5,285.14 plus lawful interest and costs of bringing this action. COUNT IV - PROMISSORY ESTOPPEL 46. Paragraphs One (I) through Forty-Five (45) are incorporated by reference as if fully set forth herein. 47. Throughout the course of its business relationship with High Employee Services, Ltd., M & M Contractors, Inc. repeatedly promised High Employee Services, Ltd. that it would tender payment for the temporary employee services High Employee Services, Ltd. provided to it at all times relevant hereto. 48. High Employee Services, Ltd. reasonably relied on the representations of M & M Contractors, Inc. when it provided temporary employee services to M & M Contractors, Inc. 49. M & M Contractors, Inc. breached its promise to tender payment to High Employee Services, Ltd. for the temporary employee services High Employee Services, Ltd. provided. 50. As a direct and proximate result of M & M Contractors, Inc.' s breach of promise to Plaintiff High Employee Services, Ltd., High Employee Services, Ltd. has suffered monetary damages in the amount of $5,285.14. Throughout the course of its business relationship with High Employee Services, Ltd., M & M Contractors, lnc. represented to High Employee Services, Ltd. that it would tender to it the required payment for the temporary employee services it received. 53. Said misrepresentations were false. 54. Said representations were material in nature. 55. Said representations were made with knowledge as to their falsity. 56. Said representations were made with the intention of inducing High Employee Services, Ltd. to rely on them by continuing to provide temporary employee services to M & M Contractors, lnc. 57. High Employee Services, Ltd. justifiably relied on the misrepresentations. 58. High Employee made the misrepresentation with the intent to induce the M & M to utilize High Employee's services. 64. By invoicing to M & M a cost of services which exceeded the cost previously quoted to M & M, High Employee breached the contract between M & M and High Employee. 65. Such misrepresentations by High Employee were made with wantonness, ill will and/or reckless indifference to the rights ofM & M as a prospective customer of High Employee.
