Plaintiff is J & S California Enterprises ("J & S"). a general partnership organized
pursuant to the laws of the Commonwealth of Pennsylvania with its main office located
at 19 South Hanover Street, Carlisle, PA 17013,

J & S consists of two partners: Stephen J, Hogg, an adult individual residing at
1040 South West Street, Carlisle, PA 17013, and Jacque A. Hogg, an adult individual
residing at 3664 Mona Way, San Jose, CA 95130,

Defendants are Jerry H, Bogar and Patsy S, Bogar, husband and wife and adult
individuals residing at 1090 Cardinal Drive, Harrisburg, PA 17111 (collectively, the
"Bogars").

On or about September 13, 1999, J & S entered into a written contract with the
Bogars for the purchase of a parcel of real estate, with buildings erected thereon,
located at 109 North Hanover Street, Carlisle, PA 17013 ("Real Estate"). A copy of the
said contract is attached hereto and marked as Exhibit "A" ("Contract"),

Pursuant to the Contract, on or about November 12, 1999, the Bogars conveyed
the Real Estate to J & S by deed recorded in the Office of the Recorder of Deeds in and
for the County of Cumberland, Pennsylvania at Deed Book 211,' Page 789 ("Deed"), A
copy of the said deed is attached hereto and marked as Exhibit "B".

Pursuant to the Contract, the Bogars were to convey to J & S "the lot or piece of
ground with buildings and improvements thereon erected."

By the Deed, the Bogars conveyed all their right, title and interest to the Real
Estate with all the buildings and improvements erected thereon,

J & S fully performed all of its obligations under the Contract.

In connection with marketing of the real estate, Defendants made
representations in the Commercial Property Information Sheet (Information Sheet) to
the effect that the property included a functioning gas water heater system and a
functioning central gas/wall air conditioning system, A copy of said Information Sheet is
attached hereto and marked Exhibit "C",

Nowhere in the Contract or Deed, nor by any unwritten agreement, did the
Bogars reserve the right to retain interest in any portion of the Real Estate, specifically
the rights to retain and remove any fixtures affixed to the Real Estate,

J & S never agreed that the Bogars retained the right to retain and remove any
fixtures from the Real Estate,

Upon or prior to the Sogars vacating the Real Estate on or about November 12,
1999, unbeknownst to J & 5, the Sogars caused or suffered to be removed from the
Real Estate the following fixtures:
a) one 80 gallon gas water heater,
b) one 2 Yo gallon electric water heater, and
c) one 5 ton air conditioning unit.

The aforementioned water heaters and air conditioning unit were fixtures,
permanently and securely attached to the Real Estate at the time the Contract was
formed, (Collectively herein, the "Fixtures",)

The Sogars were not privileged nor did they have the right to remove the Fixtures
from the Real Estate,

Because of the Sogars' outrageous actions, J & 5 was forced to replace the 80
gallon gas water heater at a cost of $2,490,00; the 2 Yo gallon electric water heater at a
cost of $425,00; and the 5 ton air conditioning unit at a cost of $2,260.00, for a total cost
of $5,175,00,

The amount sought by J & 5 pursuant to this suit does not exceed the
jurisdictional limit for compulsory arbitration in Cumberland County, Pennsylvania,

Upon information and belief, the Sogars fraudulently caused the Fixtures to be
removed from the Real Estate, as the Sogars knew the Fixtures were affixed to the Real
Estate and that title passed to J & 8 at closing, along with the rest of the Real Estate;
further, the Sogars disregarded J & 8's ownership rights to the Fixtures by
surreptitiously and deceptively removing the Fixtures from the Real Estate knowing their
actions were contrary to the rights of J & S,

The Sogars' fraudulent actions caused J & S to incur damages in the form of
expenses in the amount of $5,175,00 to replace the Fixtures, as well as distress and
other incidental and consequential damages, including attorneys fees and costs in
pursuing this action,

The Sogars' actions were outrageous and reprehensible.
WHEREFORE, Plaintiff seeks a judgment against Defendants in an amount
equal to the costs incurred to replace the Fixtures, interest from the date of the fraud,
costs and attorneys fees incurred in pursuing this action, punitive damages, and any
other relief that the Court deems proper and just.

The Sogars intentionally took dominion and control over the Fixtures by causing
the removal of the Fixtures from the Real Estate and retaining possession of the
Fixtures.

J & 5 was, and remains, entitled to possession of the Fixtures, as J & 5 gained
ownership of all rights incidental to the Fixtures upon the conveyance of the Deed to the
Real Estate and upon payment of full consideration by J & 5 to the Sogars for the Real
Estate,

The Sogars substantially interfered with J & 5's possession of the Fixtures by
removing the Fixtures from the Real Estate without permission or privilege,

The fair market value of the Fixtures at the time of the conversion was $5,175,00,
as that is the cost incurred by J & 5 to replace the Fixtures,
WHEREFORE, Plaintiff seeks a judgment against Defendants in an amount
equal to the fair market value of the Fixtures at the time of conversion, with replacement
cost being the measure therefor; interest from the date of the conversion; costs incurred
in pursuing this action; and any other relief that the Court deems proper and just.

The Sogars covenanted, warrantied and promised to J & 5 that the Sogars would
convey the Real Estate to J & 5, which real estate included all buildings and
improvements erected thereon.

Fixtures are a part of a building or improvements to real estate,

The Sogars breached the Contract by removing the Fixtures from the Real
Estate, thereby failing to convey all improvements erected on the Real Estate,

The Sogars' breach was substantial and material, causing J & 5 to incur
damages in the nature of expenses in the amount of $5,175,00 to replace the Fixtures,
as well as causing J & 5 distress and other incidental and consequential damages,
WHEREFORE, Plaintiff seeks a judgment against Defendants in an amount
equal to the cost necessary to replace the Fixtures, interest from the date of the breach,
costs incurred in pursuing this action, and any other relief that the Court deems proper
and just.

Representations made by the Bogars to the effect that the Property included a
functioning gas water heater system and a functioning central gas/wall air conditioning
system inferred that the necessary major items with respect to a gas water heater
system and with respect to a air conditioning system are in existence and in place at the
property.

The removal of the items as set forth in Paragraph 12 above constituted a breach
of the representations made by the Bogars in connection with the sale of the property to
J &8,
WHEREFORE, Plaintiff seeks a judgment against Defendants in an amount equal to the
costs necessary to replace the fixtures, interest from the date of the breach, costs
incurred in pursuing this action, and any other relief that the court deems proper and
just.

AND now comes the Defendants, JERRYH. BOGAR and PATSY A BOGAR, by their
attorney, Wm, If, Nast, Jr" who hereby Answers the Complaint heretofore filed in the above
styled matter, as follows:
Paragraphs 1 through 8, Admitted,
9, It is admitted that the Defendants made representations in the Commercial Property
Information Sheet ("Information Sheet") supplied to Wolfe & Shearer Realtors in connection with
their employment to sell the subject premises pursuant to a "Listing Agreement" dated May 18,
1999 to the effect that the property included a "gas water heater svstem" and a "central gas/wall
air conditioning svstem", It is further averred that at no time did the Defendants represent that
"one 80 gallon gas water heater", "one 2 Y2 gallon electric water heater" and "one 5 ton air
conditioning unit" were on the subject premises or part of the real estate to be conveyed by them
to the Plaintiff. For further answer, the Defendants aver that the aforesaid personalty had been
removed from the premises in August or September, 1998, approximately eight months before the
aforesaid Information Sheet was completed and Plaintiff inspected the premises, which first
occurred on or about August 20, 1999, Finally, it is averred that the aforesaid information was
conveyed to the Plaintiff prior to the filing of the Complaint.
10, The allegations of this Paragraph are neither admitted nor denied, Since the
equipment alleged to be "fixtures" were not located on the subject premises at the time the
property was inspected nor at the time the sale of the property was concluded nor at the time of
settlement of the property, these allegations are not relevant and no answer is required,

settlement and further that, to the best of the Bogars' information and belief, the Plaintiff at no
time had access to the Information Sheet nor to any representations made by the Bogars or their
agent regarding the equipment at issue here, Further, the Plaintiff inspected the premises on or
about August 20, 1999, and had its agent, Lloyd's Home Inspection Inc" visually inspect the
property on October 25, 1999; on both of these occasions the equipment at issue was not on the
premises and could not have been seen by the Plaintiff or its agent.
