Plaintiff, ORIX Financial Services, Inc. f/k/a ORIX Credit Alliance, Inc. (nORIxn), is a New York corporation with its principal place of business at 300 Lighting Way, Secaucus, NJ 07096-1525. 2. Defendant, Max H. Swartz ("Swartz"), is an individual residing at and/or doing business at 247 Carlisle Road. Newville, PA 17241. 3. Defendant, Betty L. Swartz ("Betty Swartz"), in an individual residing at and/or doing business at 247 Carlisle Road, Newville, P A 17241. 4. On or about August 14, 1998, OCAI and Swartz entered into a Security Agreement - Mortgage on Goods and Chattels in connection with the purchase of one (I) 1999 Kenworth Tractor described below, and Promissory Note in the face amount of $123,912.60 ("Note and Security Agreement #1"). A true copy of the Note and Security Agreement #1 are annexed hereto as Exhibit A. ~ ",,- '-, , ( ! I ) ( I ,. -. -- .~ ". , . ~- ~.cl..:i~: ~ 5. Pursuant to Note and Security Agreement #1, Swartz granted to OCAl a security interest in one (1) 1999 Kenworth Tractor, sin lXKWD69X7XJ796918, including all attachments and accessories (" 1999 Tractor"). 6. The 1999 Tractor was delivered to Swartz on or about August 14, 1998. A true copy of the Delivery/Installation Certificate, Waiver and Agreement is annexed as Exhibit B hereto. 7. Pursuant to the Note and Security Agreement #1, Swartz granted, assigned. transferred, bargained, conveyed, confirmed, pledged, and mortgaged to OCAI a security interest in the 1999 Tractor as well as a security interest in any and all other documents, instruments, chattel paper, goods, general intangibles, inventory, machinery, contract rights, equipment, fixtures, accounts and insurance in which Swartz then or thereafter had any right or interest, together with all accessions, attachments, replacements, substitutions and accessories thereto then or thereafter belonging to Swartz, wherever located, and all proceeds, and any distribution thereof and any insurance thereon, products and rent therefrom to have and to hold the same unto ORIX Credit Alliance, Inc. forever ("Additional Collateral # 1 "). 8. OCAI perfected its security interest in the 1999 Tractor by notation of its lien on the Certificate of Title. A true copy ofthe Certificate of Title is annexed hereto as Exhibit C. 9. OCAI perfected its security interest in Additional Collateral #1 by filing Financing Statements with the Pennsylvania Department of State and the Cumberland County Prothonotary's Office. True copies of the Financing Statements are annexed as Exhibit D hereto. 10. On or about August 14,1998, Swartz executed a second Security Agreement- Mortgage on Goods and Chattels and Promissory Note in the face amount of $96,880.00 (the "Note and I '''Security Agreement #2") in connection with the purchase of one (1) 1997 Kenworth Tractor ("1997 Tractor"), more fully described in Scheduled "A" annexed to the Security Agreement. True copies of the Note and Security Agreement #2 are annexed as Exhibit E hereto. 11. The 1997 Tractor was delivered to Swartz on or about August 14, 1998. A true copy of the Delivery/Installation Certificate, Waiver and Agreement is annexed as Exhibit F hereto. 12. Pursuant to the Note and Security Agreement #2, Swartz granted, assigned, transferred, bargained, conveyed, confirmed, pledged, and mortgaged to OCAI a security interest in the , ~ "'-. -j, - ~- ~ - LL _'>~" 1997 Tractor as well as in any and all other documents, instruments, chattel paper, goods, general intangibles, inventory, machinery, contract rights, equipment, fixtures, accounts and insurance in which Swartz then or thereafter had any right or interest, together with all accessions, attachments, replace- ments, substitutions and accessories then or thereafter belonging to Swartz, wherever located, and all proceeds, and any distribution thereof and any insurance thereon, products and rent therefrom to have and to hold the same unto ORIX Credit Alliance, Inc. forever ("Additional Collateral #2"). 13. OCAI perfected its security interest in the 1997 Tractor by notation of its lien on the Certificate of Title. A true copy of the Certificate of Title is annexed hereto as Exhibit G. 14. OCAI perfected its security interest in the Additional Collateral #2 by filing Financing Statements with the Pennsylvania Department of State and the Cumberland County Prothonotary's Office. True copies ofthe Financing Statements are annexed hereto as Exhibit H. 15. On or about August 14, 1998, Betty Swartz executed and delivered to ORIX a Guaranty of all the obligations of Max H. Swartz to ORIX. A true copy of the Guaranty is annexed as Exhibit I hereto. 16. Defendants Max H. Swartz and Betty L. Swartz have defaulted in their obliga- tions under the Note and Security Agreements # I and 2 and the Guaranty, by inter alia failing to make monthly payments. Said defendants have an outstanding balance due to ORIX under the Note and Security Agreement #1 in the amount of$86,142.21 plus late fees of$I,014.78 through October 25, 2000, attorney's fees in the amount of 15% of the contract balance, and costs of suit. There is also due and owing by said defendants to ORIX on the Note and Security Agreement #2 the sum of $52,132.27, attorney's fees in the amount of 15% of the contract balance, continuing late charges and costs of suit. 17. The debt involved arises from a business transaction and not from a consumer transaction. 18. Judgment has not been entered heretofore on the Notes in any jurisdiction. 19. Defendant Swartz authorized confession of judgment in the Security Agree- . ments. 20.
