DEFENDANT'S PRETRIAL MEMORANDUM
1. The action in Replevin asked for the return of documents Plaintiff claimed to have been
documents owned by Plaintiff The bulk of the documents that were in the possession of
Defendant as a result of her extensive work fitr Plaintiff consisted of two types: 209 documents
which were prepared solely by Defendant and were the work product of Defendant, and 2'1
separate various documents which were obtained from Plaintiff and intermingled with tbe w(\n:
product of Defendant.

5. In the meantime, on February 12,2001, Defendant's counsel wrote to Plaintiff's counsel
to advise if they needed any particular document with a "high priority in terms of their criticality
to your client's operations." Letter attached.

6. When counsel reviewed the documents along with Defendant at the suggestion of
Plaintiff's attornt~y, counsel randomly selected and gave to Plaintiff's counsel about two
documents as an example of Defendant's work product. Plaintiffs counsel later told
Defendant's counsel that the documents appeared to belong to Plaintiff.
7. Defendant promptly turned over to Plaintiff 29 documents on February 19, 2002.
8. This was an honest mistake and was corrected when Defendant realized that all of the
documents were not her work product.
9. Subsequently, Defendant decided on her own initiative to make available her own work
product, which she was not compelled to do.
10. On or about April 12, 2002 Defendant and her counsel reviewed all of the documents,
There were two or more files for each employee. Each file had documents prepared by
Dettmdant. Some but not all file folders had Plaintiffs employee documents, 29 in number.
11. On or about April 15, 2002, Defendant delivered to and Plaintiff receipted for the
separate employee file folders with each separate document numbered, from I to 209. All
documents were contained in a plastic file container.
12. The list will be presented at pre-trial.
13. An accompanying letter dated April 15, 2002 from Defendant to Plaintiff indicated thaI
the entire container of files was delivered for the use of the client for purposes relating to its
business, with the files remaining the property and work product of Defendant, to be available to
her for preparatIOn of and conduct of trial.

Defendant had spent a substantial amount of time in preparing documents which were
to
part of her contracted duties.
15. Defendant was not compelled to turn over the work product but did so for the purpose of
facilitating a settlement of the case and to avoid any problems of fill emergency nature.
16. No additional legal fees should be imposed under these circumstances, since there was no
malice or intent to hide or prevent access or to return Plaintiffs documents.
17. Defendant may nof have been obligated to return the documents in any event under the
circumstances of this case. However, upon discovery, the documents were immediately
returned. And subsequently even the work product was delivered to Plaintiff.
18. The normal process of discovery, which is obviously a right of Plaintiff, would have
determined the existence of the documents, since there would be absolutely no reason to deny the
existence of documents known to exist.
19. The claim for fees are notj\lstified and the amount claimed IS exorbitant and unnecessary.
20. The letters of Defendant's counsel stating that the records were produced by Defehdant
was based upon information supplied by Defendant, based on her honest recollection of origin of
the documents, and caused by the length of time that elapsed since May 2000, and by her
forgetfulness.
21. With respect to settlement: contrary to the claim that settlement negotiations have not
been discussed, negotiations were discussed several times by correspondence and personally by
phone between counsel.

I received your brief today.
I have talked to my client in more d,:raiI concerning the case,

It appears from the correspondence that there were a number of misunderstandings.
Drafts of plans were completed sometime around May, 2000, The drafts were sent to Arlington
over a period from February to June, 2000. A substantial number of letters were sent concerning
the work, There appear to be absolutely no responses from Arlington, No draft of the fire plan
was sent; however, it is completed, It was not delivered because of failure to pay the balance of
funds,
Training sessions were set up. Few or no persons attended,
Rather than get involved in extensive countercharge, cOllcerning the rights and obligations of
each party, my client will accept paymct,1 of S I ,690 (S 1,000 for plans and $690 for training) and
return your client's records, waiving late charges.
In the interim, please advise which docume:\t;; have a high priority of return in terms of their

PETITION TO COMPEL PRODUCTION
AND NOW comes Plaintiff The Arlington Group, Inc. by their undersigned counsel
Smigel, Anderson & Sacks, LLP and petition this Court to Compel Defendant to produce
documents for inspections:
1. Plaintiff is The Arlington Group, Inc., a Pennsylvania corporation with its
principal place of business at 805 Sir Thomas Court, Harrisburg, Dauphin County, Pennsylvania.
2. Defendant is Beth A. Burkholder, an adult individual, doing business as B.A.
Burkholder Consulting, with an address of 304 South Filbert Street, Mechanicsburg, Cumberland
County, Pennsylvania.
3. This action was initiated by filing a Complaint in Replevin on December 7,2000.
4. The basis of the Complaint is the return of certain personal employee records in
the possession of Defendant.
5. The records at issue were created by Plaintiff and provided to Defendant in order
for her to maintain a filing system.
6. It is Defendant's contention that these records were produced by her and thus are
her own work product.
7. On or about August 29, 2001, Plaintiffs attorney viewed the documents in
question, being maintained at the office of the Defendant's attorney.

8. On or about August 29, 2001, Plaintiffs attorney and Defendant's attorney
discussed the possibility of having a representative of Plaintiff view the records.
9. On or about October I, 2001, Plaintiffs attorney provided Plaintiff with copies of
certain documents which were copied from the documents in the Defendant's attorney's
possessIOn.
10. Plaintiff, upon inspecting the documents, verified that they were the original
records that Plaintiff provided to Defendant.
II. On or about October 10, 200 I, Plaintiff telephoned Defendant to set a mutually
agreed upon time to view the records.
12. On or about October 15, 2001, Plaintiff wrote to Defendant requesting to know
how Defendant claims the records are hers when many were dated prior to Defendant's
employment with Plaintiff.
13. On or about December 20, 200 I, Plaintiff again requested Defendant provide a
suitable time for Plaintiff to inspect the records.
14. To date, Plaintiffs repeated requests for inspection of records has been ignored.
15. Defendant has willfully failed, neglected and refused to cooperate in the
resolution of this matter in a deliberate attempt to stall and/or halt these proceedings.
16. As a result of Defendant' s failure to provide the requested documentation,
Plaintiff has incurred additional costs and fees and will continue to incur additional costs and
attorney fees in connection with enforcing the Order of the Court.

Plaintiff, The Arlington Group, Inc., is a Pennsylvania corporation with its
principal place of business at 805 Sir Thomas Court, Harrisburg, Dauphin County, Pennsylvania,
and is qualified to do business in the Commonwealth of Pennsylvania.
2. Defendant, Beth A. Burkholder, is an adult individual, doing business as B.A.
Burkholder Consulting, with an address of 304 South Filbert Street, Mechanicsburg,
Cumberland County, Pennsylvania.
3. The transaction and occurrences out of which this cause of action arose took place
in Cumberland County, Pennsylvania.
4. On or about October 11, 1999, Plaintiff, The Arlington Group, Inc., and
Defendant, Beth A. Burkholder, entered into a contract where Plaintiff was to pay Defendant
$5,000.00 in retum for consulting work. Please see Exhibit "A", attached hereto and by
reference made a part hereof.
5. On or about the above date, Plaintiff, The Arlington Group, Inc., in reliance on
the aforesaid promise, delivered to Defendant, Beth A. Burkholder, certain employee records.

6. A dispute arose between Plaintiff, The Arlington Group, Inc., and Defendant,
Beth A. Burkholder, concerning charges of$l 1,000, well in excess ofthe agreed contract price.

using same, all to its damage, in the sum of$50,000.00.

Defendant for (l) the possession and delivery of all of the above itemized property; or (2) the

OPINION AND ORDER
In this case, the defendant has filed preliminary objections alleging that the plaintiffs
complaint fails to conform to law and specifically that the dispute between the parties ought to be
sent to arbitration. By way ofa factual background, on October II, 1999, the plaintiff in this
matter, Arlington Group, Inc., (Arlington) entered into a contract with the defendant, B.A.
Burkholder Consulting (Burkholder). The contract required the defendant to perform certain
consulting services in exchange for payment from the plaintiff. The parties agreed that all of the
disputes under the contract would be resolved through binding arbitration. The contract was
eventually terminated on April 15, 2000. On December 14,2000, the plaintiff filed the instant
claim in replevin to reclaim business and employee records held by the defendant. The plaintiff
also seeks the value of the property if not returned and related damages.
DISCUSSION
In matters involving one party's attempt to prevent the other party from proceeding to
arbitration, judicial inquiry is limited to determining (I) whether a valid agreement to arbitrate
exists between the parties and, if so, (2) whether the dispute involved is within the scope of the

arbitration provision. Smith v. Cumberland Group, 455 Pa.Super. 276, 687 A.2d 1167 (1997).
In this case, it is quite clear that a valid agreement to arbitrate exists between the parties. Thus,
the only question left to consider is whether a dispute regarding the detention of physical
property falls within the purview of the arbitration clause.
In deteITIlining the scope of the arbitration clause, it is necessary to examine the intent of
the parties. "Courts should apply the rules of contractual construction, adopting an interpretation
that gives paramount importance to the intent of the parties..." Midomo Co. v. Presbyterian
Hous. Dev. Co., 739 A.2d 180 (Pa.Super. 1999). The contractual agreement between the parties
contains an arbitration clause that states that all disputes arising under the contract are to be
resolved through binding arbitration. The defendant asserts that disputes relating to the detention
of the plaintiff's business and employee records fall under the contract. In light of the fact that
the business and employee records have no relation at all to the contract, we conclude that this
type of dispute was not something which both parties intended to arbitrate.
The defendant relies on Shadduck v. Christopher 1. Kaclik, Inc., 713 A.2d 635 (Pa.Super.
1998) to support the proposition that arbitration is appropriate in this case. Shadduck dealt with
property owners who entered into a building agreement with a contractor. The owners later filed
a complaint alleging that the builder made false representations regarding his ability to construct
the house in a workmanlike manner and that he engaged in unfair and deceptive trade practices.
In Shadduck, the relevant language of the arbitration clause entered into by the parties stated that
"[ a]ll claims or disputes between the Contractor and the Owner arising out of, or relating to, this
Contract or the breach thereof shall be decided with arbitration. . ." Id. at 637. As a result of that
language, the court held that the parties intended to submit all of their grievances to arbitration,

regardless of whether the claims were based in tort or contract. Id. Shadduck can be
distinguished on both the facts of this case as well as on the language of the arbitration clause
itself.
Although the defendant in the instant case points out that the language in the arbitration
clause is similar to the clause in Shadduck, it is clear that they are not identical. The relevant
portion of the arbitration clause in the instant case states that "[a]1I disputes hereunder shall be
resolved by binding arbitration." In contrast, the language of the Shadduck arbitration clause
includes the extra terms "arising out of, or relating to, this contract. . ." Id. In Shadduck, the
dispute between the parties directly related to the construction of the home, specifically the
quality (or lack thereof) of the workmanship. In the instant case, the dispute over the retention of
documents has nothing to do with the subject of the contract. The contract makes no mention as
to either the exchange of these documents or the defendant's need for them. It cannot be said
therefore that the parties intended this replevin matter to be submitted to arbitration.

The Plaintiff, Arlington Group, Inc., through their undersigned counsel, Smigel,
Anderson & Sacks, moves this Court pursuant to Pa.R.C.P. 4012(a) for the entry of a Protective
Order, and sets forth the following in support:
1. Plaintiff began this action by filing a Complaint in Replevin on December 7,
2000.
2. On January 10, 2001, Defendant filed Preliminary Objections based on the
following grounds: a) alleged failure of pleading to conform to law or rule of Court and b)
alleged insufficient specificity in the pleading. If Defendant's Preliminary Obj ections are
granted, Plaintiffs Complaint will be dismissed in its entirety.
3. Plaintiff elected to stand on its Complaint and accordingly, argument was held on
Defendant's Preliminary Objections on February 14,2001 before Judges Bayley and Hess.
4. By way of letter dated February 16, 2001, Defendant sent Plaintiff copies of
requested invoices and bills. Attached to the last page of the letter was a notice of deposition for
Plaintiffs President, Dr. Rex A. Herbert.
5. Plaintiff objects to the deposition as being premature. A final Order sustaining or
overruling Defendant's Preliminary Objections has not been issued and any notice for deposition
is premature at this juncture.

6. Plaintiff further objects to the deposition in that it is sought in bad faith in

Defendant's deposition of Plaintiffs representative until such time as the pending Preliminary

1. This case was instituted by Praecipe to Issue Writ of Summons on December 20,
2000. The Praecipe to Reissue the Writ with regard to Defendant, Tomlinson, who lives in
Montgomery County was filed on January 30, 2001. The undersigned is awaiting word on
whether he was served by the Montgomery County Sheriff's office.
2. The Praecipe to Reissue the Writ of Summons was reissued on February 1, 2001,
against Defendant, Cardinal Freight Carriers, Inc. and Defendant, Gary Allan Jansen.

3. Cardinal Freight Carriers, Inc. is located in South Holland, Illinois. Cardinal
Freight Carriers, Inc. was served by Certified, Return Receipt Mail. A copy of the signed return
receipt is attached and incorporated herein as Exhibit "A".
4. Defendant, Gary Allan Jansen, is located in Lake Helen, Florida. Service of the
Writ was attempted upon him at that address. Themail was returned. The post office stamped it
"Returned to Sender" and was received in the undersigned's office on February 13,2001. The
post office tried to deliver the mail and notified the Claimant of the mail on January 22,2001,
January 29, 2001 and February 7, 2001. A copy of the returned envelope is attached hereto and
incorporated herein as Exhibit ''B''.
5. Service on Gary Allan Jansen was attempted again by certified mail. The mail
was returned to the undersigned's office on February 26, 2001 with the notation ''Unclaimed''
and notice from the Post Office having been sent to Gary Allan Jansen on February 5, 2001,
February 15, 2001 and February 21,2001. See Exhibit "C" attached hereto and incorporated
herein.
6. A Request for Change of Address or Boxholder Information Needed for Service
of Legal Process was sent to the post office at Lake Helen, Florida, inquiring whether 150 East
Washington Street, Lake Helen, Florida 32744 was a valid address for Gary Allan Jansen. The
post office responded "Good as addressed". A copy of the Request for Change of Address or
Boxholder Information Needed for Service of a Legal Process is attached hereto, incorporated
herein and marked Exhibit "D".
7. Pursuant toPa. RC.P. 403, Plaintiffrequests this Honorable Court permit
Plaintiff to serve the Writ upon Defendant, Gary Allan Jansen by regular mail addressed to him
at 150 East Washington Street, Lake Helen, Florida 32744.

9, Denied, Defendant has not wrongfully and without consent withheld any property; on the
contrary, Defendant has no obligation to deliver any documents, records, or plans prepared until
Defendant is paid in full.
10, Denied that Defendant has wrongfully detained any property of Plaintiff since October
11, 1999 or at any time; on the contrary, Defendant has a right to her work product and to
payment prior to delivery of the work product. Some portions of her work product have been

contrary, work was done in accordance with fee schedule in Exhibit A of contract attached hereto
and made a part hereof: $5,000,00 plus work at unit fees and type work.
5, Denied. On the contrary, no records or documents were delivered to Defendant.
Otherwise, after reasonable investigation Defendant is without knowledge or information
sufficient to form a belief as to the truth of the averment.
6, Admitted that a dispute arose and there were specific charges made, Denied that
$11,000,00 was paid and that the amount was the total of all charges owed by Plaintiff to
Defendant and denied that the amount of$II,OOO,OO was "well in excess of the agreed contract
price", On the contrary, the amounts charged were fair and reasonable and in accordance with
the contract and services performed, Denied, After reasonable investigation Defendant is
without knowledge or information sufficient to form a belief as to the truth of the averment.
7. Denied that Plaintiff is entitled to the immediate possession of any document, records, or
personal property in the possession of Defendant. On the contrary, Plaintiff is not entitled to

possession of any document prepared, since no documents were delivered to Defendant for
which a demand for return can be honored; all documents, records, and plans were generated by
Defendant who has not been paid in full for her work product.
8, Denied, Defendant is without knowledge or information sufficient to form a belief as to
the truth or falsity of the averment, which lacks specificity, which cannot be answered. Proof is
demanded,
9. Denied, Defendant has not wrongfully and without consent withheld any property; on the
contrary, Defendant has no obligation to deliver any documents, records, or plans prepared until
Defendant is paid in full,
10, Denied that Defendant has wrongfully detained any property of Plaintiff since October
11, 1999 or at any time; on the contrary, Defendant has a right to her work product and to
payment prior to delivery of the work product. Some portions of her work product have been
delivered to Plaintiff,
11, Denied that Plaintiff demanded in writing or verbally for the return of any property until
the letter of counsel on September 8, 2000 as set forth in Exhibit B, which is admitted.
12, Denied that Defendant has wrongfully detained any property of Plaintiff and that any
actions of Defendant has prevented Plaintiff from using all or any portion of the property, so
long as Plaintiff pays the balance of the fee, Denied that Plaintiff has suffered any damage in
any amount. After reasonable investigation, Defendant is without knowledge or information
sufficient to form a belief as to the truth of the averment.
WHEREFORE, Defendant prays the Court to dismiss the complaint.

AND NOW comes Plaintiff, by its attomeys Smigel, Anderson & Sacks, and files the
following Preliminary Objections to Defendant's New Matter.
I. PRELIMINARY OBJECTION ON GROUNDS OF LACK OF CONFORMITY TO
LAW.
1. Paragraph 14 of the New Matter attaches the fee structure, Exhibit A, ofthe
contract between the parties but fails to attach the contract in its entirety,
2, Paragraph 15 of Defendant's New Matter lists various additional services that
Defendant performed, "such as additional training sessions requested by Plaintiff
and required because of the state of lack of compliance, requiring additional
sessions, which was not ascertained until inventory of work required was
performed,"
3, The allegations contained in paragraph 15 do not contain the actual specificity
required by law nor are they supported by factual allegations,
4. Defendant has failed to attach documentation proving such additional training was
accomplished.
5. In accordance with Pa.R.C,P.1019 "the material facts upon which a cause of
action or defense is based shall be stated in a concise and summary form."
6, Defendant failed to specifically and concisely set forth the material facts and has
failed to attach the appropriate exhibits to the New Matter,
7, As such, paragraphs 14 through 17 of Defendant's New Matter fail to conform to
law and should be dismissed,

II. PRELIMINARY OBJECTION ON GROUND OF PRIOR AGREEMENT FOR

amount of $5,000, as well as additional training sessions,

IN RE: PRETRIAL CONFERENCE
Present at a pretrial conference held May 31, 2002, were Pete M, Monismith, Esquire,
attorney for the plaintiff, and John H. Broujos, Esquire, attorney for the defendant. This is a
replevin action in which the plaintiff had sought various records and documents which it
contended were being wrongfully withheld by the defendant. The documents have since been
returned and the matter continues as a claim for counsel fees pursuant to 42 P,S, 2503.
The defendant claims, among other things, that she withheld certain documents because
she believed she had not been fully paid for her services in connection with her contract with the
plaintiff, The matter of any fees that might be owing is the subject of a separate arbitration, If
this matter is heard prior to the resolution of the arbitration matter, the court will assume, for the
purposes ofthis hearing, that the defendant had a good faith belief that she was underpaid,
Whether or not her withholding of documents under these circumstances was justified will be a
question to be addressed in the context of this matter.
Counsel believe that they could reach agreement with regard to the admission of
correspondence between the parties, Plaintiff s counsel will make available to the defendant a
record of his attorney's fees,

Dear Lee:
1 received your brief today,
I have talked to my client in more detail concerning the case.
She advises me that the balance owed according to her records is S 1 ,690, Bill in that amount
which had been sent May 26, 2000 is enclosed.
It appears from the correspondence that there were a number of misunderstandings.
Drafts of plans were completed sometime around May, 2000. The drafts were sent to Arlington
over a period frorn February to June, 2000. A substantial number of letters were sent concerning
the work. There appear to be absolutely no responses from Arlington. No draft of the fire plan
was sent; however, it is completed, It was not delivered because of failure to pay the balance of
funds.
Training sessions were set up. Few or no persons attended.
Rather than get involved in extensive countercharges concerning the rights and obligations of
each party, my client will accept payment of S 1,690 ($1,000 for plans and $690 for training) and
return your client's records, waiving late charges.
In the interim, please advise which documents have a high priority of return in terms of their
criticality to your client's operations.

I aro the attomey for The Arlington Group, which has retained me to resolve several
issues regarding the Contractor Agreement of October 11, 1999, As you may know, I spoke with
Attomey John Broujos, who was represented to me as your attomey in this matter, but I have not
received any response from him over the past six weeks, I aro sending copy of this letter to him
in the event you have retained his services,
The first concern is the most immediate, I have been advised that you have refused to
return employee records to The Arlington Group despite repeated requests to do so. These
records do not belong to you and you have no authority to retain them, You are now requested to
deliver these records to The Arlington Group immediately. If you do not comply, we may file
SUll. '
The second concern is to address the completion of your work product. I have been
presented with a contractthat indicates you would complete your consulting work for $5,000,
subject to additions and deductions pursuant to authorized change orders. You have been paid
more than twice this aroount and have yet to deliver a product. It is my understanding that you
now refuse to deliver any product without even more money,

Dear John:
My clients advise me that Ms. Burkholder took all employee records, immunization records, and
health records. The employee records and immunization records were contained in folders that were
either red or blue in color, There should have been two folders per employee and there were eighty to
ninety employees involved. The information in the folders was confidential but we believe that there
were several sheets of paper in each folder, The records included health records, shot records, TB
testing, OSHA training, etc, With regard to the health records, we believe that they were initially blank
forms created by Ms, Burkholder but that the information on them was placed there by the employees
themselves, These are the records we are referring to. It surely seems to me that Ms, Burkholder would
know if she took between 160 and 180 colored folders from Arlington's office, If she does not have
them, then there is a serious issue as to where they went.
Please talk to your client and let me know if she has possession of these folders,

Dear Attorney Broujos:
I have spoken with my client in regards to the records which I had copied from your
office, I have confirmed that the majority of those records were produced by my client. While it
is certainly agreed that your client originated the "Infection Control Education and Training
Record", your client can certainly not believe that the medical records are her work product.
Several of the medical records which I had copied were dated in 1997, I would be very
interested to know how your client can claim that these records were produced by her when they
are dated years before she even began working there.
The next issue is the deposition of Dr. Herbert, which this office had no prior notice of,
Unfortunately, Dr, Herbert has surgery scheduled for that day. I would propose that we
coordinate our calendars along with Dr, Herbert's in order to facilitate an appropriate time for the
deposition, I am waiting to hear back from Dr, Herbert's office regarding available dates and
times for the deposition, I intend to file a Motion for Protective Order,

Dear Attorney Broujos:
I would like to fonnally respond to the matters we discussed during our telephone
coilversation on January 29, 2002, As you recall, we discussed your settlement offer as well as
the pending arbitration,
It is my understanding that your client proposes to turn over all the documents in her
possession once she receives a check in the amount of$5,OOO, which she believes is the balance
owed on the contract. As you recall, I cited 2 problems with that proposal. First, our belief is
that there is no money owed to your client. In fact, our clients have actually substantially
overpaid for services due under the contract. Second, in either event, your client has no legal
right to withhold the documents which were provided to her from my client. I realize your
continued stance is that these documents are your client's work product. That is why I have
several times prior to this correspondence requested a convenient date and time where a
representative from The Arlington Group, Inc, could view the records to verifY the documents in
question,
Further, you requested to have a board of arbitrators hear the dispute rather than having it
resolved by binding arbitration in accordance with the rules of the American Arbitration
Association. I find this offer unacceptable for the simple fact that throughout this dispute, your
client has continually stressed that our action in Replevin is one to resolve by arbitration in
accordance with the contract. I find it ironic that your client now changes her position and
