ORDERED that (1) the proposed sale of assets of Forest Park Health Center by
PHI and Presbyterian Homes, Inc. to Guardian Elder Care Management, Inc. and
its affiliates in accordance with the Asset Purchase Agreement dated December
27, 2006 is hereby approved; (2) the sale of the assets of Forest Park Health
Center to Guardian Elder Care Management, Inc. and its affiliates is consistent
with Petitioner's charitable purpose pursuant to Section 5547(b) of the
Pennsylvania Nonprofit Corporation Law; and (3) Petitioner's disposition of the
proceeds from the sale of Forest Park to develop facilities offering a fu~) ~--;
