RECEIPT AND RELEASE AGREEMENT
WHEREAS, The Order of the Orphans' Court, dated November 28,2006, approved and
confirmed absolutely the First and Final Account of Community Trust Company, as
Trustee for the Osmun Family Trust and ordered distribution be made in accordance with
the Statement of Proposed Distribution;
WHEREAS, The aforesaid Statement of Proposed Distribution provides that Neil C.
Osmun shall receive sixty percent (60%) or the sum of $71 ,791.19 as a remainder
beneficiary of the Osmun Family Trust (hereinafter called the "Trust");
WHEREAS, The aforesaid Statement of Proposed Distribution provides that E. Richard
Osmun shall receive forty percent (40%) or the sum of $47,860.79 as a remainder
beneficiary of the Trust;
WHEREAS, Community Trust Company, as Trustee, has prepared and incorporated in
this Receipt and Release, a revised Statement of Proposed Distribution, which sets forth
the income received and expenses paid by the Trust, from October 15,2006 (the end date
of the First and Final Account) to December 14,2006.
NOW THEREFORE WITNESSETH, that, for and in consideration of his receipt of
$72,249.43, Neil C. Osmun (hereinafter called the Undersigned") hereby acknowledges
that he has reviewed the revised Statement of Proposed Distribution and that he is
satisfied that it is proper and correct and does hereby remise, release quitclaim, and
forever discharge Community Trust Company, Trustee as aforesaid, its successors and
assigns, of and from the duties of said Trust and of and from all actions, suits, payments,
accounts, reckonings, claims and demands whatsoever, for or by reason thereof.

THE UNDERSIGNED, further agrees to indemnify and hold harmless Community
Trust Company, Trustee as aforesaid, it successors and assigns, from and against all
claims, loss, liability or damage which it may suffer or to which it may be subject by
reason of the distribution described above, and the undersigned agrees to pay the Trustee
any amount up to, but not to exceed, the value of the above described distribution that
may be necessary in the future to discharge any liabilities of the said Osmun Family
Trust.
