Diller, Inc., by and through its undersigned counsel, brings this action against Vanguard Development Corp. and Vanguard Homes, Inc., jointly and severally, and I alleges as follows: , , I I. Plaintiff Boyd E. Diller, Inc. ("Diller"), is a Pennsylvania corporation with its principal place of business located at 6820 Wertzville Road, Enola, Pennsylvania. Diller is LAW OFFICES SNEL.BAKER. BRENNEMAN & SPARE engaged in business as an excavation, land clearing, site preparation and paving contractor. 2. Cumberland Valley Drilling and Blasting, Inc. ("CV Drilling") is a Pennsylvania corporation with its principal place of business located at 6820 Wertzville Road, Enola, I l.AW OFFICES SNELBAKER. BRENNEMAN & SPARE - " J l, Pennsylvania, and which is a sister corporation to Diller. 3. Defendants Vanguard Development Corp. and Vanguard Homes ("collectively, Vanguard") are Pennsylvania corporations with their principal place of business located at 419 Johnson Street, Jenkintown, Pennsylvania, and each of which is the alter ego of the other. Vanguard Development Corporation and Vanguard Homes, Inc. are operated as a single entity by the same management, from the same office, using the same office staff, and a single telephone number. Until counsel made inquiry for purposes of filing this lawsuit, both Diller and CV Drilling understood that "Vanguard Homes" was a trade name for V anguard Development Corporation rather than a separate corporate entity. Further, for all projects sued upon herein, monthly "Release of Lien" forms which identified the contracting party as "Vanguard Homes" were presented to Diller or CV Drilling, notwithstanding that for many of the transactions the proposal from and/or the contract with Diller or CV Drilling was made in the name of Vanguard Development Corporation. 4. For each of the individual projects sued upon, Vanguard Development Corporation, in its capacity as developer, formed a limited partnership for such project, for which it acted as the general partner. Vanguard Development Corporation is also sued in its capacity as general partner in May Apple Limited Partnership, Wesley Mews Limited Partnership, and Dickinson Green Limited Partnership. 5. Venue is proper in this Court, in that the contracts which are at issue herein were formed in Enola, Cumberland County; the work sued on was performed in Cumberland County; and defendants regularly conduct business in Cumberland County. 2 LAW OFFICES SNELBAKER. BRENNEMAN & SPARE II J - COUNT I -- BALANCE DUE TO DILLER 6. From 1996 to the present, Diller has performed, in a timely and workmanlike manner, site preparation, underground utilities and paving work for Vanguard, for which Vanguard is in default of payment, in the amounts set forth in the Statement of Account attached hereto as Exhibit A, which is incorporated herein by reference. The standard terms under Diller performs work, as agreed by Vanguard, are payment in 30 days from invoice, with interest on outstanding and unpaid balances at the rate of 1.5% per month. 3 LAW OFFICES SNELBAKER. BRENNEMAN & SPARE ",\ I' .' COUNT II - BALANCE DUE CV DRILLING 9. Paragraphs 1-5 are incorporated herein by reference and realleged as through fully set out herein. 10. From 1996 though 2000 CV Drilling performed, in a timely and workmanlike manner, drilling and blasting work for Vanguard. A Statement of Account is attached hereto as Exhibit B. 11. The standard terms under which CV Drilling performs work, as agreed by V,mguard, are payment in 30 days, with interest on outstanding and unpaid balances at the rate of 1.5% per month. 12. Vanguard owes CV Drilling an outstanding balance of$20,00.90, for which CV Drilling has made demand and which Vanguard has refused to pay. WHEREFORE Diller demands judgment against Vanguard Development Corporation and Vanguard Homes, Inc. jointly and severally, in the principal amount of$145,999.83, plus interest from and after each payment was due at the rate of 1.5% per month; and CV Drilling demands judgment against Vanguard Development Corporation and Vanguard Homes, Inc., jointly and severally, in the principal amount of $20,400.90, plus interest from and after each payment was due at the rate of 1.5% per month, plus such additional and further relief as the Court deems just and proper. 4 LAW OFFICES SNELBAKER.
