MOTION TO COMPEL DISCOVERY RESPONSES
Plaintiff, Sandra Spence, by her counsel, Mette, Evans & Woodside, hereby moves this
Court pursuant to Pennsylvania Rule of Civil Procedure 4019(a) to compel discovery responses
and, in support of her Motion, avers as follows:
1. Plaintiff served a First Set of Interrogatories and a First Request for Production of
Documents on Defendant Secure Investments, Inc. on August 26, 2001. Copies of the
Interrogatories and Request for Production of Documents (the "Discovery Requests") are
attached to this Motion as Exhibit A.
2. Secure Investments has failed to serve responses or objections to the Discovery
Requests upon the Plaintiff within the time required by Pennsylvania Rules of Civil Procedure
4006 and 4009.
3. No attorney has entered an appearance in this matter on behalf of Secure
Investments, Inc.
4_ Plaintiff requires the information sought in the Discovery Requests in order to
prepare her complaint in this matter.

MOTION OF PLAINTIFF TO ADD DEFENDANTS
Plaintiff Sandra Spence ("Plaintiff'), by her counsel, Mette, Evans & Woodside, hereby
moves this Court pursuant to Pennsylvania Rule of Civil Procedure 2232( c) for permission to
add Gary 1. Spirk ("Spirk") and David R. Walton ("Walton") as defendants in this case, averring
as follows:
1. Plaintiff commenced this suit on June 5, 2001 by filing a praecipe for writ of
summons.
2. The two corporations that Plaintiff named as Defendants, Security Asset Capital
Corporation and Secure Investments, Inc. ("Corporate Defendants"), participated in the sale to
Plaintiff of unregistered securities, in violation of the Pennsylvania Securities Act (hereinafter,
the "Act").
3. Plaintiff intends to assert, inter alia, claims against the Corporate Defendants for
violations of the Act that prohibit the sale of unregistered securities (70 P.S. SS 1-201 and 1-502)

and that prohibit the sale of securities by individuals who are not registered as broker dealers (70
P-S. SS 1-301 and 1-501).
4. The Act imposes joint and several liability on the principal executive officers of
corporations which have violated the Act and on employees who materially aid the act or
transaction constituting the corporation's violation. 70 P.S. SI-502.
S. Upon information and belief, at all times relevant to this action Walton was the
principal executive officer and an employee of Security Asset Capital Corporation, and Spirk
was the principal executive officer and an employee of Secure Investments, Inc.
6. Besides the filing and service of the writ of summons, the only other action which
has occurred in this case is Plaintiffs service of interrogatories and requests for production of
documents on Defendants William H. Schneider and Secure Investments, Inc_ Therefore, the
addition of Spirk and Walton as defendants will not impede the progress or negatively affect the
resolution of this matter. Nor will adding Spirk and Walton as defendants improperly prejudice
the original Defendants.
7. No counsel has entered an appearance on behalf of any of the Defendants in this
case.

AND NOW, comes the Movant, Sandra Spence, by and through her counsel, Mette,

1. On October 10, 2001, Plaintiff filed with the Court a.Motion to Compel
Discovery Responses ("Motion to Compel"), requesting this Court to order Defendant Secure
Investments, Inc. to respond to Plaintiff's First Set of Interrogatories and First Request for
Production of Documents. A copy of this Motion was served on all parties of record.
2. On October 15,2001, the Court issued a Ru1e which directed Defendant Secure
Investments, Inc. to show cause why the relief requested in the Motion to Compel should not be
granted.
3. On October 22,2001, the Rule was served by my office on Secure Investments,
