PREMIER ABSTRACTS UNLIMITED, INC., 6161 Blue Valley Avenue, Harrisburg, Pennsylvania 17112, Defendant CIVIL ACTION - LAW COMPLAINT AND NOW COMES the Plaintiff, Express Financial Services, Inc., by and through its counsel, Shumaker Williams, P.C., and states the following: 1. Plaintiff, Express Financial Services, Inc., is a corporation with its headquarters located at ACACIA Building, Suite 206, 875 Greentree Road, Pittsburgh, Allegheny County, Pennsylvania 15220. 2. Defendant, Premier Abstracts Unlimited, Inc., is a Pennsylvania corporation with a registered office located at 6161 Blue Valley Avenue, Dauphin County, Harrisburg, Pennsylvania 17112. 3. All the acts alleged to have been done or not to have been done by Defendant were done or not done by said Defendant or its agents, servants, and/or employees, acting in the course and scope of their employment with or on behalf of said Defendant. 4. Plaintiff entered into contracts with Defendant whereby Plaintiffwould request a title search and Defendant would complete the search and provide a title report to Plaintiff prior to the closing. .' " 5. In addition, Defendant would complete a bringdown title search and provide a title report to Plaintiff after the closing and prior to the recording of a deed and/or mortgage. 6. On August 24, 1998, Green Tree Consumer Discount Company ("Green Tree") contacted Plaintiff about issuing a mortgage title insurance policy. 7. Green Tree provided Plaintiff with the information necessary to complete its title search order form. A true and correct copy of this order form is attached hereto as Exhibit "A" 8. On August 24, 1998, Plaintiff requested that Defendant complete a title search of Steven A. Failor and Cynthia L. Failor (the "Failors") at the property address of 525 Mount Rock Road, Newville, Pennsylvania (hereinafter the "property") by faxing its title search order form to Defendant. See Exhibit "A" 9. Plaintiff did not supply Defendant with a Deed book and Page number for the property . 1 O. Plaintiff hired and/or contracted Defendant to prepare a title search for the Failors at the property so that it could issue a mortgage title insurance policy to Green Tree. 11. In issuing a mortgage title insurance policy, Plaintiff must report the following information on the schedules attached to the commitment: the interest in the land which is encumbered by the insured mortgage, to whom title to the estate or interest is vested in, description of the insured mortgage, description of the land, and any encumbrances upon the property. 2 " '. 12. Defendant provided a title report to Plaintiff on or about August 28, 1998, which indicated that Defendant completed a title search of the property through August 18, 1998. A true and correct copy of the title report is attached hereto as Exhibit "B." 13. Defendant provided another title report to Plaintiff on or about November 30, 1998, which indicated that Defendant completed a bringdown title search of the Failors for the property through November 23, 1998. A true and correct copy of the title report is attached hereto as Exhibit "C." 14. When Defendant completed the bringdown search, it should have searched all out sale deeds to see whether the F ailors sold the property they intended to encumber with the mortgage and reported such information to Plaintiff on the title report. 15. On November 27, 1998, the Failors refinanced their mortgage through Green Tree. 16. A loan in the amount of $200,000 was given to the Failors by Green Tree (now Conseco Finance Consumer Discount Company), which was secured by the property and disbursed on December 21, 1998. A true and correct copy of the mortgage is attached hereto as Exhibit "D." 17. Green Tree Mortgage Services was the settlement agent for the Failors' settlement. 18. The mortgage dated November 27, 1998, was recorded on December 2, 1998 in Book 1502, Page 822. See Exhibit "D." 19. Plaintiff issued a mortgage title insurance policy in the amount of $200,000, Policy Number 826859, to Green Tree insuring the mortgage as a third lien mortgage on the property. A 3 " true and correct copy of the Schedules to the mortgage title insurance policy are attached hereto as Exhibit "E." 20. First American Title Insurance Company ("First American") was the underwriter of the aforementioned policy. 21. In preparing and issuing the aforementioned policy, Plaintiff relied upon Defendant's title reports. 22. In order for Plaintiff to prepare Schedules A, B, and B-II to the policy, Plaintiff had to rely upon the information contained in Defendant's title reports, which is based upon Defendant's title search of the Failors. See Exhibit "E." 23. The property identified in the mortgage and the mortgage title insurance policy, Schedule A, was the property located at 525 Mount Rock Road, Newville, Pennsylvania, based upon the information from Defendant. 24. The Failors defaulted on their mortgage through Green Tree. 25. When Green Tree attempted to foreclose on the property, it learned that the Failors did not own the property. 26. On or about August 31, 1998, the Failors sold the property to Daniel Mains for a purchase price of $30,000. 27. The deed from the Failors to Daniel Mains was recorded on August 31, 1998 in Deed Book 184, Page 501. 28. Therefore, Green Tree could not foreclose on the property and submitted a claim to First American under the mortgage title insurance policy. 4 , . 29. In searching the title ofthe Failors, Defendant should have and may have known that the Failors sold the property on August 31, 1998. 30. On its title reports, Defendant should have reported to Plaintiff that the Failors sold the property on August 31, 1998, but it did not. See Exhibits "B" and "C." 31. First American submitted a claim under the mortgage title insurance policy alleging that the land securing the mortgage was conveyed by the Failors to a third party, prior to the Failors entering into the mortgage. 32. In order to resolve Green Tree's claim under the mortgage title insurance policy, Plaintiff had to pay First American $135,000. 33. Plaintiff paid Defendant for preparing the title search with regard to the Failors. 34. Upon its best information, Plaintiff does not believe that the Failors executed a buyers' affidavit stating that they owned the property securing the mortgage. 35. Plaintiff has notified Defendant that it intended to hold it responsible for the losses it incurred under the mortgage title insurance policy due to Defendant's failure to report to it that the Failors sold the property referenced in the mortgage title insurance policy prior to the refinance, but Defendant has refused to compensate Plaintiff for such losses. 36. In fact when Plaintiff notified Defendant about its claim, Defendant provided Plaintiff with a copy of the title report dated August 25, 1998 which includes a handwritten note from Defendant's employee that only mortgages were checked on the property from August 18, 1998 through November 20, 1998. A true and correct copy of the title report is attached hereto as Exhibit "F. " 5 . . .1 37. Defendant did not notify Plaintiff that it only searched mortgages on the property from August 18, 1998 through November 20, 1998 prior to the closing on November 27, 1998. 38. In addition, Defendant did not notify Plaintiff that it only searched mortgages on the property from August 18, 1998 through November 20, 1998 prior to Plaintiff issuing the mortgage title insurance policy. 39. Defendant also did not notify Plaintiff that it missed the deed recorded on August 31, 1998 in which the Failors sold the property described in the mortgage and mortgage title insurance policy. 40. In addition, an employee of Defendant admitted to Plaintiff that Defendant missed the out sale deed when it completed its title search for Plaintiff. 41. It is common practice to search outsale deeds when completing a bringdown search. 42. Defendant failed to complete a proper bringdown search. 43. Accordingly, due to Defendant's error in completing the title search of the Failors' property for Plaintiff, Plaintiff had to pay a claim under the mortgage title insurance policy to First American. Count I Breach of Contract 44. Paragraphs 1 through 43 above are incorporated herein by reference. 45. On or about August 24, 1998, Plaintiff entered into a contract with Defendant to complete a title search of the Failors at the property address of 525 Mount Rock Road, Newville, Pennsylvania. 6 46. Defendant understood and knew that a material term of the contract was to complete a title search which would show whether or not the Failors owned the property securing the mortgage. 47. In fact, the contract provided that Defendant give Plaintiff grantor information for the Failors at the property address of 525 Mount Rock Road, Newville, Pennsylvania. 48. Defendant materially breached the contract by missing the deed wherein the Failors sold the property referenced in the mortgage and mortgage title insurance policy to a third party prior to refinancing their mortgage on November 27, 1998. 49. Defendant materially breached the contract by failing to report to Plaintiff that the Failors sold the property securing the mortgage. 50. Defendants also materially breached the contract by failing to give Plaintiff an accurate legal description of the property to include in the mortgage title insurance policy. 51. Defendant's aforesaid actions with regard to the contract constitute breaches of contract even if such actions are not deemed to be material. 52. Defendant's aforesaid breaches of contract have caused and continue to cause damages to Plaintiff. 53. Plaintiff had to pay First American $135,000 under the mortgage title insurance policy. 54. In addition, Plaintiff has incurred attorneys' fees due to Defendant's breach of contract. 7 WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter judgment in its favor and against Defendant and award Plaintiff damages in excess of $35,000, plus interest, costs, and such other relief as the Court may deem necessary and/or appropriate. Count II Quantum Meruit 55. Paragraphs 1 through 54 above are incorporated herein by reference. 56. Plaintiff employed Defendant to complete an accurate title search and prepare an accurate title report for Steven A. Failor and Cynthia L. Failor of 525 Mount Rock Road, Newville, Pennsylvania. See Exhibit "A." 57. Defendant failed to perform said services as requested by Plaintiff. 58. Plaintiff accepted Defendant's work and paid Plaintiff for same. 59. Plaintiff conferred a benefit upon Defendant by paying it for services it failed to accurately complete. 60. Specifically, Plaintiff paid Defendant for completing a title search and preparing title reports, which Defendant failed to accurately do. 61. Defendant appreciated such benefit because it was paid. 62. Defendant's acceptance and retention of such benefit under these circumstances is inequitable. 63. In completing its title search, Defendant should have and may have learned that the Failors sold the property prior to November 27, 1998. 8 .' 64. Defendant should have reported to Plaintiff that the Failors did not own the property because it knew Plaintiff was issuing a mortgage title insurance policy insuring that the mortgage was a third lien on the property. 65. Defendant has been unjustly enriched because it was paid for a title search and title reports that it failed to accurately complete; consequently, Plaintiff had to pay First American $135,000 under the mortgage title insurance policy. WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter judgment in its favor and against Defendant and award Plaintiff damages in excess of $35,000, plus interest, costs, and such other relief as the Court may deem necessary and/or appropriate. Plaintiff's Complaint is barred by the applicable statute of limitations Our courts have repeatedly emphasized that "it is the duty of a party asserting a cause of action to use all reasonable diligence to be properly informed ofthe facts and circumstances upon which a potential right of recovery is based and to institute: suit within the prescribed statutory period," Murphy v, Saavedra, 746 A.2d 92, 94 (Pa, 2000); see also, Hayward v, Medica(Center of Beaver County, 608 A.2d 1040, 1043 (Pa, 1992); Pocono International Raceway, Inc" v, Pocono Produce, Inc" 468 A,2d 468, 471 (Pa, 1983), Moreover, it is clear that lack of knowledge, mistake or misunderstanding do not toll the running of the Statute of Limitations, Pocono, 468 A.2d at 471, 3 Claims of breach of contract are subject to the four-year Statute of Limitations set forth in 42 Pa, C,S,A, g5525(8), See Packer Society Hill Travel Agency v, Presbyterian Univ, of Pa, Med. Ctr., 635 A.2d 649, 651(Pa,Super, 1993), In fact, the Packer Court removed any doubt as to the applicability ofthe four-year limitations period to a case such as the instant matter where the Superior Court emphatically stated that "the words of the statute are clear and free of ambiguity, The statute oflimitations for an action based on 'a contract, obligation or liability found upon a writing, , , under seal or otherwise' is four years," Id, (quoting 42 Pa, C.S,A. g5525(8)), Plaintiff, in its Complaint, specifically states that this action arises from a contract. (See Exhibit "A", ~45), Similarly, "[a]ctions founded upon a contract that is not in writing are subject to a four year statute oflimitations," Cole v, Lawrence, 701 A.2d 987, 989 (Pa, Super, 1997); 42 Pa, C,S,A. g5525(3), "The statute oflimitations for a quantum memit action is also four years," Id, As a result, the four-year statute of limitations period applies to the instant matter. In this case, Plaintiff asserts that the last search was performed on November 30, 1998, (See Exhibit "A"), Therefore, Plaintiffs action must have been filed no later that November 30, 1992, Plaintiffs Complaint was not filed until May 12, 2003, (See time-stamp on Exhibit "A"), The running of the Statute of Limitations not only precludes a remedy for Plaintiffs claim, but it extinguishes its right to recover. See Overmiller v, D,E, Horn, 159 A.2d 245, 247 (Pa,Super. 1960), Thus, this Court is constrained to dismiss Plaintiffs Complaint with prejudice where Plaintiff failed to file an action for breach of contract and quantum meruit within the four- year statute oflimitations period, 4 B, The discovery rule does not toll the statute of limitations Plaintiff cannot claim that the Statute of Limitations in this case was tolled by the discovery rule such that its lawsuit was timely when filed in 2003, The "discovery rule" is an exception to the general rule that once the statutory period has expired, the party is barred from bringing suit. This rule provides that where the existence of the injury is not known to the complaining party and such knowledge cannot reasonably be ascertained within the prescribed statutory period, the limitations period does not begin to run until discovery of the injury is reasonably possible, Hayward v, Med. Ctr, of Beaver Cty" 608 A.2d 1040, 1040 (Pa, 1992); Schaffer v, Larzelere, 189 A.2d 267,270 (Pa, 1963), Prior to applying the exception provided by the discovery rule, the Court must address the ability of the injured party, exercising reasonable diligence, to know that he has been injured by the act of another. Pocono, 468 A.2d at 471, The "injury" alleged by Plaintiff in this case is that the property holders sold the property to a third party and that mortgage was not listed in the searches performed by Premier. (See Exhibit "A"), A number of factors indicate clearly that Plaintiff knew or should have known of this injury, at the latest, on December 2, 1998, A similar instance to the one at hand arose before the Superior Court of Pennsylvania in Weik v. Estate of Brown, 794 A.2d 907 (Pa, Super. 2002), In Weik, defendant gave plaintiff an option to buy her property in July of 1994, Plaintiff paid for the option and subsequently, in March of 1995, defendant sold the property to a third person and the deed was recorded the same day, Plaintiff admitted that the action was subject to a five-year statute of limitations but nonetheless did not filed the suit until April of2000, ld, at 908, The Court held that the recorded of the deed was constructive notice to plaintiff and, therefore, plaintiff should have filed suit no later than March of2000, ld, at 909, Specifically, the Court held that the recording 5 statute [21 P,S, S351] serves to give notice to the public and thus, plaintiff had constructive notice of the deed be virtue of it being filed, Id, at 911. Plaintiff entered into contracts with Defendant whereby Plaintiff would request a title search and Defendant would complete the search and provide a title report to Plaintiff prior to the closing. 5, In addition, Defendant would complete a bringdown title search and provide a title report to Plaintiff after the closing and prior to the recording of a deed and/or mortgage, 6, On August 24, 1998, Green Tree Consumer Discount Company ("Green Tree") contacted Plaintiff about issuing a mortgage title insurance policy. 7, Green Tree provided Plaintiff with the information necessary to complete its title search order form, A true and correct copy of this order form is attached hereto as Exhibit "A" 8, On August 24, 1998, Plaintiff requested that Defendant complete a title search of Steven A Failor and Cynthia L. Failor (the "Failors") at the property address of 525 Mount Rock Road, Newville, Pennsylvania (hereinafter the "property") by faxing its title search order form to Defendant. See Exhibit "A" 9. Plaintiff did not supply Defendant with a Deed book and Page number for the property . 10, Plaintiff hired and/or contracted Defendant to prepare a title search for the Failors at the property so that it could issue a mortgage title insurance policy to Green Tree. II. In issuing a mortgage title insurance policy, Plaintiff must report the following information on the schedules attached to the commitment: the interest in the land which is encumbered by the insured mortgage, to whom title to the estate or interest is vested in, description of the insured mortgage, description of the land, and any encumbrances upon the property. 2 12, Defendant provided a title report to Plaintiff on or about August 28, 1998, which indicated that Defendant completed a title search of the propeI1y through August 18, 1998, A true and correct copy of the title report is attached hereto as Exhibit "B," 13, Defendant provided another title report to Plaintiff on or about November 30, 1998, which indicated that Defendant completed a bringdown title s(~arch of the Failors for the property through November 23, 1998. A true and correct copy of the title report is attached hereto as Exhibit "C." 14. When Defendant completed the bringdown search, it should have searched all out sale deeds to see whether the Failors sold the property they intended to encumber with the mortgage and reported such information to Plaintiff on the title report, 15, On November 27, 1998, the Failors refinanced their mortgage through Green Tree, 16. A loan in the amount of $200,000 was given to the Failors by Green Tree (now Conseco Finance Consumer Discount Company), which was secured by the property and disbursed on December 21, 1998, A true and correct copy of the mortgage is attached hereto as Exhibit "D," 17. Green Tree Mortgage Services was the settlement agent for the Failors' settlement. 18. The mortgage dated November 27, 1998, was recorded on December 2, 1998 in Book 1502, Page 822. See Exhibit "D," 19, Plaintiff issued a mortgage title insurance policy in the amount of $200,000, Policy Number 826859, to Green Tree insuring the mortgage as a third lien mortgage on the property, A 3 .' true and correct copy of the Schedules to the mortgage title insurance policy are attached hereto as Exhibit "E," 20, First American Title Insurance Company ("First American") was the undeIWriter of the aforementioned policy, 21, In preparing and issuing the aforementioned policy, Plaintiff relied upon Defendant's title reports. 22, In order for Plaintiff to prepare Schedules A, B, and B-II to the policy, Plaintiff had to rely upon the information contained in Defendant's title reports, which is based upon Defendant's title search of the Failors, See Exhibit "E," 23. The property identified in the mortgage and the mortgage title insurance policy, Schedule A, was the property located at 525 Mount Rock Road, Newville, Pennsylvania, based upon the information from Defendant. 24. The Failors defaulted on their mortgage through Green Tree, 25, When Green Tree attempted to foreclose on the property, it learned that the Failors did not own the property. 26. On or about August 31, 1998, the Failors sold the property to Daniel Mains for a purchase price of $30,000, 27. The deed from the Failorsto Daniel Mains was recorded on August 31,1998 in Deed Book 184, Page 501. 28. Therefore, Green Tree could not foreclose on the property and submitted a claim to First American under the mortgage title insurance policy, 4 . 29. In searching the title of the Failors, Defendant should have and may have known that the Failors sold the property on August 31, 1998, 30, On its title reports, Defendant should have reported to Plaintiff that the Failors sold the property on August 31, 1998, but it did not. See Exhibits "B" and "C," 31, First American submitted a claim under the mortgage title insurance policy alleging that the land securing the mortgage was conveyed by the Failors to a third party, prior to the Failors entering into the mortgage, 32, In order to resolve Green Tree's claim under the mortgage title insurance policy, Plaintiff had to pay First American $135,000, 33. Plaintiff paid Defendant for preparing the title search with regard to the Failors, 34, Upon its best information, Plaintiff does not believe that the Failors executed a buyers' affidavit stating that they owned the property securing the mortgage, 35, Plaintiff has notified Defendant that it intended to hold it responsible for the losses it incurred under the mortgage title insurance policy due to Defendant's failure to report to it that the Failors sold the property referenced in the mortgage title insurance policy prior to the refinance, but Defendant has refused to compensate Plaintiff for such losses. 36. In fact when Plaintiff notified Defendant about its claim, Defendant provided Plaintiff with a copy of the title report dated August 25, 1998 which includes a handwritten note from Defendant's employee that only mortgages were checked on tb.e property from August 18, 1998 through November 20, 1998. A true and correct copy of the title report is attached hereto as Exhibit "F." 5 .' 37, Defendant did not notify Plaintiff that it only searched mortgages on the property from August 18, 1998 through November 20, 1998 prior to thf: closing on November 27, 1998, 38, In addition, Defendant did not notify Plaintiff that it only searched mortgages on the property from August 18, 1998 through November 20, 1998 prior to Plaintiff issuing the mortgage title insurance policy, 39, Defendant also did not notify Plaintiff that it missed the deed recorded on August31, 1998 in which the Failors sold the property described in the mortgage and mortgage title insurance policy. 40, In addition, an employee of Defendant admitted to Plaintiff that Defendant missed the out sale deed when it completed its title search for Plaintiff. 41. It is common practice to search outsale deeds when completing a bringdown search, 42, Defendant failed to complete a proper bringdown search, 43, Accordingly, due to Defendant's error in completing the title search of the Failors' property for Plaintiff, Plaintiff had to pay a claim under the mortgage title insurance policy to First American, Count I Breach of Contract 44, Paragraphs I through 43 above are incorporated herein by reference. 45, On or about August 24, 1998, Plaintiff entered into a contract with Defendant to complete a title search of the Failors at the property address of 525 Mount Rock Road, Newville, Pennsylvania. 6 46, Defendant understood and knew that a material term of the contract was to complete a title search which would show whether or not the Failon: owned the property securing the mortgage, 47. In fact, the contract provided that Defendant give Plaintiff grantor information for the Failors at the property address of 525 Mount Rock Road, Newville, Pennsylvania. 48, Defendant materially breached the contract by missing the deed wherein the Failors sold the property referenced in the mortgage and mortgage title insurance policy to a third party prior to refinancing their mo~gage on November 27, 1998, 49. Defendant materially breached the contract by failing to report to Plaintiff that the Failors sold the property securing the mortgage, 50, Defendants also materially breached the contract by failing to give Plaintiff an accurate legal description of the property to include in the mort:gage title insurance policy, 51. Defendant's aforesaid actions with regard to the contract constitute breaches of contract even if such actions are not deemed to be material. 52, Defendant's aforesaid breaches of contract have caused and continue to cause damages to Plaintiff. 53, Plaintiff had to pay First American $135,000 under the mortgage title insurance policy, 54. In addition, Plaintiff has incurred attorneys' fees due to Defendant's breach of contract 7 WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter judgment in its favor and against Defendant and award Plaintiff damages in excess of $35,000, plus interest, costs, and such other relief as the Court may deem necessary and/or appropriate. Count II Quantum Meruit 55, Paragraphs 1 through 54 above are incorporated herein by reference, 56, Plaintiff employed Defendant to complete an accurate title search and prepare an accurate title report for Steven A. Failor and Cynthia L. Failor of 525 Mount Rock Road, Newville, Pennsylvania, See Exhibit "A." 57. Defendant failed to perform said services as requested by Plaintiff. 58. Plaintiff accepted Defendant's work and paid Plaintifffor same, 59. Plaintiff conferred a benefit upon Defendant by paying it for services it failed to accurately complete, 60, Specifically, Plaintiff paid Defendant for completing a title search and preparing title reports, which Defendant failed to accurately do, 61, Defendant appreciated such benefit because it was paid, 62, Defendant's acceptance and retention of such benefit under these circumstances is inequitable, 63, In completing its title search, Defendant should have and may have learned that the Failors sold the property prior to November 27, 1998, 8 64, Defendant should have reported to Plaintiff that the Failors did not own the property because it knew Plaintiff was issuing a mortgage title insuran,:e policy insuring that the mortgage was a third lien on the property, 65, Defendant has been unjustly enriched because it was paid for a title search and title reports that it failed to accurately complete; consequently, Plaintiff had to pay First American $135,000 under the mortgage title insurance policy, WHEREFORE, Plaintiff respectfully requests this Honorable Court to enter judgment in its favor and against Defendant and award Plaintiff damages in excess of$35,000, plus interest, costs, and such other relief as the Court may deem necessary and/or appropriate.
