EXPENSES ARTICLE I I direct the payment of my just debts and expenses of my last illness, funeral (to the extent not prepaid by me), and administration of my estate shall be paid by my Executrix from the principal of my residuary estate as soon as practicable after my death. TAXES ARTICLE II All estate, inheritance and succession taxes, together with any interest and penalties thereon, payable as a result of my death and imposed with respect to any property, whether or not disposed of by this Will, shall be paid out of the residue of my estate. SPECIFIC BEQUESTS ARTICLE III I give, devise and bequeath in accordance with any memorandum which I have either handwritten or signed, located with my Will or with my valuable papers and found within thirty (30) days of the probate of my Will. Gifts may only be to persons who survive me or to organizations which exist at my death, and if there is a conflict, the memorandum having the latest date shall govern. PERSONAL PROPERTY ARTICLE IV To the extent not provided for in any memorandum referenced in Article III, I give all of my household furnishings and tangible personal property to my children to be divided among them as they are able to agree. If they are unable to agree, then said property and furnishings shall be sold and the proceeds added to my residuary estate. Page 2 of9 Pages If, however, I leave a memorandum setting forth directions as to the distribution of certain items, I direct that my Executrix takes into account any such directions and make every effort to distribute such property in kind consistent therewith. RESIDUE ARTICLE V I give and bequeath the rest, residue and remainder of my estate, of whatsoever nature and wheresoever situate, to the following people and in the following shares: A. Forty-five (45%) percent to my daughter, JUDITH B. MYERS, presently of Dun cannon, Pennsylvania, per capita. However, ifmy daughter, JUDITH B. MYERS, does not survive me by thirty (30) days, then this share shall be distributed as follows: 1. One-half (112) to my son, F. SCOTT PATTERSON, presently of Harrisburg, Pennsylvania; per capita. This shall be in addition to his share set forth in sub-paragraph B of this Article. 11. One-half (112) to my daughter's husband, KENNETH J. MYERS, presently of Duncannon, Pennsylvania, per capita. B. Forty-five (45) percent to my son, F. SCOTT PATTERSON, per capita. However, ifmy son, F. SCOTT PATTERSON, does not survive me by thirty (30) days, I direct that this gift shall lapse and the share intended for my son shall become part of Page 3 of 9 Pages and be added to the share I leave to my daughter, JUDITH B. MYERS, in subparagraph A above. C. Ten (10%) percent to my grandson, MICHAEL S. BALTOSSER, presently of Enola, Pennsylvania, or his issue, per stirpes. However, ifmy grandson, MICHAEL S. BAL TOSSER, does not survive me by thirty (30) days, and does not leave issue who survive me by thirty (30) days, then this gift shall lapse and become part of and added to my residuary estate. EXECUTRIX ARTICLE VI A. Appointment. I appoint my daughter, JUDITH B. MYERS, as the Executrix of this Will. In the event of her death, resignation, renunciation or inability to act in that capacity, then I appoint my son, F. SCOTT PATTERSON, as the Executor of this Will in her place and stead. B. Bond. No bond or other security shall be required of any Executrix or Executor appointed in this Will. C. Compensation. The Executrix or Executor shall receive reasonable compensation for her or his services performed as determined by the Court in which this Will is admitted to probate. Page 4 of 9 Pages .. EXECUTRIX POWERS ARTICLE VII I give my Executrix in addition to and not in limitation of the powers given by law or by other provisions of this Will, the following powers with respect to settlement of my estate, to be exercised from time to time in the discretion of my Executrix without further order or license of the Register of Wills or of any Court: A. Investments. To retain any property, pending distribution hereunder, to invest in or purchase any property without restriction to legal investments for fiduciaries, to compromise claims, and to sell any property at public or private sale; B. Securities. To hold shares of stock or other securities in nominee registration form, including that of a clearing corporation or depository, or in book entry form or unregistered or in such other form as will pass by delivery; c. Litie:ation. To engage in litigation and compromise, arbitrate or abandon claims; D. Distributions. To make distributions in cash or in kind at current values, or partly in each, allocating specific assets to particular distributees on a non-pro rata basis, and for such purposes to make reasonable determinations of current values; E. Tax Return. To make elections, decisions, concessions and settlements in connection with all income, estate, inheritance, gift or other tax returns and the payment of such taxes, without obligation to adjust the distributive share of income or principal of any person affected thereby; Page 5 of 9 Pages .. F. Loans. To payoff any loans I may have taken against life insurance policies owned by me that remain unpaid at the time of my death; G. Borrowine: and EncumberiDl!. To manage, control, repair and improve all personal and real property; I. Insurance. To employ any attorney, investment adviser, accountant, broker, tax specialist or any other agent deemed necessary in the discretion of the Executrix; and to pay from the estate reasonable compensation for all services performed by any of them; K. Business Operation. To conduct alone or with others any business in which I am engaged or in which I have an interest at my death, with all the powers of any owner with respect thereto, including the power to delegate discretionary duties to others, to invest other property held hereunder in such business and to organize a partnership or corporation to carry on such business; L. General. To do all the acts, to take all the proceedings, and to exercise all the rights, powers and privileges which an absolute owner ofthe property would have, Page 6 of 9 Pages ... subject always to the discharge of her fiduciary obligations. The enumeration of certain powers in this Will shall not limit the general or implied powers of the Executrix. The Executrix shall have all additional powers that may now or hereafter be conferred on the Executrix by law or that may be necessary to enable the Executrix to administer the provisions ofthis Will, subject to any limitations specified in this Will. NO ALIENATION ARTICLE VIII No interest of any beneficiary under this Will or any codicil hereto shall be subject to anticipation or voluntary or involuntary alienation. NO CONTEST ARTICLE IX If any beneficiary or remainderman under this Will in any manner, directly or indirectly, contests or attacks this Will or any of its provisions, any share or interest in my estate given to that contesting beneficiary or remainderman under this Will is revoked and shall be disposed of in the same manner provided herein as if that contesting beneficiary or remainderman had predeceased me without issue.
