STIPULATION AGAINST LIENS
WHEREAS, COMMUNITY BANKS, N.A., a national banking association ("Owner"),
the Owner of the real estate described below, have executed a Contract dated June 22, 2001,
with A.P. WILLIAMS, INC. ("Contractor"), whose principal place of business is located at
3035 North Progress Avenue, Harrisburg, PA 17110 and more particularly bounded and
described on Exhibit "A", attached hereto and made a part hereof; and
NOW, THEREFORE, this lithday of July , 2001, before any
authority had been given by Owner to Contractor to commence work on said facilities or
purchase materials for same, in consideration of making of the above-described Contract with
Owner, and in further consideration of One ($1.00) Dollar paid to Contractor by Owner, the
receipt whereof is hereby acknowledged, it is agreed that no liens or claims shall be filed or
maintained against the Owner's facilities and the land above-described by the Contractor or any
of its subcontractors, or by any of the materialmen or workmen, or any other person acting
through or under them, for or on account of any labor or materials purchased, or extra labor or
materials purchased for, towards, in or abut the erection, construction, design and improvement
of said facilities, under said contract or otherwise, the right to have, file and maintain such liens
or claims against the facilities and the land above-described, being hereby expressly waived by
the Contractor for itself, its subcontractors, all materialmen, or workmen and other acting
through or under them.
iN WITNESS WHEREOF, each of the parties have hereunto executed the Stipulation
Against Liens this 11th day of July, 2001.

EXHIBIT "A"
ALL THAT CERTAIN tract or parcel of land situate in Hampden Township, Cumberland
County, Pennsylvania, known as a Preliminary/Final Land Development Plan of 201 St.
John's Church Road, as recorded on October 7, 1999 in the Office of the Recorder of
Deeds for Cumberland County, Pennsylvania, in Plan Book 79, Page 135, more
particularly bounded and described as follows to wit:
BEGINNING at a concrete monument on the eastern right-of-way line of St. John's
Church Road, said point being the south corner of lands now or formerly of Frantz
Kindler; then along lands now or formerly of Frantz Kindler, North 58 degrees 56
minutes 40 seconds East, 161.83 feet to a point; then continuing along lands now or
formerly of Frantz Kindler, North 89 degrees 43 minutes 25 seconds East, 46.24 feet to
an iron pin; then along lands now or formerly of Richard N. Jr. and Diane K. Blair, lands
now or formerly of Twitty G. III and Phyllis L. Davis and lands now or formerly of Robert
S. and Elizabeth A. Weigel, South 18 degrees 01 minute 35 seconds East, 252.22 feet
to an iron pin on the northern right-of-way line of Chestnut Street; then along the
northern right-of-way line of Chestnut Street a curve to the left having a radius of
160.00 feet with an arc length of 103.00 feet to a point; then continuing along the
northern right-of-way line of Chestnut Street, South 53 degrees 43 minutes 55 seconds
West, 23.68 feet to a concrete monument on the eastern right-of-way line of St. John's
Church Road; then along the eastern right-of-way line of St. John's Church Road, North
36 degrees 16 minutes 05 seconds West, 249.00 feet to a concrete monument, the
place of BEGINNING.
CONTAINING 41,290 square feet.
BEING the same premises which Gertrude Kindler, Single Woman by her Deed dated October
26, 1999 and recorded October 28, 1999 in the Office of the Recorder of Deeds in and for
Cumberland County, Pennsylvania in Deed Book 210, Page 569, granted and conveyed unto
Community Banks, N.A.
