CIVIL ACTION -LAW COMPLAINT AND NOW COMES Plaintiff, International Gamco, Inc., by its attorneys, Jeffrey R. Boswell, Esquire, and Boswell, Tinnier, Piccola & Wickersham, and presents its Complaint, alleging as follows: 1. Plaintiff, International Gamco, Inc., is a corporation duly organized and existing under the laws of the State of Nebraska with its principal place of business at 9335 N. 48s' Street, Omaha, Nebraska 68152-1541. 2. Defendant, New Age Games, Ltd. (hereafter referred to as "New Age"), is a corporation duly organized and existing under the laws of the Commonwealth of Pennsylvania with a place of business at 1302 Slate Hill Road, Camp Hill, Cumberland County, Pennsylvania 17011, and a registered office address at 185 Lee Drive, Marysville, Perry County, Pennsylvania 17053. 3. Defendant John H. Morrison is an individual who resides at 185 Lee Drive, Marysville, Pennsylvania 17043. 4. Defendant Keith P. Thomas is an individual who resides at 25 Deer Lane, Cazlisle, Pennsylvania 17013. 5. Defendant William B. Barrick is an individual who resides at 103 Bunglewood Road, Enola, Pennsylvania 17025. 6. Plaintiff made sales of goods to Defendant New Age, with delivery of the goods to Defendant at 1302 Slate Hill Road, Camp Hill, Pennsylvania 17011. 7. Prior to Plaintiff s sales to Defendant New Age said Defendant completed a Distributor Application dated February 24, 1998, executed by Defendants John H. Morrison, Keith P. Thomas, and William B. Barrick, which application is incorporated and attached as Exhibit "A." COUNT I 8. Plaintiff incorporates paragraphs 1 through 7, by reference, without restating same. 9. Plaintiff and Defendant New Age had an agreement for the sale by Plaintiff and purchase by Defendant of certain goods on an open account, requiring payment after delivery. 10. At Defendant New Age's instance and request, Plaintiff sold and delivered all goods to Defendant New Aae at 1302 Slate Hill Road, Camp Hill, Pennsylvania 17011, at the times, of the kinds and descriptions, in the quantities, and for the prices set forth in Plaintiff's books of original entry, with true and correct copies of relevant portions incorporated and attached as Exhibit "B." 11. Plaintiff shipped the goods and merchandise on various dates as listed on Exhibit «B „ 12. Defendant New Age received and accepted the goods and merchandise as listed in Exhibit "B" and in the hereinafter described invoices, Exhibits "C" and "D." 13. The prices set forth in Exhibit "B" are fair and reasonable market prices for the goods and merchandise sold at the time and are the prices which Defendant New Age agreed to pay. ., 14. The prices charged and credits given for payment are listed on Exhibit "B." 15. On October 18, 1999, at Defendant New Age's request, Plaintiff shipped goods and merchandise to Defendant New Age, as listed in the invoice which is attached and incorporated as Exhibit "C." 16. On November 18, 1999, at Defendant Ne~v Age's request, Plaintiff shipped goods and merchandise to Defendant New Age, as listed in the invoice which is attached and incorporated at Exhibit "D." 17. Pursuant to the agreements made by the parties, Defendant New Age is in breach of said agreement for failure to pay for the goods in the amount of $10,613.24. 18. Although Plaintiff has made repeated demands for payment, Defendant New Age has not made payment. WH$REFOIZE, Plaintiff International Gamco, Inc. demands judgment against Defendant New Age Games, Ltd. in the amount of $10,613.24, plus interest and costs, which amount is below the jurisdiction of $20,000 requiring compulsory arbitration. COUNT II 19. Plaintiff incorporates paragraphs 1 through 18, by reference, without restating same. 20. Defendant John H. Morrison represented to Plaintiff that Defendant New Age was a new business. 21. As a further inducement for Plaintiff to do business with the Defendant New Age, Defendant John H. Morrison, Defendant Keith P. Thomas, and Defendant William B. Barrick executed and delivered a Guarantee Agreement to Plaintiff, which guarantee is part of Exhibit «A „ 22. According to said Guarantee Agreement, Defendant John H. Morrison, Defendant Keith P. Thomas, and Defendant William B. Barrick " ...further personally guarantee payment of all indebtedness, including legal and collection fees incurred now, and in the future from International Gamco, Inc., which guarantee has no limit." 23. Defendant New Age is currently indebted to Plaintiff in the sum of $10,613.24, and Defendant John H. Morris, Defendant Keith P. Thomas, and Defendant William B. Barrick have breached the Guazantee Agreement and aze, therefore, individually, personally liable to Plaintiff in the sum of $10,613.24, plus interest, costs, and attorney's fees pursuant to said Guarantee Agreement. WHEREFORE, Plaintiff International Gamco, Inc. demands judgment against Defendant John H. Morrison, Defendant Keith P. Thomas, and Defendant William B. Barrick in the amount of $1Q6li.24, plus interest, costs, and attorney's fees, which amount is below the jurisdictional limit of $25,000.00 requiring compulsory arbitration. Thomas is an individual who resides at 25 Deer Lane, Cazlisle, Pennsylvania 17013. 5. Defendant William B. Barrick is an individual who resides at 103 Bunglewood Road, EnoIa, Pennsylvania 17025. 6. Plaintiff made sales of goods to Defendant New Age, with delivery of the goods to Defendant at 1302 Slate Hill Road, Camp Hill, Pennsylvania 17011. Prior to Plaintiff's sales to Defendant New Age said Defendant completed a Distributor Application dated February 24, 1998, executed by Defendants John H. Morrison, Keith P. Thomas, and William B. Barrick, which application is incorporated and attached as Exhibit "A." COUNTI 8. Plaintiff incorporates paragraphs 1 through 7, by reference, without restating same. 9. Plaintiff and Defendant New Age had an agreement for the sale by Plaintiff and purchase by Defendant of certain goods on an open account, requiring payment after delivery. 10. At Defendant New Age's instance and request, Plaintiff sold and delivered all goods to Defendant New Age at 1302 Slate Hill Road, Camp Hill, Pennsylvania 17011, at the times, of the kinds and descriptions, in the quantities, and for the prices set forth in Plaintiff s books of original entry, with true and correct copies of relevant portions incorporated and attached as Exhibit "B." 11. Plaintiff shipped the goods and merchandise on various dates as listed on Exhibit «B >, 12. Defendant New Age received and accepted the goods and merchandise as listed in Exhibit "B" and in the hereinafter described invoices, Exhibits "C" and "D." 13. 'The prices set forth in Exhibit "B" aze fair and reasonable market prices for the goods and merchandise sold at the time and aze the prices which Defendant New Age agreed to pay. .... . _. ~t;N: 14. The prices charged and credits given for payment are listed on Exhibit "B." 15. On October 18, 1999, at Defendant New Age's request, Plaintiff shipped goods and merchandise to Defendant New Age, as listed in the invoice which is attached and incorporated as Exhibit "C." 16. On November 18, 1999, at Defendant New Age's request, Plaintiff shipped goods and merchandise to Defendant New Age, as listed in the invoice which is attached and incorporated at Exhibit "D." 17. Pursuant to the agreements made by the parties, Defendant New Age is in breach of said agreement for failure to pay for the goods in the amount of $10,613.24. 18. Although Plaintiff has made repeated demands for payment, Defendant New Age has not made payment. WHEREFORE, Plaintiff International Gamco, Inc. demands judgment against Defendant New Age Games, Ltd. in the amount of $10,613.24, plus interest and costs, which amount is below the jurisdiction of $20,000 requiring compulsory arbitration. COUNT II 19. Plaintiff incorporates paragraphs 1 through 18, by reference, without restating same. 20. Defendant John H. Morrison represented to Plaintiff that Defendant New Age was anew business. 21. As a further inducement for Plaintiff to do business with the Defendant New Age, Defendant John H. Morrison, Defendant Keith P. Thomas, and Defendant William B. Barrick executed and delivered a Guarantee Agreement to Plaintiff, which guarantee is part of Exhibit «A „ 22. According to said Guarantee Agreement, Defendant John H. Morrison, Defendant Keith P. Thomas, and Defendant William B. Barrick " ...further personally guarantee payment of all indebtedness, including legal and collection fees incurred now, and in the future from International Gamco, Inc., which guazantee has no limit." 23. Defendant New Age is currently indebted to Plaintiff in the sum of $10,613.24, and Defendant John H. Moms, Defendant Keith P. Thomas, and Defendant William B. Bamck have breached the Guarantee Agreement and are, therefore, individually, personally liable to Plaintiff in the sum of $10,613.24, plus interest, costs, and attorney's fees pursuant to said Guarantee Agreement. Thomas is an individual who resides at 25 Deer Lane, Cazlisle, Pennsylvania 17013. 5. Defendant William $. Barrick is an individual who resides at 103 Bunglewood Road, Enola, Pennsylvania 17025. 6. Plaintiff made sales of goods to Defendant New Age, with delivery of the goods to Defendant at 1302 Slate Hill Road, Camp Hill, Pennsylvania 17011. 7. Prior to Plaintiff s sales to Defendant New Age said Defendant completed a Distributor Application dated February 24, 1998, executed by Defendants John H. Morrison, Keith P. Thomas, and William B. Barrick, which application is incorporated and attached as Exhibit "A." COUNT I 8. Plaintiff incorporates paragraphs 1 through 7, by reference, without restating same. 9. Plaintiff and Defendant New Age had an agreement for the sale by Plaintiff and purchase by Defendant of certain goods on an open account, requiring payment after delivery. 10. At Defendant New Age's instance and request, Plaintiff sold and delivered all goods to Defendant New Age at 1302 Slate Hill Road, Camp Hill, Pennsylvania 17011, at the times, of the kinds and descriptions, in the quantities, and for the prices set forth in Plaintiff's books of original entry, with true and correct copies of relevant portions incorporated and attached as Exhibit "B." 11. Plaintiff shipped the goods and merchandise on various dates as listed on Exhibit «B >, 12. Defendant New Age received and accepted the goods and merchandise as listed in Exhibit "B" and in the hereinafter described invoices, Exhibits "C" and "D." 13. The prices set forth in Exhibit "B" are fair and reasonable market prices for the goods and merchandise sold at the time and aze the prices which Defendant New Age agreed to pay. 14. The prices charged and credits given for payment are listed on Exhibit "B." 15. On October 18, 1999, at Defendant New Age's request, Plaintiff shipped goods and merchandise to Defendant New Age, as listed in the invoice which is attached and incorporated as Exhibit "C." 16. On November 18, 1999, at Defendant New Age's request, Plaintiff shipped goods and merchandise to Defendant New Age, as listed in the invoice which is attached and incorporated at Exhibit "D." 17. Pursuant to the agreements made by the parties, Defendant New Age is in breach of said agreement for failure to pay for the goods in the amount of $10,613.24. 18. Although Plaintiff has made repeated demands for payment, Defendant New Age has not made payment. WHEREFORE, Plaintiff International Gamco, Inc. demands judgment against Defendant New Age Games, Ltd. in the amount of $10,613.24, plus interest and costs, which amount is below the jurisdiction of $20,000 requiring compulsory arbitration. COUNT II 19. Plaintiff incorporates paragraphs 1 through 18, by reference, without restating same. 20. Defendant John H. Morrison represented to Plaintiff that Defendant New Age was anew business. 21. As a further inducement for Plaintiff to do business with the Defendant New Age, Defendant John H. Morrison, Defendant Keith P. Thomas, and Defendant William B. Barrick executed and delivered a Guarantee Agreement to Plaintiff, which guarantee is part of Exhibit «A „ 22. According to said Guarantee Agreement, Defendant John H. Morrison, Defendant Keith P. Thomas, and Defendant William B. Barrick " ... rther personally guarantee payment of all indebtedness, including legal and collection fees incurred now, and in the future from International Gamco, Inc., which guarantee has no limit." 23. Defendant New Age is currently indebted to Plaintiff in the sum of $10,613.24, and Defendant John H. Morris, Defendant Keith P. Thomas, and Defendant William B. Barrick have breached the Guarantee Agreement and are, therefore, individually, personally liable to Plaintiff in the sum of $10,613.24, plus interest, costs, and attorney's fees pursuant to said Guarantee Agreement. WHEREFORE, Plaintiff International Gamco, Inc. demands judgment against Defendant John H. Morrison, Defendant Keith P. Thomas, and Defendant William B.
