2, At the oral and special instance and request of Defendant,
Novco Supply Inc" Plaintiff sold and delivered to Defendant, Novco
Supply Inc" goods and merchandise, at the times, of the kinds, in the
quantities, and for the prices set forth in Plaintiff's books of
original entry, a true and correct copy of which is attached hereto,
made part hereof, and marked Exhibit nAn,
3, Defendant, Novco Supply Inc" received and accepted the goods
described in Exhibit nAn,
4, The prices, including service and/or other charges, if any,
which are set forth in Exhibit nAn, are the fair, reasonable and market
prices and the prices which Defendant, Novco Supply Inc" agreed to
pay,
5, All credits, if any, to which Defendant, Novco Supply Inc"
is entitled are set forth in Exhibit nAn,
6, Although demand has been made, Defendant, Novco Supply Inc"
has failed to make payment of the amount due as above, As a result of
the foregoing, there is due and owing from Defendant, Novco Supply
Inc" to Plaintiff the sum of $11,543,47, which includes attorney's
fees of $2,308,69 in accordance with the credit application,

WHEREFORE, Plaintiff claims there is now justly due and owing by
Defendant, Novco Supply Inc" the sum of $11,543,47 with interest at
18% from January 25, 2002 and costs on Count I,

7, Paragraphs 1 through 6 are incorporated by reference,
8. On or before January 25, 2002, Plaintiff delivered goods and
services to Defendant, Novco Supply Inc" at the times, of the kinds,
in the quantities, and for the prices set forth in Plaintiff's books of
original entry, true and correct copies of which are shown as Exhibit
lIA".
9, Defendant, Novco Supply Inc" received and accepted the goods
and services shown on Exhibit "A", and benefited thereby,
10, The goods and services have a reasonable worth of
$11,543,47,
11, Defendant, Novco Supply Inc., received the benefit of the
goods and services from Plaintiff and it is unconscionable for
Defendant, Novco Supply Inc" to receive those benefits without making
restitution to Plaintiff,
12, It can be inferred from the acts in the light of the
surrounding circumstances that Defendant, Novco Supply Inc" implied
that it would pay Plaintiff for the goods and services,

13, Under the circumstances of the case, the ordinary course of
dealing and the common understanding of mean, there is shown a mutual
intention by Plaintiff to sell and Defendant, Novco Supply Inc" to pay
for the goods and services,
14, Under the circumstances, the goods and services were
delivered to Defendant, Novco Supply Inc" under an implied promise to
pay as much as they were reasonably worth,
15. All conditions precedent to the present action have occurred
or been performed,
16, Defendant, Novco Supply Inc" is liable to the Plaintiff in
the sum of $11,543,47 under the theory of quantum valebant, quantum
meruit, quasi contract, implied contract, goods had and received,
and/or unjust enrichment,
WHEREFORE, Plaintiff claims there is now justly due and owing by
Defendant, Novco Supply Inc" the sum of $11,543.47 with interest at
18% from January 25, 2002 and costs on Count II,
COUNT I II
Kessler Industries Inc, vs, Kevin & David Novinqer
17, Plaintiff incorporates by reference all of the allegations
contained in the preceding paragraphs hereof, as if more fully set
forth herein.

18, In order to induce the Plaintiff to extend credit to Novco
Supply Inc., all of which is more fully described in Count I hereof,
the above-named Defendants, Kevin Novinger and David Novinger, executed
a guaranty of the liability of Novco Supply Inc, A true and correct
copy of said guaranty is attached hereto made part hereof and marked
Exhibit "A",
19, As a result of the foregoing, there is due and owing from the
Defendants, Kevin Novinger and David Novinger, to the Plaintiff the sum
of $11,543,47 as aforesaid to Plaintiff the sum of $11,543,47, which
includes attorney's fees of $2,308,69 in accordance with the terms of
the personal guaranty,
20, Although Plaintiff has made demand upon Defendants, Kevin
Novinger and David Novinger, for the payment of the aforementioned sum,
Defendants, Kevin Novinger and David Novinger, have failed and refused
to pay the same or any part thereof,
WHEREFORE, Plaintiff demands judgment against the Defendants,
Kevin Novinger and David Novinger, in the sum of $11,543,47, with
interest at 18% from January 25, 2002

The Answer ofNovco Supply, Inc., and Kevin Novinger and David Novinger, by and
through their counsel, Cunningham & Chemicoff, P.C., to the Complaint filed by Kessler
Industries, Inc. is as follows:
1. Admitted.
COUNT I
KESSLER INDUSTRIES. INC. vs. NOVCO SUPPLY. INC.
2. The averments contained in Paragraph 2 represent conclusions of law to which no
response is required and such averments are therefore denied. Ifand to the extent it is later judicially
determined that an Answer is required, then Defendant Novco specifically denies that the document
attached as Exhibit "A" to the Complaint represents evidence of the averments contained in
Paragraph 2 as such Exhibit is nothing more than a self-serving accounts receivable cash receipt
worksheet generated by Plaintiff, which is not signed or acknowledged by Defendant Novco or any
authorized agent therefore. Strict proof that Plaintiff sold goods and merchandise at the oral and
special insistence of and to Defendant Novco as set forth therein, is demanded, if relevant, at time
of trial.
3. The averment contained in Paragraph 3 represent a conclusion of law to which no
response is required and such averment is therefore denied. As further Answer, Defendant herein
incorporates its Answer to Paragraph 2 above as if more fully set forth.
4. The averments contained in Paragraph 4 represent conclusions of law to which no
response is required and such averments are therefore denied. As further Answer, Defendant herein
incorporates its Answer to Paragraph 2 above as if more fully set forth.
5. The averment contained in Paragraph 5 represents a conclusion of law to which no
response is required and such averment is therefore denied.
6. Defendant Novco specifically denies owing the slim set forth in Count I of Plaintiffs
Complaint and strict proofthereof is demanded, if relevant, at time of trial. Defendant Novco further
specifically denies owing attomey's fees in the amount of $2,308.69 to Plaintiff and strict proof
thereof is demanded, if relevant, at time of trial.
WHEREFORE, Defendant Novco Supply, Inc. respectfully requests that this Honorable
Court enter an Order dismissing Count I of Plaintiff s Complaint with prejudice and further awarding
Defendant Novco Supply, Inc. all such other relief as is proper and just.
COUNT II

COUNT III
KESSLER INDUSTRIES. INC. vs. KEVIN & DAVID NOVINGER
17. Defendants Kevin and David Novinger herein incorporate the Answer to Paragraphs
1 through 16 above as if more fully set forth.
18. The averments contained in Paragraph 18 represent conclusions oflaw to which no
response is required and such averments are therefore denied. If and to the extent it is later judicially
determined that an Answer is required, then Defendants Kevin and David Novinger specifically deny
the averments contained in Paragraph 18 and strict proof thereof is demanded, if relevant, at time
of trial. As further Answer, Defendants Kevin and David Novinger specifically deny that the
Plaintiffs Complaint contains an executed guaranty ofliability as part of Exhibit "A" thereto and
strict proof thereof is demanded, if relevant, at time of trial.

IN RE: PRETRIAL CONFERENCE
A pretrial conference was held Monday, February
7, 2005, before the Honorable Edward E. Guido, Judge. Present
for the Plaintiff was Robert Morris, Esquire. Present for the
Defendants was Bruce J. Warshawsky, Esquire.
This is a simple contract action for collection
on an open account. Defendants dispute the amounts due. The
parties estimate that the case will take one half day to try.
A bench trial will be held before this Court on
Monday, April 4, 2005, commencing at l:OC p.m. The parties are
directed to exchange exhibits by close of business on March 7,
2005. Any objection to the exhibits, other than relevancy, shall
be made in the form of a motion in limine.
All motions in limine, with supporting authority,
shall be filed by close of business on March 21, 2005. Any
responses, with supporting authority, shall be filed by close of
business on March 31, 2005.
All exhibits shall be pre-marked.
The parties are in the midst of ongoing
settlement negotiations.
