WHEREAS, HOLY SPIRIT HOSPITAL OF THE SISTERS OF CHRISTIAN CHARITY, a domestic
nonprofit corporation, of 503 North 21st Street, Camp Hill, East Pennsboro Township, Cumberland County,
Pennsylvania, hereinafter called "Owner", has executed a Standard Form of Agreement Between Owner
and Construction Manager ("Agreement") with THE NORWOOD COMPANY, a domestic corporation, with
a principal place of business at 872 Poplar Church Road, Camp Hill, Pennsylvania, hereinafter called
"Contractor," for the construction of a four (4) story addition to the existing Hospital Facilities ("Addition"),
containing approximately one hundred thirty-two thousand (132,000) square feet, together with interior
renovations to the existing Hospital Facilities, site improvements including, but not limited to, construction
of a relocated access drive or drives, modifications to existing parking areas, storm water management
facilities and sanitary sewer facilities (collectively "Improvements"), upon real estate situate in East
Pennsboro Township, Cumberland County, Pennsylvania, being more particularly bounded and described
as follows:
BEING Lot #1, Final Subdivision Plan for Two Tracts of Land for Holy Spirit
Hospital of the Sisters of Christian Charity, dated February 3, 1987, recorded
in the Office of the Recorder of Deeds of Cumberland County, Pennsylvania,
in Plan Book 53, Page 16 and as shown on the Preliminary/Final Land
Development Plan for Holy Spirit Hospital of the Sisters of Christian Charity
Cardiac Building Addition, dated November 15, 2000, last revised May 17,
2001, recorded in the Office of the RecIf..der of Deeds of Cumberland
County, Pennsylvania, in Plan Book 8" ,Page 1 &'. The above-
described Lot #1 contains 19.76 acres, more or less, and has erected
thereon the existing Hospital Facilities and other improvements. The above
Lot #1 is hereinafter called "Lot #1."
NOW THEREFORE, THIS AGREEMENT WITNESSETH: That the Contractor, for and in
consideration of the sum of One ($1.00) Dollar to Contractor in hand paid by Owner, receipt whereof is

hereby acknowledged, and the further consideration mentioned in the Agreement, Contractor and
Contractor's subcontractors, and all persons and parties acting through or under Contractor and Contractor's
subcontractors, covenant and agree that no mechanic's liens or claims shall be filed or maintained by them or
any of them against the Addition, Improvements and the above described Lot #1 for or on account of any
work done or labor or materials furnished by them or any of them under the Agreement for, towards, in, or
about the construction of the Addition and Improvements on Lot #1 described above and the Contractor, for
itself, its subcontractors and others under them hereby expressly waive and relinquish the right to have, file,
and maintain any mechanic's liens or claims against the Addition, Improvements and the real estate
described above, and agree that this instrument, waiving the right of lien, shall be an independent covenant.
