6, Defendant J, Gregory Greco is an adult individual with an address for
conducting business at 25 Carlisle Street, Hanover, Adams County, Pennsylvania. At
all times relevant to this Complaint, Greco acted as an agent, officer and employee of
the Bank,
7, Defendant Jeffrey K. Dice is an adult individual with an address for
conducting business at 25 Carlisle Street, Hanover, Adams County, Pennsylvania, At
all times relevant to this Complaint, Dice acted as an agent, officer and employee of the
Bank.
8. At all times relevant to this Complaint, Stephen W. Barnett and Ann p,
Barnett (collectively, "Ihe Sarnells") were President and Secretary of Klchen Works,
respectively, aa well as shareholders of Kichen Works,
9. At all times relevant to this Complaint, Obenstlne was Treasurer of Kichen
Works, as well as a shareholder.
10, On October 1, 1996, Kichen Works and the Bank entered into a Loan
Agreement whereby the Bank extended to Kichen Works a $300,000 term loan and a
$700,000 line of credit loan.
11, The Bank required Ihat the Barnells and Obenstlne personally guaranlee
the obligation of Kichen Works, and further required thai the Barnells and Obenstine
pledge their personal residences as collateral for the loans,
12, The Bank further reqUired that all of Kichen Works' business accounts be
maintained with the Bank.

13. The Bank further required that the debt then owed by Klchen Works to the
Barnetts be subordinate to Klchen Works' debt with the Bank,
14, Klchen Works would deposit sums of money into the Bank, Including credit
card purchases, each night for overnight investment, with the understanding that the
Bank would credit the checking account the next day.
15, Subsequent to entering into the Loan Agreement, Kichen Works
requested that the Bank provide them daily statements regarding their operating
accounts, in particular their credit card accounts,
16, The Bank refused to do such, stating that their system was unable to
produce such statements,
17, On January 2, 1997, the Bank debited Kichen Works' checking account In
the amount of $182,162,25, for the purpose of overnight Investing,
18, The fOllOWing business day, the Bank incorrectly credited the checking
account with only $54,337,13,
19, As the Bank had previously refused to provide statements regarding the
checking account balance, Klchen Works was unaware that their Checking account was
incorrectly short nearly $130,000,
20, Kichen Works continued to negotiate checks for their account, unaware of
the deficiency in the account.
21, Due to the error of the Bank, numerous checks to suppliers were returned
due to non-sufficient funds,

31, In addition to the various suppliers who were provided Insufficient funds,
Klchen Works provided to the State of Maryland a check with Insufficient funds, In the
amount. of $39,585,83, for sales and use tax,
32, Said check would have properly cleared the Bank absent the Bank's error.
33, The Bank eventually agreed to pay any penalties and Interest assessed by
the State of Maryland for the dishonor of the check provided by Klchen Works,
34, In order to shield itself from liability, the Bank required Klchen Works to
execute a Release, absolving the Bank from liability for their error.
35, In order to induce Kichen Works to execute the Release, the Bank stated
that, in return for the Release, they would renew the line of credit currently existing,
36. The Bank knew that, as of the date of the Release, July 23, 1997, Kichen
Works was In financial distress and would require the renewal of the line of credit to
remain in business,
37, Contrary to the promises made by the Bank, subsequent to Klchen Works
signing the Release, the Bank refused to renew the line of credit, but rather, agreed only
to extend the credit line until the end of the year
38 The Release was entered Into by Kichen Works due to fraud and duress,
39. On August 6, 1997, Klchen Works and the Bank entered into a Loan
Modification Agreement (Said Loan Modification Agreement Is attached as Exhibit "B"),
40. As a term of the Loan Modification Agreement, Klchen Works was
required to establish a cash collateral account whereby Kichen Works was required to

times relevant to this Complaint, Greco acted as an agent, officer and employee of the
Bank.

conducting business at 33 Carlisle Street, Hanover, York County, Pennsylvania. At all
times relevant to this Complaint, Dice acted as an agent, officer and employee of the
Bank,
8. At all times relevant to this Complaint, Stephen W. Barne!t and Ann P.
Barnett (collectively, "the Bamells") were President and Secretary of Kichen Works,
respectively, as well as shareholders of Kichen Works.
9. At all times relevant to this Complaint, Obenstine was Treasurer of Klchen
Works, as well as a shareholder.
10. On October 1, 1996, Kichen Works and the Bank entered into a Loan

produce such statements. It was later determined that the Bank could produce such
statements on a daily basis.
H. On January 2, 1997, the Bank debited Klchen Works' checking account in
the amount of $182, 182.25, for the purpose of overnight Investing.
18. The following business day, the Bank incorrectly credited the checking
account with only $54,3,,7.13.
19. As the Bank had previously refused to provide statements regarding the
checking account balance, Kichen Works was unaware that their checking account was
incorrectly short nearly $130,000.

20. Klchen Works continued to negotiate checks for their account, unaware of
the deficiency in the account.
21. Due to the error of the Bank, numerous checks to suppliers were returned
due to non-sufficient funds.
22. It Is believed and therefore averred that Greco and Dice were the
individual bank agents and/or employees responsible for this account error.
23. Due to their failure to make timely payment, various suppliers refused to
ship additional product, or would ship product only C.O.D.
24. On January 28, 1997, the Bank contacted Kichen Works and stated to
them that their account was overdrawn by $100,000.
25. Kichen Works advised the Bank and its agents, Greco and Dice, that this
"overdraft" was incorrect, and was instead an error of the Bank.
26. The Bank offered to cover some of the alleged overdrafts by providing a
loan in the amount of $100,000 to Kichen Works, with the full amount being due within
three weeks.
27. Due to the financial situation in which they were placed by the Bank,
Klchen Works agreed to such loan.
28. In order to repay the loan in the limited time available, Kichen Works was
forced to neglect other outstanding bills.
29. Kichen Works advised the Bank and its agents. Greco and Dice, on
numerous occasions that this "overdraft" was due to the negligence of the Bank. Upon

Information and belief, the Bank and its agents, Greco and Dice, recklessly and with
complete Indifference to the rights of the Plaintiffs, failed to take any steps to Investigate
the actual cause of this "overdraft".
30. The Bank and its agents, Greco and Dice, not only refused to correct the
mistake, but failed to recognize that the error was their doing, and Instead accused
Kichen Works of poor accounting procedures.
31. The Bank and its agents, Greco and Dice, knew or reasonably should
have known that the "overdraft" existed sOlely due to the errors and negligence of the
Bank.
32. On or about February 18, 1997, the Bank finally realized their error and
credited Klchen Works' checking account in the amount of $127,809.12.
33. In addition to the various suppliers who were provided insufficient funds,
Kichen Works provided to the State of Maryland a check with Insufficient funds, In the
amount of $39,585.83, for sales and use tax.
34. Said check would have properly cleared the Bank absent the Bank's error.

42. On August 6, 1997, Kichen Works and the Bank entered into a Loan
Modification Agreement. (Said Loan Modification Agreement is attached as Exhibit "B").
43. As a term of the Loan Modification Agreement, f(ichen Works was
required to establish a cash collateral account whereby Klchen Works was required to
deposit certain sums on certain dates ranging from October 20, 1997, to January 1,
1998. The total amount required to be deposited totaled $700,000.
44. Due to the action of the Bank and its officers, agents and employees,
Kichen Works and its shareholders have suffered extreme damages, including the
bankruptcy and dissolution of Kichen Works. the personal debt incurred by the Bametts
and Obenstine due to their personal guarantees of Kichen Works' obligations, and the

COUNT IV
Klehen Works, Ine, v. Bank of Hanover & Trust Company
CONVERSION
60. Paragraphs 1 through 59 are incorporated fully herein by reference.
61. The Bank improperly converted funds, in the amount of $127,845.12,
which were the property of Kichen Works.
62. The Bank failed to return such funds or allow access to such funds for a
period of over 6 weeks.
63. The Bank failed and refused to allow access to such funds despite Kichen
Works' continued efforts to obtain the funds.
64. The Bank failed and refused to investigate their own error and negligent
conduct, despite Kichen Works' repeatedly advising the Bank that the negative balance
was due to Its own actions.
65. The Bank Intentionally withheld Klchen Works' access to their monies,
which continued to be held by the Bank.
66. Due to such conversion, Kichen Works was unable to timely pay vendors
or creditors, lost vendors and sales, incurred late charges to creditors, eventually filed
for bankruptcy, and have ceased to do business.

(herelnufter "Bank") having offiees at 25 Carlisle Street, Hanover, I'ennsylvunin 17331.
WITNESSETH:
WlmREAS, Borrower dcsires the Bank muke availnble to Borrower certain credit
accommodations, including a term lonn nnd a revolving credit loan as hereinafter described and
as set forth in the Bank's letter of eonllnitment dated July 31, 1996 ("Commitment Leiter"), and
WHEREAS, the Bank has agreed make available to Borrower such credit accommodations
upon those ccrtain terms and conditions hcreinafter set forlh; and
NOW THEREFORE, and in consideration of the mutulIl covenants and warranties
eontained herein, and for other good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledged, the parties agree as follows:
I. The Loans. Thll credit facilities subject to this Agreement ("Loans") shall include
the Leans described in subparagraphs a and b hereof and any other credit facilities extended by
Bank to Borrower which are made expressly subject to the terms hereof.
a. The Term Loan. The amount of the term loan ("Term Loan") shall be
$300,000,00 and the Term Loan is to be extended by the Bank to Borrower for
the purpose of refinancing existing term debt and to finance leasehold
improvements and equipment. To thc extent the proceeds of the Term Loan are
utilized 10 finance leasehold improvements and equipmcnt. such proceeds l11ay be
disbursed (i) to Borrower, (ii) 10 the vendor or provider of such leasehold
improvements, 01' (iii) jointly to Borrower and such vendor or provider, as the
Bank may elcct in its sole discretion. Advances for leasehold improvements and
equipment shall be limited to one hundred percent of the actual costs of such
leasehold improvcl11ents and equipment, as documented in form and substance
sutisfactory to the Bunk.
b. The Line of Credit Loan. The amount of the line of credit loan ("Line
of Credit Loan") shall be $700,000,00 and the Line of Credit Loan is to be
extended by the Bank to Borrower for the purpose of financing of working cllpitul.
Notwithstanding the ubove stilted principal amount of the Line ofCrr.dit Loan, the
principal amount outstanding thereunder Illay not at any time exceed an amount.
equal to fifty percent of Borrower's qualified inventory as determined by the Bank
in the sole exercise of its discretion. II shall be a condition of the Line of Credit
Loan that, for at least a continuous period of thirty consecutive days during eaeh
Iwelve'lllonth period throughllut thc term of thc Loan or any extension thereof,
Bon'ower shall reduce the principal balance outstanding under the Line of Credit
LOlln to $0.00.

a. The Term Note, Borrower, as maker, shall execute and deliver to the
Bank II Term Loan Note (the "Term Loan Note"), in favor of the Bank as payee

Note shall bear interest at ten percent per annum and shllll provide for payment
of all outstanding and unpaid interest in monthly installments beginning November
30, 1996, and continuing on the last day of each and every month thereafter.

Notwithstanding the foregoing, all principal, interest and other charges outstanding
under the Note shall be paid on or before October I, 200 I.
b. The Revolvinl! Credit Note. Borrower, as maker, shall execute and
deliver to the Bank a Revolving Credit Note (the "Revolving Credit Note"), in
favor of the Bank as payee in the prineipal amowlt of Seven Hundred Thousand
Dollars ($700,000.00), which Note shall bear interest at the National Prime Rate,
plus one and one-half percent (\.5%). The Note shall provide for paYl11ent of
lIeerued interest monthly as invoiced by the Bank, beginning September 30, 1996,
and continuing on the last day of each and every month thereafter.
Notwithstanding the foregoing, all principal, interest and other charges outstanding
under the Note shall be paid on or before May 30, 1997.
3. Prcpavment. The indebtedness under the Tenn Loan NMe and the Revolving

to be kept in force throughout the terl11 of the Loans.
d. Such other documents or agreements of security and appropriate
assurances of validity and perfected priority of lien or security interest as the Bank
may request at any time, including, but not limited to such additional security as
is contemplated by the Bank.
5. !!!u!ranties and Collateral Mortl!al!es. All amounts outstanding under thc Notes
shall be guaranteed by Borrower's officers. Stephen \/. Barnell, Anne P. Barnell and James W.
Obenstine (collectively "Guarantors") pursuant to guaranty and suretyship agrcemcnts in form and
substance satisfactory to the Bank which guaranty and suretyship agreements shall be further
secured by collateral mortgages ("Mortgages") in form and substance satisfactory to the Bank on
the personal residence of the Guarantors. The said Mortgages shall be junior and subordinate to
no liens or security interests other than those expressly accepted by Bank.
6. ReDresentations and Warranties. Borrower represents and warrants and such
representations and warranties shall be deel11cd to be continuing representations and warranties
during the entire life of this Agreement:
a. Borrower is a corporation duly org/llli:r.ed and existing in good standing
under the laws of the Commonwealth of Pennsylvania.
b. Exceution, delivery and performance of this Agrecmeat, the Notes and
all other documents and instruments required under this Agreement (hereinafter
collectively referred to as "Loan Documents") are within Borrower's powers or
within the powers of the parties executing, delivering or perfornling such
documents, are not in contravention of luw or the temlS of Borrower's Articles of
Incorporation or Bylaws, and do not rcquire the consent or approvul of any
governmcntal body, agency or authority.
c. This Agrcemenl, the Notes and Ihe other Loan Doeuments, when issulld
and delivered undcr this Agreemcnt, will be valid and binding in aceordllnce with
thcir terms.

permitted in this Agreement.
g. Each financial statement of Borrower or any guarantor previuusly
furnished the Bank are complete and correct and fairly presents the financial
condition of Borrower or any such guaruntor; since date of the most recent
linancial statement there hus been no material adverse ehange in the financial
condition of Borrower or any such guarantor; Borrower has no contingent
obligations (including any liability for tllJ(es) not disclosed by or reserved ugainst
in said balance sheet, and at the present tlmc there are no material unrealized or
anticipated losses from any present cOllUnitment of Borrower.
7. Affirmative Covenants. Borrower covenants and agrees that it will, so long as any
indebtedness remains outstanding under this Agreement:
a. Furnish to the Bank:
i. within ninety (90) days after and as of the end of each of
Borrower's fiscal years, detailed financial statements of Borrower in
foml and substanec satisfactory to the Bank audited by a eertificd
public accounting firm satisfactory to the Bank.
Ii. within fifteen (15) days after and as of the end of each
month, detailed company prcpared financial stutements, accounts
rceeivable rcports and inventory reports.
iii. semi-annual inventory audits conducted by an independent
company acceptuhle to the Bank on Febmary 28th and August 31 st of
each year and reported to the Bank within thirty days of the audit
datc.
iv. monthly horrowing hase certificates signed by the Borrower's
chief financial officer on or before the fifteenth day of each month,
hased on transactions lhrough the end of the preceding month;

v. such lnfonnation as is I'cquired by the terms of the
Commitment Leller or llny Loan DoclUllcnts or other instruments
referred to in this Agrecment; llnd
vi. promptly, nnd in form to bc satisfactory to the Bank, such
other information as thc Bnnk may reasonably rcqucst from time 10

b. CIIUSC Guarantors to furnish to the Bank, in such form and detail as the
Bank may require, year-end annual financial statements for such Guarantors and
the federal income tax returns filed by such Guarantors, on or beforc March 31 st
of thc year following the year to which such nnnulIl finnncial statements and
federal income tax returns pcrtain.
e. Maintain with Bank all of Borrower's principal operating accounts.
d. Permit the Bank, by and through its agents and employecs, at any time
and from time to time, to exwnine, review and inspect the books and records of
Borrower and to perform such audits of the assets of Borrower as the Bank may
deem appropriate in the sole exercise of its discretion.
e. Pay and discharge all taxes and other governmental charges, and all
eonlractual obligations calling for the payment of money, beforc the same shall
become ovcrdue, unless and to the cxtcnt only that such paymcnt is bcing
contested in good faith,
f. Maintain insurance coverage on its physical assets and against other
business risks (including general public liability) in such amounts and of such
types as are customarily carried by companies similar in size and nature, and in
the event of acquisition of additional property, real or personal, or of incurrence
of additional risks of any nature, increase such insuranec coverage in such manner
and to such extent as prudent business judgment and present practice would
dictate; and in the CII.'lC of all polieies covering property mortgaged or pledged to
the Bank or property in which the Bank shall have a security interest of any kind
whatsoever, other than those policies protecting against casualty liabilities to
strangers, all sueh insurance policics shall provide that the loss payable thereunder
shall be payable to Borrower and the Bank as their respective interests may
appear, all said policies or copies thereof, including all endorsements thereon and
those required hereunder, to be deposited with the Bank.
g. Promptly notify thc Bank of any condition or event which constitutes
or with the running of time and/or the giving of notiee would constitute a dcfault
under this Agreement, and promptly inform the Bank of any matcrial adverse
change in Borrower's financial condition.
h. Maintain in good standing allliccnses required by the Commonwealth
of Pennsrlvania, or any agency thereof, or other govemmental authority that may

be necessary or required for Borrower to carry Oil its geneml busincss objects and
purposes.
i. At any time upon request of the Blink, execute and deliver to the Bank,
in form to be satisfactory to the Bank, such additional docllmentatlon in respect
to the indebtedness and liability of Borrower to the Bank contemplated under the
terms of this Allreementlls the Bank shall deem nccessary or desirable to comply
with the provisions or requirements of the Uniform Commercial Code as the same
may be effective in the COlllmonwelllth of I'cnnsylvania or any other state
adopting said Code.
8. Nel!atlve COVJD!.IlU, Borrower covenants nnd agrees that, so long as any
indebtedness remains outstnndlng under this Agreel11ent, it will not, without prior written consent
of the Bank, which consent shall be exercised in good faith:

manner effectuate or attempt to effectuate an expansion of present business by
acquisition.
f. Affirmatively pledge or mortgage any of its assets, whether now owned
or hereafter acquired, or create or permit to exist any lien security interest In, or
encul11brance thereon, except to the Bank.
g. Lease any real, personal or mixed property, except in the ordinary
eoutse of business.
h. Sell or assign any account, note or trade acceptance receivable, except

Borrower's part to be performed or observed under any agrr.ement or instrument
relating to any such indebtedness, when required to be performed or observed, if
the effect of such failure to pcrform or observe is to accelerate. or to permit the
acceleration after the giving of notice or passage of time, or both, of the maturity
of such indebtedness, whether or no! such failure to perfoml or obscrve shall be
waived by the holder of such indebtedness; or any such indebtedness shall be
declared to be due and payable, or required to be prepaid (othcr than by a
regulllrly scheduled required prepayment), prior to the stated malurity thereof;
e. Borrower (I) is generally not, or is unable to, or admits in writing
inability to, pay Borrower's debts as such debts become due; or (2) makes an
assignment for the benefit of creditors, petition or apply to any tribuflal for the
appointment of a custodian, receiver, or trustee for Borrower or a substnntial part
of Borrower's assets; or (3) commences any proceeding under allY bwlkruptcy,
reorganization, arrangement, readjustment of debt, dissolution, or liquidation law
or statute of any jurisdietioll, whether now or hereafter in effect; or (4) has any
such petition or application filed or any such proceeding coml11enced against
Borrower in which an order for relief is entered or adjudication or appointment is
made and which remains undismissed for a period of thirty (30) days or more; or
(5) by Bny act or omission indicates Borrower's eonscnt to, approval of, or
acquiescence in any such pr.;tition, application, or proceeding or order for relief or
the appointment of a custodian, receiver, or trustee for all or any substantial part
of Borrower's or properties; or (6) suffers any such custodianship, receivership,
or trusteeship to continue undischarged for a period of thirty (30) days or more;
f. The Mortgage at any time after execution and delivery and for any
reason eellscs (I) to create a valid and perfected lien in lII1d to the propcrty
purported to be subject to such Mortgage; or (2) to be in full forcc and effect or
shall be dcelared null and void, or the vnlidity or enforceability thereof is
contested by Borrower, or Borrower denies any further liability or obligation under

the Mortgage, or Borrower foils to perltmn any of Borrower's obliglltions under
the Mortgage;

is declllred null and void or the validity or enforceability thereof is contested by
any guarantor, or any guarantor dies or denies any further liability or obligation
under the guaranty, or any guarantor fails to perfonn any of such guarantor's
obligations under the guaranty; or
h. There is entered against Borrower or any pnrtner of BO/Tower or any
guarnntor II judgment, levy or lien of a material nature or a writ or warrant of
attachment, execution, garnishment or similar process of a material nature is issued
by any court against all or part of the property of Borrower or any partner of
Borrower or any guarantor, which is not satisfied or released within thirty (30)
days.
10. lliulledies. Upon the oeeurrenec of an Event of Default as set forth in Seelion 9
hereof, the Bank sholl have all rights and remedies provided under applicable law and shall be
deemed to have exercised the SlImc immedilltely upon the occurrence of such Event of Default
without notice 01' future action. The Bank shall have such further rights as may provided in the
Notes or the other Loan Documents. Upon an Event of Default hereunder, the Bank may declare
a default under the Notes and accelernte all payments due thereunder.
II. Cross-I>efault. An Evont of Default hereunder shali, at tho Bank's option.
automatically constitute a default of any other present or future obligation of Borrower or any
endorser, surety or guarantor of the Notes. Likewise, a default of any present or futurl'l obligation
of Borrower, or arlY endorser, surety or guarantor to Bank sl1l1l1, at the Bank's option,
automatically constitute a default hereunder.
12. Cross-Collaterallzation. All of the property given or pledged as security collateral
for any obligation su~jeet to this Agreement subject be collateral security for any other obligation
of Borrower 10 the Bank and any property given or pledged to seeure any other obligation of
Borrower to the Bank shall secure all obligations subject to this Agreemen\.
13. JIIotices. All notices and other communications provided for under this Loan
Agreemenr shall be in writing and mailed 01' delivered, if to Borrower, at Borrower's address at
1805 Loucks Road, York, Pennsylvania 17404, and if to the Bank, at its address as set forth
above; 01', as to each party, at such other address as shall be designated by such pnrty in a written
notice to the other party complying as to delivery with the terms of this parllgraph. All such
notices llIld communications shall be cffeetive two days after the date deposited in the mails
addressed as aforesaid.
14. Miscellaneous.
a. This Agreement shall be binding upon and shall inure to the benefit of
Borrower and the Bank and their respective successors and assigns.
