Libraries, by and through her counsel, Law Offices of craig A.

1. Plaintiff is Diane Fisher d/b/a Fishnet Internet

4. In May, 1998, the parties hereto entered into a Contraot
of Sale for the sale and purchase of. certain business assets of
Plaintiff, (hereinafter referred to as the "Cont.ract").
5. The Contract, as executed by Plaintiff and Defendant is
a valid and enforceable contract between t.he parties. A true and
oorrect copy of the Contract is attached hereto as Exhibit "A" and
the terms thereof are incorporated herein as if fully set forth.
6. The Cont.ract between the parties was negotiated and
executed in Cumberland County, Pennsylvania.
7. At the Ume of the execution of the Contract, Plaintiff's
business and the pusiness assets that are the subject of the
Contract were located at 214 Third Avenue, New Cumherland,
Cumberland County, Pennsylvania 17070.
8. In consideration of Plaintiff's agreement to sell certain
business assets to Defendant, Defendant agreed to provide to
Plaintiff the following consideration:
(1) A certificate of credit in the amount of Five Thousand
Dollars ($5,000.00);
(2) Forty-Five Thousand Dollars ($45,000.00) in monthly
installment payments as designated in Paragraph Two (2) of the
Contract of Sale; and
(3) Plaintiff agreed to assume certain liabilities and
obligations as designat.ed in the Contract.
9. Plaintiff fully performed any and all of her obligations
as designated by the terms of the Contract between the parties, and
therefore, performed any and all conditions precedent, if any, to
Defendant'p,. duty to perform.

10. Paragraph two (2) of the Contraot between the parti..
provides, inter AliA, that Defendant would provide a certifioate of
oredit in the amount of Five Thousand Dollars ($5,000.00) at the
time of the execution of the contraot, and that Defendant would pay
to Plaintiff the balance of Forty~Five Thousand Dollars
($45,000.00) in monthly installment payments of Five Hundred
Dollars ($500.00) for a period of twenty-four (24) consecutive
months, wjth the remaining principal balance due on or before the
twenty-fifth (25th) month, and Interest accruing annually at a rate
of four percent (4%).
11. Defendant failed to provide to Plaintiff, as required by
the terms of tho Contract, the certificate of credit in the amount
of Five Thousand Dollars ($5,000.00).
12. Defendant made only three (3) installment payments in a
tilnely manner as required by the terms of the Contract between the
parties. Said payments were made in May, June and July, 1998, for
the Bum of Five Hundred Dollars ($500.00) each month.
13. Defendant's additional installment payments were limited
in number and did not comply with the terms of the Contraot between
the parties.
14. Defendant's payments were def.tciellt as Defendant. paid
only Three Hundred Fifty Dollars ($350.00) 1n August and purchased
software purportedly valued at One Hundred Fifty Dollars ($150.00);
Defendant paid no money t.o Plaintiff in September and purchased two
(2) radios purportedly valued at 1'hree Hundred Fifty Dollars
($350.00) and provided computer work valued at One Hundred Fifty

15. Defendant failed to make additional paymants required by
the terms of the Contract. More specifioally, Defendant has made
no payments to Plaintiff for October, November, and December, 1990.
16. Plaintiff has demanded the payment of the sums duo, but
Defendant refuses to pay same or any part thereof.
17. The Contnct as executed by the parties specifically
addresses tile manner and amount of payments to be made by Defendant
to Plaintiff,
1.8. The contract has not been altered or modified in any
respeot whatsoever by the parties.
19. Defendant materially breached the terms of the Contract
between the parties when he failed to make the specific payments in
a timely manner as required by the terms of the Contract between
the parties,
20. By reason of Defendant's breach, D~fendant became and is
liable to pay to Plaintiff damages pursuant to the terms of the
Contraot between the parties.
ill. Therefore, Plaintiff is entitled to recover from
Defendant damages in this action equal to the SUm due from
Plaintiff as the considoration of the Contraot, except for valid
sums previously paid by Defendant.

SELLER'S TITLE TO ASSETS
6. Seller represents that Seller has good, absolute, and
marketable title to all of her properties and assets being sold to
Pun;haser pursuant to this Contract, including those assets
described or referred to in the at.tached Exhibit "A"; and that
Seller holds those assets subject to no lease, mortgage, pledge,
lien, charge, security interest, encumbrance, or restriction.
SELI,ER'S CONT:m:!lING OBLIGATIONfJ.
7. From time to time, after the closing, at the request of
Purchaser, Seller shall execute and deliver to Purchaser other
instruments of conveyance and transfer and take other action as
Purchaser may reasonably require more ef fecti vely to convey,

transfer to, and vest in Purchaser, and to put PUJ:chaf.er In
possession of, any of the assets to be conveyed, transferred, and
delivered to Purchaser under this Contract.
SELLER'S DEBTS AND LIABILITIES
8. Purchaser shall assume the following debts, liabilities,
or obligations of Seller.

!!1.TIGATION
10. Seller represents that to the best of Sellel"' s knOWledge,
there are no legal actions, suits, arbitrations, or other legal
adminiscrative or other governmental proceedings pending or
threatened against the Seller or her assets to be transferred to
Purchaser under this Contract; and that Seller is not aware of any
facts that might result in any action, suit, arbitration, or other
proceeding.
,gOMPLIANCE WITH LAW ~ INSTRUMENTS
11. Seller represent a t.hat t.he businp.ss of the Seller has
been conducted in accordance with all applicable laws, rules, and
regulations of all authorities, except those that do not (either
individually or in the aggregate) materially and adversely affect
Seller or her asseto; performance of this Contract. will not result
in any breach of, constitute a default under, or result in the
imposition of any lien or encumbrance on any propm:ty of Seller

CONDITION OF ASSETS

wear and tear excepted, Purchaser agrees t.o purchase said assets
in its "as is" condition, Purchaser aloo has had an opportunity to
inspect the assets and have so inspected t.he assets and are relying
upon their inspection of said assets in their purchase and not on
any other representation contained herein oX' at any other time
made.
BROKERS
13. Seller represents that the introduction of Seller to
Purchaser and all negotiations on the part of Seller relative to
this Contract and the transaction contemplated by this Contract
have been effected and carried on by Seller di.rectly with Purchaser
wi thout the intervention of any broker, finder, or other person.
Seller will not be obligated to pay any commission or fee, in
connection with this Contract.

subject to and conditioned on the satisfaction, at or pdor to the
closing, of all of the terms and conditions of thin Contract to bo
complied with and performed by Seller at or prior to the closing,

a. All noticeo and otheJ: requirements of the
Pennsylvania Uniform Commercial Code shall be complied with
and Purchaser shall bear the costs of any recording or filing
fees; and
b, The representations and warrant:i.es of Seller in this
Contract shall be deemed to hilVe been made again on the
closing date and to be true and correct at that time, subject,
to any changes contemplated by this Contract,
REPRESENTATIONS AND WAR~ANTIF.S
15. All statements of f"ct contained in any memorandum,
certificnte, instrument, or other document delivered by or on
behalf of Seller for information or reliance pursuant to this
Contract shall be deemed representations and warranties by Seller
under this ContJ:act. There are no other repn18entat ions either
written or oral except those contained herein.

16. Seller shall ugree in writing that, for oml (1) year
fOllowing the closing date, SeUer will not, directly or
indirectly, within fifty (50) miles of the office of the Purchaser
in Cumberland County, Pennsylvania, enter into or engage generally
in direct competition with the Purchaser, either as an individual
or as a partner or joint venturer; as an employee or agent for any
person; as an officer, director, or shareholder; or otherwise.
This covenant on the part of Seller shall be construed as an
agreement independent of any other provision of this Contract; and
the existence of any claim or cause of action of Seller against
Purchaser. whether predicated on this Contract or otherwise, shall
not constitute a defense to the enforcement by Purchaser of this
,covenant.
ImJEMNIFICATION
17. Seller agreeE, to indemni fy and hold harmless Purchaser on
and after the closing with respect to any claim, action, loss, and
other damage, resulting to Purchaser from any of the following:
a, Any inaccurate representation made Ly or on behalf
of Seller in or pursuant to this Contract;
b, Breach of any of the warranties made by or on behalf
of Seller in or pursuant to this Contract;
