expenses of construction and maintenance of the sprint car,
engine, and racing team, in exchange for ownership of the sprint
car and engine, and seventy (70%) percent of all race winnings.
Plaintiff constructed the aforesaid sprint car according to
the specifications agreed upon by the parties and completed the
sprint car in September, 1997. However, beginning shortly
thereafter, Defendants breached their contract with Plaintiff by:
failing to pay suppliers of parts and equipment, and/or in a
timely manner; failing to timely reimburse Plaintiff for funds
advanced to Suppliers of parts and equipment on Defendants'
behalf; unilaterally reducing the percentage of race winnings to
be paid to Plaintiff from thirty (30%) percent to twenty-five
(25%) percent; unilaterally involving another individual in the
racing team in a decision-making capacity without Plaintiff's
consent; expressing an intention not to be bound by the parties'
agreement for Plaintiff to exclusively drive the sprint car for
one (1) year; and, failing to provide the necessary funding to
ready the sprint car and racing team for racing for the 1998
season,
On February 4, 1998, as a result of Defendants' continued
breaches of the agreement between the parties, Plaintiff resigned

from the raci.ng team and terminated the oral contract with
Defendants. On P'ebruary 4, 1999, Plaint.iff submitted an itemized
bill to Defendants for the cost of his labor and shop time in
construction of the sprint car and engine in the amount of
$11,882.00, along with demand for payment. of unpaid suppliers of
parts and equipment. totaling $1,680.00. Despite repeated
requests, Defendant.s failed and refused to pay Plaintiff any of
the funds due and owing to him.
Plaintiff retained possession of the completed sprint car
pursuant to an artisan's lien, pending payment of costs and
expenses owed by Defendants for its construction. Beginning
March 1, 1999, Plaintiff notified Defendants he was charging fees
for the storage of the sprint car on his premises, in the amount
of One Hundred Fifty ($150,00) Dollars per month, which
Defendants have refused to pay. Thereafter, on January 21, 1999,
Plaintiff filed a Complaint against Defendants for breach of
contract and unjust enrichment, claiming damages in the amount of
Thirteen Thousand Five Hundred Sixty-Two ($13,562.00) Dollars,
and recovery of storage fees of One Hundred Fifty ($150.00)
Dollars per month.

On March 15, 1999, Defendants filed an Answer and New
Matter. Within Defendants' New Matter it was alleged that
Plaintiff refused to deliver the completed sprint car to the
Defendants thereby breaching the parties' agreement. As such,
Defendants averred damages in the amount of FOI'ty,.Seven Thousand
'I'wo Hundred ($47,200,00) Dollars and requested an additional
award of Five 'rhousand ($5,000.00) Dollars for interest, costs
and attorney fees,
Plaintiff filed a Reply to Defendants' Answer and New Matter
on April 6, 1999, which denied Defendants' Counterclaim.
On September 15, 1999, Plaintiff and Defendants entered into
a Mutual General Release, whereby Defendants agreed to pay
Plaintiff the sum of Seven Thousand ($7,000.00) Dollars in
exchange for Plaintiff relinquishing possession of the sprint car
to Defendants, and the parties agreed to release each other from
any and all claims and/or causes of action which each party might
have against the other, (See Exhibit A attached.) Plaintiff
fully complied with all terms and conditions of the Mutual
General Release, and rel:lnquished possession of the sprint car to
Defendants on September 15, 1999, However, Defendants did not.
comply with their obligation under the Mutual General Release,

MUTUAL GENlmAL RELEASE
THIS MUTUAL GENEnAL nELEASE is made and executed by Lester Kimmel
and William Elicker, t/d/b/llI WII II II l11S Excllvatlng, of Dills burg, Pennsylvania (hereinafter
refcrred to as "Owner"), and nandall L. Wolfc, of Mechanicsburg, Pennsylvania,
(hercinaftcr rcferred to as "Claim aut"),
and
wm:nEAS, Owncr owns II Sprint Car that was fabricated for Owner by Claimant;
WHEREAS, Claimant is presently in possession of said vehiclc and asselting a claim
as an artisan of a lien for scrviccs rendcrcd; and
WHEREAS, Owner may havc a right against Claimant for the unlawful detention of
said vehicle, for breach of contract, and for damages resulting thcrefrom; and
WHEREAS, Claimant may have a claim against Owner for work completed on the
vehiclc and for certain expenscs inculTcd thercin; and
WHEREAS, Claimant has agreed to relinquish possession of said Sprint Car to
Owner, and Owner has acceptcd its retum, and has agreed to pay to Claimant the sum of
$7,000,00 in full settlemcnt of all claims associated with the fabrication and construction of,
and wrongful detention of the Sprint Car; and
WHEREAS, the parties have agreed to execute releases to each other.
KNOW ALL MEN BY THESE PRESENTS, that in pursuance of the agreement
of the patties, and in consideration of the Claimant delivering the Sprint Car to Owner, and
the Owner acccpting delivclY, paying to Claimant the sum of $7,000,00, paying to French
Grimes the sum of $735,00, and paying to David L. Beyer the sum of $966,36, each of the
pmties hereto does remisc, release, quitclaim and forever discharge the other, theil'l'espective
heirs, executors, administrators, successors, and assigns from all claims, demands, actions,
causes of actions, suits, debts, and contracts, especially all claims for the conversion of or
unlawful detention of the above described vchicle, and all claims 1'01' labor, materials Ilnd
contracts relating thereto, which against the other party, each may have or now have from
the beginning of the world to the date of these presence,

and Plaintiff's Response To Paragraph 29. Moreover, Plaintiff
resigned and terminated the oral contract blltween the parties on
lrebruary 4, 1998, due to Defendants' continuing mat.erial breaches
of the contract. On or about March 12, 1998, Defendants accepted
Plaintiff's resignation. As a result, there is no oral agreement
presently in existence between the parties.
29. Admitted in part, denied in part. Plaintiff and
Defendants did not agree const.ruction of the eprint car would be
completed by early May, 1997. The oral agreement between
Plaintiff and Defendants did not contain any date certain as to
when construction of the sprint car would be completed. It is
admitted the original oral agreement between t.he parties included
that. Plainti.ff would be given exclusive driving rights for one
year with the Defendants underwriting the costs of operation and
maintenance of the car. It is denied that the parties agreed
Plaintiff would receive twenty-five (25%) percent of all
winnings. The agreement was that Plaintiff would receive thirty
(30%) percent of all winnings.
30. Admitted in part, denied in part. It is admitted
Plaintiff tendered a letter of resignation on February 4, 1998,
terminating the oral contract with Defendants. 'l'ho remainder of
this averment is denied. Plaintiff did not unilaterally breach
said agreement, and Plaintiff did not tender his resignation
beoause of Defendanta' refusal to abandon the existing agreement

and oreate a new racing team. Plaintiff tendered his resignation
and terminated the oral contraot with Defendants as a result of
Defendants' continuing material broaches of the agreement: as are
more fully set forth in Paragraph 9 of Plaintiff's Complaint.
31. Admit.ted in part, denied in part. It is admitted the
other vehicle owner was from Philadelphia; however, it is denied
said vehicle owner was unknown t.o Defendants. Tho new team was
contemplated by Defendants as well as Plaintiff. Defendants met
with and spoke to the other vehicle owner on several occasions.
It 18 denied said sprint car was to be raced other than as
Defendants contemplated.
32. Denied. See Plaintiff's Response to Paragraph 28. By
way of further answer, there is presently no existl,ng agreement
between Plaintiff and Defendants which Plaint1ff has any duty to
act in accordance with.
33. Admitted in part, denied in part. Plaintiff did not
refuse to comply with the terms of said agreement. Plaintlff
terminated said agreement as a result of Defendants' repeated and
continuing material noncompliance with said agreement. It is
admitted that upon Plaintiff's termination of the oral contract,
Defendants demanded the release of the sprint car. It is
admitted Plaintiff refused to release the sprint car to
Defendants until he was reimbursed by Defendants for the value of

his labor and shop time, as set forth in Paragraph 12 of
Plaintiff's Complaint.
34. Denied. Plaintiff has not breached the original
agreement between the parties. Plaintiff's refusal to operate
the sprint car occurred as a result of Defendants' repeated and
continuing material breaches of the parties' original agreement
whereupon Plaintiff resigned and teI'mlnated said agreement with
Defendants. Plaintiff has not breached the original agreement
nor converted Defendants' assets by refusing to deliver said
vehicle to Defendants because Plaintiff has a valid possessory
artisan's lien ill the vehicle as a result of his efforts in
constructing it, and Plaintiff's possession of t.he sprint car,
until Plaintiff is paid for his services by Defendants, is
lawful,
35. Admitted, Plaintiff has a valid possessory artisan's
lien in said vehicle, and is lawfully entitled to continue in
possession of the sprint car until payment for his labor and shop
time by Defendants.
36, Denied.. This Paragraph is a conclusion of law to which
no responsive plsading is required. By way of further answer, it
is denied that $47,200.00 is the cost to Defendants of materials
and parts infused into the sprint car. See Plaintiff's Response
to Paragraph 27. Plaintiff is not liable nor indebted to
Defendants, for the cost of materials and parts infused into the

driving privileges of the spri,nt car for one (l) year, and thirty
(30%) percent of the winnings of any race; and Defendants were to
pay for all other expenses of construction and maintenance of the
sprint car, engine, and racing team, in exchange for ownership of
the sprint car and engine, and seventy (70%) percent of all race
winnings.
5. In the course of constructing the aforesaid sprint caI'
and engine, and with Defendants' knowledge and consent, Plaintiff
incurred oharges from French Grimes t/d/b/a French Grimes Race
Systems, which pursuant to the contract between the parties
Defendants were reeponsible to pay, and of whioh $700.00 remains
unpaid.
6. In the course of constructing the aforesaid sprint car
and engine, and with Defendants knowledge and consent, Plaintiff
incurred charges from David L. Beyer, which pursuant to the
contract between the parties Defendants were responsible to pay,
and of which $9BO.00 remains unpaid.
7. Plaintiff constructed the aforesaid sprint car according
to the specifications agreed upon by the parties and completed
the sprint car in September, 1997.
COUNT I
BREACH OF CONTRACT
B. Paragraphs One through Seven are incorporated herein as
if set forth at length.

9. Beginning in September, 1991 and continuing thereafter,
Defendants breached the aforesaid contract with Plaintiff in the
following material aapecte I
(a) failure to pay suppliers of parts and equipment,
including French Grimes t/d/b/a Frenoh Grimes Race Systems and
David L. Beyer;
(b) failure to pay suppliers of parte and equipment on a
timely basis 1
(c) fa.i.1ul'e to timely reimburse PlainHff for funds
advanced to suppliers of parte and equipment on Defendants'
behalf ;
(d) unilaterally reducing the percentage of race winnings
to be paid to Plaintiff from thirty (30%) percent to twenty-five
(25%) per cent;
(e) unilaterally inVOlving another' individual, Ronald Rupp,
who was not part of the original agreement, in the racing team in
a decision-making capacity without Plaintiff's consent;
(f) Expressing an intention not to be bound by the parties'
agreement for. Plaintiff to exclusively drive the sprint car for
one (1) year; and,
(g) failure to provide the necessary fundings to ready the
sprint car and racing team for racing for the 199B season.

10. At all times material to this action, Plaintiff had
fully performed, and complied with, his duties under the contract
with Defendants.
11. On February 4, 1998, as a result of Defendants'
continued aforesaid breaches of the agreement between the
parties, Plaintiff resigned from the sprint car racing team with
Defendants and terminated the oral contract with Defendants,
12. On February 4, 199B, Plaintiff submitted an itemized
bill to Defendants for the cost of his labor and shop time in
construction of the spr.int car and eng.ine .in the amount of
$11,882.00, a copy of which .is attached hereto as Exhibit "A".
13. Despite repeated requests, Defendants have failed and
refused to pay Plaintiff the $ J.1, 882.00 due and owing to him.
14. Defendants' aforesaid breaches of contract have damaged
Plaintiff in the amount of $13,562.00.
WHEREFORE, Pla1.ntiff prays that this Court ent.er jUdgment in
its favor and award him $13,562.00 plus interest and costs of
suit, which amount is less than the compulsory arbitration limit
of $25,000,00 for Cumberland County.
COUNT II
UNJUST ENRICHMENT
15. Paragraphs One through Fourteen are incorporated herein
as if set forth at length.

16, As a result of the aforementioned procurement of parts
and equipment in construcUon of the sprint. car and engine,
Plaintiff has become liable to French Grimes t/d/b/a French
Grimes Race Systems, in the amount of $700.00, and Defendants
have become unjustly enriched at Plaintiff's expense.
l7. As a result of the aforementioned procurement of parts
and equipment in construction of the sprint car and engine,
Plaintiff has become liable to David r,. Beyer in the amount of
$980.00, and Defendants have become unjustly enriched at
Plaintiff'B expense.
18. Plaintiff'B actions in supplying all labor and shop time
in constructing the aforesaid spd,nt car and engine have provided
Defendants with the value of his labor and shop time, in the
amount of $11,882.00, and Defendants have become unjustly
enriched at Plaintiff's expense.
19. As a result of Plaintiff's labor, shop time, and efforts
in constructing the aforesaid sprint car and engine, Defendants
have received ownership of the completed sprint car and engine
worth in excess of $50,000.00, causing Defendants to become
unjustly enriched at Plaintiff's expense.
HHERE~ORE, Plaintiff prays that this Court enter judgment in
its favor and award him $13,562.00, plus interest and costs of
suit, which amount is less than the oompulsory arbitration limit
amount of $25,000.00 for Cumberland County,

between the parties. See Paragraph 4 of Plaintiff's Complaint
and Plaintiff's Response to Paragraph 29. Moreover, Plaintiff
resigned and terminated the oral contract between the parties on
February 4, 1998, due to Defendants' continuing material breaches
of the contract. On or about March 12, 1998, Defendants accepted
Plaintiff's resignation. As a result, there is no oral agreement
presently in existence between the parties.
29. Admitted in part, denied in part. Plaintiff and
Defendants did not agree construction of the sprint car would be
completed by early May, 1997. The oral agreement between
Plaintiff and Defendants did not contain any date certain as to
when construction of the sprint car would be completed. It is
admitted the original oral agreement between the parties included
that Plaintiff would be given exclusive driving rights for one
year with the Defendants underwriting the costs of operation and
maintenance of the car. It is denied that the parties agreed
Plaintiff would receive twenty-five (25%) percent of all
w.innings, 'I'he agreement was that Plaintiff would receive thirty
(30%) percent of all winnings.
30. Admitted in part, denied in part. It is admitted
Plaintiff tendered a letter of resignation on February 4, 1998,
terminating the oral contract with Defendants. The remainder of
this averment is clenied, Plaintif f did not unilaterally breach
said agreement, and Plaintiff did not tender his resignation
because of Defendants' refusal to abandon the existing agreement

and create a new racing team, Plaintiff tendered his resignation
and terminated the oral contract with Defendants as a result of
Defendants' continuing material breaches of the agreement as are
more fully set forth in Paragraph 9 of Plaintiff' B Complaint.
31. Admitted in part, denied in part. It is admitted the
other vehIcle owner was from Philadelphia; however, it is denied
said vehicle owner was unknown to Defendants. The new team was
contemplated by Defendants as well as Plaintiff. Defendants met
with and spoke to the other vehicle owner on several occasions.
It is denied said sprint car was to be raced other than as
Defendants contemplated.
32, Denied. See Plaintiff's Response to Paragraph 28. By
way of further answer, there is presently no existing agreement
between Plaintiff and Defendants which Plaintiff has any duty to
act in accordance with,
33. Admitted in part, denied in part, Plaintiff did not
refuse to comply with the terms of said agreement. Plaintiff
terminated said agreement as a result of Defendants' repeated and
continuing material noncompliance with said agreement. It is
admitted that upon Plaintiff's termination of the oral contract,
Defendants demanded the release of the sprint car, It is
admitted Plaintiff refused to release the sprint car to
Defendants until he was reimbursed by Defendants for the value of
his labor and shop time, as set forth in Paragraph 12 of
Plaintiff's Complaint.

34. Denied. Plaintif f has not breached the original
agreement between the parties. Plaintiff'S refusal to operate
the sprint car occurred as a result of Defendants' repeated and
continuing material breaches of the parties' original agreement
whereupon Plaintiff resigned and terminated said agreement with
Defendants, Plaintiff did not breach the original agreement nor
convert Defendants' assets by refusing to del iver said vehicle t.o
Defendants because Plaintiff had a valid possessory artisan's
lien in the vehicle as a result of his efforts in constructing
it., and Plaintiff's possession of the sprint car was lawful.
35, Admitted. Plaintiff had a valid possessory artisan's
lieD in said vehicle, and was lawfully entitled to continue in
possession of the sprint car.
36. Denied. This Paragraph is a conclusion of law to which
no responsive pleading is required. By way of further answer, it
is denied that $47,200,00 is the cost to Defendants of material
and parts infused into the sprint car. See Plaintiff's Response
into Paragraph 27. Plaintiff is not liable nor indebted to
Defendants, for the cost of materials and parts infused into the
sprint car, in any amount, nor can he be assessed interest, costs
or suit or Defendants' attorney's fees. Plaintiff performed all
of his duties pursuant to the oral contract with Defendants until
its termination. Plaintiff's resignation and termination of the
oral contract with Defendants was lawful and proper as a result
of Defendants' repeated and continuing material breaches of said

2. On Sept.ember 15, 1999 Defendants si,gned a Mutual General
Release, releasing, quitclaiming and forever discharging the
Plaintiff, Plaintiff's heirs, executors, administrators,
successors and assigns from all claims, demands, actions, causes
of actions, suits, debts, and contracts, especially all claims
for the conversion of or unlawful detention of the above-
described sprint car, and all claims for labor, materials and
contracts relating thereto. A true and correct copy of the
Mutual General Release is attached as Exhibit "A" and
incorporated herein by reference.
3. The Defendants' counterclaim against Plaintiff is barred
by the aforesaid Mutual General Release.
WHIRBFORI, Plaintiff respectfully requests Your Honorable
Court to enter summary judgment regarding Defendants'
Counterclaim in his favor, and against the Defendants, and to
dismiss Defendants' Counterclaim.

MIJTUAL GENERAL RELEASE
THIS MUTUAL GENERAL IU:LEASE is made and executed by Lester Kimmel
and WlIIhun Elicker, t/d/b/a/WlIIllIms Excavating, ofDillsburg, Pennsylvania (hereinafter
referred to as "Owner"), and Randllll L. Wolfe, of Mechanicsburg, Pennsylvania,
(hereinuner refel'l'ed to us "Claimant"),
and
WHEREAS, Owner owns a Sprint Car thut was fabricated for Owner by Claimant:
WHEREAS, Claimant is presently in possession of said vehicle and lIsserting a claim
as an artisan of a lien for services rendered; and
WHEREAS, Owner may have a right against Claimant for the unlawful detention of
said vehicle, for breach of contract, and for damages resulting therefrom; and
WHEREAS. Claimant may have a claim against Owner for work completed on the
vehicle and for certain expcnses incurrcd thcrein; and
WHER.:AS, Claimant has ugrccd to relinquish possession of said Sprint Car to
Owner, and Owner has accepted its return, and has agreed 10 puy to Claimant the sum of
$7,000,00 in full settlement of all claims associated with the fabrication lInd construction of,
and wrongful detention of the Sprint Car; und
WHEREAS, the parties huve agreed to execute releases to each other,
KNOW ALL MEN 8Y THESE PRESENTS, that in pursuance of the agreement
of the purties, und in cOllsideration of the Cluimant delivering the Sprint Car to Owner, and
the Owner accepting delivcry, paying to Cluimant the sum of $7,000,00, paying to French
Grimes the sUln of$735,OO, lInd paying to David L. Beyer the sum of $966.36, each of the
purties hereto does remisc, releasc, quitclaim and forcvcrdischarge the other, their respective
heirs, executors, administrators, successors, and assigns from all claims, demands, actions,
causes of actions, suits, debts, and contracts, cspecially all claims for the conversion of or
unlawful detention of the above described vehicle. and all claims for labor, materials and
contracts relating thereto, which against the other party. each may have or now have from
the beginning of the world to the dale of these presence,
