4. Denied as stated, It is admitted that the Independent Contractor's Agreement
("Agreement") between Plaintiff and Defendant was amended on or about April 28, 1998.
The remaining allegations contained in Paragraph 4 of Plaintiff's First Amended
Complaint attempt improperly to characterize a written document which speaks for itself.
5. Denied. It is denied that Plaintiff has failed to pay Plaintiff for his services. It
is also denied that Defendant owes Plaintiff $12,064.52 for Plaintiff's services. To the
contrary, Defendant has made numerous payments to Plaintiff for his services and does
not owe Plaintiff the amount claimed by Plaintiff.
6. Denied. The averments contained in Paragraph 6 of Plaintiff's First Amended
Complaint constitute legal conclusions to which no response is necessary, To the extent a
response is deemed necessary, it is denied that Defendant failed and/or refused to honor
the terms of the Agreement between the parties. To the contrary, not only has Defendant
honored the terms of the Agreement, but Defendant has made numerous monthly
payments to Plaintiff.
7. Denied. The averments contained in Paragraph 7 of Plaintiff's First Amended
Complaint constitute legal conclusions to which no response is necessary.
8. Denied. The averments contained in Paragraph 8 of Plaintiff's First Amended
Complaint constitute legal conclusions to which no response is necessary. To the extent a
response is deemed necessary, it is denied that Defendant had any reason to cure any
"past defaults," To the contrary, Defendant has made numerous payments to Plaintiff for
Plaintiff's services.

4. The Agreement was amended on or about April 28, 1998 to provide, inter
alia, that "payment for services rendered shall be paid monthly based upon services rendered
by the contractor in the previous month. "
5. Defendant has not timely paid Dr. Ryan for his services. Indeed, as of the
filing hereof, Dr. Ryan is owed $12,064.52 for services rendered as long ago as September,
1998.
6. Defendant has failed and/or refused to honor the terms of the Agreement and
timely pay Dr. Ryan in the approximate amount of $5,000 per month since September, 1998.
7. Dr. Ryan has complied in all material respects with the terms of the
Agreement, and has taken any actions necessary on his part to permit the timely billing for
his services by Defendant.
8. Even following formal demand, Defendant has neglected or refused to cure its
past defaults.
COUNT I
Breach of Contract
9. Franklin P. Ryan, Ph.D. incorporates by reference the averments of
paragraphs 1 through 8 as though set forth in full herein.
10. Defendant is in material breach of its agreement with Dr. Ryan as a result of
its failure to pay him as the parties agreed, and Dr. Ryan has been damaged thereby.

ARTICLE II
TERMS OF SERVICES
2.1. ~reemen.L. The Corporation hereby agrees to compensate the
Contractor and the Conlractor hereby agrees lo perform ils contractual obligations for I hr
Corporation in accordance with the terms and conditions set forth in this Agreemcnt
2.2. Term of the Agrcement. Subjecllo the pr~ns for lermination

shall terminate one (I) year from such dale; provided, however. hat this Agreemen~~hllll
thereafter be automatically renewed on a monlh-to-month basis unless the Corporation or
lhe Contractot, as the case may be. gives the olher party "rillen notice either dclivel'l'd hy
hand or sent by cerlified mail, return receipl requesled (the "Notice") of such party's
intention to terminate lhis Agreemenl. The Notice shall nol. however. be effective lo
terminate this Agreement unless such Notice is given at least thirty (30) days prior lo lhe
intended tenilinalion date, provided, however. lhat if the Corporalionceases. to use the
services of the. Conlractor for a reason described in subparts "a" throfj~li :'j" of paragraph
U below, as allowing terminalion wilh Jess than thirty (30) days notice, then [he
Corporation can terminale the Agreemenl wilh Notice mailed less than thirty (30) days prior
to the intended terminalion date.

2.3. Compensation. Payment for services rendered shall be paid on the 1sl

nnd reports. lrealmenl plan reviews. discharge summaries. follow-up forms, and requirerl

2.4 Hillin~ F.rrors.. The Corporalion shall assume financial responsihilities
for penalties levied againsl it by insurance providers for errors or omissions in case records
which are due lo adminislrative oversight or error. Likewise, Contractors assume full
responsibilily for their errors.

In the event thaL Contraclor has rcceivcd payment which is latcr disallowed
by a lhird parly payor, as a resulL of Contraclor error, Conlractor shall be responsible to

2.5. Reimbursement o( Expenses. In addition lo the compensation provided
by paragraph 2.3 hereof. the Corporation agrees Lo reimburse the Conlractor for thr
following business expenses:

lederallmiome lax laws or lor any individual expense which exceeds fifty
dollars ($50.00), excluding taxes, not previously approved or subsequ~nlly
approved by an officer of the Corporation.
b. The Conlractor shall nol be entitled to any other compensation
or reim bursement of expenses olher Lhan as specifically enumeraled in
paragraphs 2.3. 2.4, 3.3 and 4.1 of this Agrccment.
ARTICLE III
CONTRACTOR'S DUTIES
3.1. Duties - Refular and On Call Services. The Contraclor shall. for ilnd
nil hehalf of lhc Corporalion. perform clinical psychological services for residenls of long
lerm care facilities, acule care lacilities and/or rehabililative lacilities wilh which facilities
Ow Corporation has a conlraclto provide such services. The Corporation shall assign [hI!
Conlraclor specific residenls and/or facilities for which Conlraclor shall perform c1inkfll
psychological scrvices. The Conlraclor shall have the authorily to schedule ConlracLor'~
hours during regular business hours and planned program activities of the facilities lo
which Contraclor is assigned and the Conlraclor shall perform the dulies in a pro.fessional.
timely and efficient manner. The Conlraclor shall accepl emergency calls art.er normal
business hours Irom the Corporation and respond appropriately relative lo those c1ienls lor
which lhc Conlraclor is primarily responsible.

3.2. Requiremcnt 01 Time Available. The Contractor shall be available 1.0
provide scrvices for a minimum of ~ clienL hours per weck. This average
number of hours may be reevaluated and hanged by agreement of both parLies every
ninely days. Il is undcrslood and agreed lhaL Contractor may, al Contractor's sole
discrclion. cngage in lh~ rendering of such services to olher companies or private
individuals. However. it is expressly agreed by Conlractor lhat Conlraclor shall nol engage
in any other scrvices that would interfere with the satisfactory performance of Conlraclor's
duties pursuant to this Agreement.
3,3 Record~. Thc Conlraclor shall bc responsibl~ for keeping and
mainlaining appropriale records including bul not limited lo (a) trealment and diagnosLic
services rendcred 1.0 residents. (b) reporls documenting service" rcndered for the purpose
of collecting revenue from third party payors. (c) correspondence wilh olher profcssionals
as necessary in thc course of the lrcatmenl of the residenl. and (d) all olhcr records
regularly kepl in Lhe ordinary course of the rendcring of clinical psychological serviw. All
~neh correspondcncc. records. reports. claims, hislories and files, conccrning sueh paticnts
!>hall helong lo and rcmain the sole properly of the Corporalion and may not be removed,
copied or otherwise dislributed. wilhout the express wriUen consenl of both (a) I.hc
rcsident. or resident's guardian and (b) the Corporation.
3.4 Olher Dillies of Contraclor. The Contractor also agrecs as lollows:

c. The ContracLor shall. aL Conlractor's own expense. mainlain
profcssionalliabilily (malpractice) insurance in a minimum amount of 011('
million dollars ($ 1.000,000.00); and,
d. lithe Conlractor is a professional corporation, the Contractor
shall lake all steps necessary Lo insure lhatthe professional corporation
remains in good sLanding in the SLale 01 Pennsylvania and in good slanding ill
as a foreign professional corporation in such other jurisdiclions as the
Corporation may from Lime to Lime direclthaL. il be qualified.

h. The Contraclor shall, if applicable. comply with Federal. Slale and
local tax Jaws, social security acts, unemployment compensation acts and worker's or
workmen's compcnsalion acts insofar as applieable lo the performance of Ihi~
Agreemcnl.
i. To the fullesL exlent permitled by law, the Contraclor shalf indemnify
and hold harmless the Corporation and all of iLs agents and employees from and
againsl all claims. damages, losses and expenses, including bul notlimiLed 1.0
allorney's fees. arising oul. of or resuIling from any injuries suslained in the cOllrse
of performing any activily reJated lo lhis Agreemenl and hereby specifically waives
any right Conlraclor may have lo bring any action againsllhe Corporation for any
injury or damages inflicted upon Conlraclor by any third party to lhis Agreemenl.
3.5 Professional Expenses. The Conlractor shall pay for all dues and
expenses of membership in professional societies and associalions required of Conlrador's
profession.
3.6 Maintenance 61 Time Records. The Conlractor hereby agrees Lo
mainlain complete and reasonably accurale records of the hours worked with resprrl In
each c1ienl, and lo suhmiL said lime records lo the Corporation alleasL monlhly. In
(1ddition, the Contractor agrees lo mainlain complele and reasonably accuraLe rccorci~ 01
lhl) hours worked on adminislrative malleI'S (i.e. malleI'S nol directly relaLed 111 any specific
c1icnt) and to submiL said lime lo the corporation atleasl monthly.
3.B Clienl files and ConfidenlialilJ. Client files and documentation ill'e the
properly of the Corporation and shall nol be pholocopied or removed from the Corpora lion
wilhoul the consenl of the Corpora lion and upon termination of lhis Agreement will hr'
forlhwilh surrendered to the Corporalion. Contraclor shall fully comply wilh all slal.c! ilnd
federal regulations regarding the conlidentiaIiLy of residents' records and information.
Furthermore Conlraclor agrees lhal' Contraclor will nol, whether during.or subsequenlto
terminalion of lhis Agreemenl, in any fashion, form or maller. eilher directly or indiredly.

4.3. Pavmcnl Due Contractoc. Upon termination of this Agreemenl hy
cillwr parly. Corporalion shall send Conlractor a stalement of payment due Conlractor
Cllutrnclor shall bc paid any monies due ConLracLor in accordance wilh the lerm~ 01
pnymenl provided herein. In addition, upon actual lerminalion of lhi~ AgreemenL in

ARTICLE V
REPRESENTATIONS AND WARRANTIES OF CONTRACTOR

psychological scrvices. The ConlracLor shall have the aulhorily to schedule Conl.racLor's
hours during regular business hours and planned program activities 01 the facilities lo
which Conlraclor is assigned and the Conlraclor shall perroI'm the duLies in a professional.
timely and efficient manner. The Conlraclor shall accept emergency caIls aller normal
business hours Irom the Corporalion and respond approprialely relative Lo lhose clicnts lor
which the Conlraclor is primarily responsible.

TERMS OF SERVICES
2.1. Aereemen~. The CorporaUon hereby agrees lo compensate the
Contraclor and the Contractor hereby agrees 10 perform ils conlractual obligations for I hr

2.2. Term 01 the Agreement. Subjecllo the prtns for lerminalion

shall terminale one (I) year from such dale; provided, however. halthis Agreemen~~ha"
thereafler be aulomalically renewed on a monlh-lo-monlh basis unless lhe Corporation or
lhe Conlraclof, as the case may be, gives the olher parly wrillen noUce either deliverc'd hy
hand or sent by cerlified mail. relurn receipl requesled (lhe "Nolice") or such party's
intention lo lerminale this Agreement. The Nolice shall not, however. be erfecUve lo
terminale lhis Agreement unless such Nolice is given alleasllhirty (30) days prior lo the
intended lennination dale. provided, however, lhat if the Corporation ceases, lo use lhe
services of the Conlractor ror a reason described in subparts "a" throflgh :'j" of paragraph

2.3. Compensatioll. Paymenl for services rendered shall be paid on the Isl

2.4 Billine F:rrors.. The Corpora lion shall assume financial responsihililies
for pen allies levied againsl it by insurance providers for errors or omissions in case records
which are due to adminislrative oversighl or error. Likewise, Conlractors assume full

3.2. RequiremenL of Time Availijbte. The ConLracLor shall be available 10
provide services for a minimum 01 ~ clienL hours per week. This average
nlllnber of hours may be reevalualed and ~hanged by agreement of bolh parLies every
ninr.Ly days. IL is undcrslood and agreed Lhal ConLractor may, al ConlracLor's sole
discretion. engage in Lhe rendering of such services Lo oLher companies or privale
individuals. However. il is expressly agreed by Conlractor lhat Conlraclor shall nol engage
in any other scrvices lhal would inlerfere wilh lhe salisfactory performance of Contractor's
duLics pursuanllo lhis Agreement.
3.3 Records. The Conlraclor shall be responsibl~ for keeping and
lllainLaining appropriaLe records including bul nollimiled Lo (a) trealmenl and diagnosLie
s('rviccs rendered 1.0 residcnLs, (b) reporls documenling service~ rendered for the purpose
01 collecLing revenue from lhird party payors, (c) correspondence wilh oLher professionals
lIS necessary in lhc course of the lrcalmenl of the residcnl. and (d) all oLher records
regularly kepl in Lhe ordinary course of lhe rendering of clinical psychological servicrs. All
slIch correspondcnce, records, reporls. claims. hislories and liIes. concerning such patienls
shall helong lo and remain the sole properly or lhe Corporalion and may nol. be removed,
copied or olherwise dislribuled, wilhoutlhe express wrillen consenL of bolh (a) Ihe
residenL. or residenl's guardian and (b) the Corpora Lion.
3.4 Olher Dillies of Contractor. The Contraclor also agrecs as lollows:

b. The ConlracLor shall. aL Conlractor's own expense. main lain
Conlraclor's sLaLus as a licensed clinical psychologisL al all Limes during
which lhis Agreement is in effect and shall. upon rcncwal of ConLracLor's
license from Lime Lo Lime. provide the Corporalion wiLh a copy of
Contractor's currenl license upon receipl:

prolessional liabiliLy (malpraclice) insurance in..a minimnm amounl 01 OflP
million dollars ($1.000.000.00l; and,
d. II Lhe ConLracLor is a professional corporaLion, the ConlracLor
shall lake all sLeps necessary lo insure LhaL Lhe professional corpora Lion
remains in good sLanding in Lhe SlaLe 01 Pennsylvania and in good sLanding in
as a foreign professional corporation in such oLher jurisdicLions as Lhe
Corporalion may from lime lo time direcl LhaL il be qualified.

h. The Conlractor shall, if applicable. comply wiLh Federal. SlaLe and
local lax laws. social securily acts, unemployment compensation acts and wOl'kPr's or
workmen's compensalion acts insofar as applicable lo lhc performance of I hi~:
Agreemcnl.
i. To the fullesl exlenl permilled by law. the Contraclor shall indemnify
and hold harmless the Corporation and all of ils agenls and employees from allt!
againsl all claims. damages, losses and expenses, including but not IimiLed 1.0
allorney's fees. arising out of or resulting from any injuries suslained in the course
of performing any activily relaled lo lhis Agreement and hereby specifically waives
any right Contraclor may have lo bring any action againsllhe Corporation for any
injury or damages inflicled upon Conlraclor by any lhird parly lo lhis Agreement.
3.5 Prolessional Expenses. The Contractor shall pay for all dues and
cxpenses of mcmbership in professional societies and associations required 01 Conlrador's
profession.
3.6 Maintenance of Time Records. The Contractor hereby agrees Lo
maintain complele and reasonably accorale rccords of the hours worked with resprrt \0
each clienl. and lo suhmil said time records to the Corporation alleilsL monthly. In
addition. the Contraclor agrees lo maintain complete and reasonably accuraLe rccords of
Lhe hours worked on adminislrative malleI'S (i.e. matters nol directly relaled t.h any sJledric
client) and lo submit said time to the corporation at least monlhly.
3.6 ClienL Files and Confidenlialily. Clienl files and documenLation an! lhe
properLy of the CorporaLion and shall nol be pholocopied or removed from the Corporation
wilhoutlhe consenL of the Corporalion and upon lermination of this Agreement. will II<'
forLhwith surrendered t.o the Corporation. Contractor shall fully comply wilh all sLat.e and
federal regulations regarding the conlidentialily of residents' records and information.
Furlhermore Contraclor agrees lhal.' Conlraclor will nol, whether during. or subsequenllo
terminaUon of lhis Agreement. in any fashion, form or malter. eilher directly or indirectly.
