HOLDING CORP. OP PA, its successors and assigns, any and all right,
title and interest it may have in and to a certain judgment recovered
by PNC Bank, N.A. in the Court of Common Pleas for Cumberland County,
Pennsylvania to docket number 99-1431 against Hoover Farms, Inc., now
by amendment to the articles of incorporation LHO Farms, Inc., for the
sum of One Hundred Eighty-Five Thousand Seven Hundred Thirty-Eight and
35/100 Dollars ($185,738.35), together with interest and costs of suit;
and together with all the benefits and advantages that may be obtained
thereby, and full power to enforce and recover the jUdgment to its own
and their own use, I further authorize and empower the prothonotary or
any attorney on behalf of the assignee to mark the judgment to the
assignee's use.

STIPULATION FOR ENTRY OF JUDGMENT
AND NOW, this 4 day of March, 1999, the parties to the above-
captioned matter, by and through their respective attorneys, stipulate
as follows:
RECITALS
A. Plaintiff, PNC Bank, National Association, filed its
Complaint in the above-captioned matter immediately prior to the filing
of this Stipulation, which Complaint is incorporated herein and made a
part hereof as if set forth in full.
B. Rather than litigate this matter, the Defendant has agreed
that the Plaintiff is entitled to judgment in this matter, and the
parties have agreed to stipulate to the entry of judgment in this
matter.
AGREEMENT
NOW THEREFORE, the Plaintiff and Defendant, by and through their
respective attorneys, and intending to be legally bound, agree as
follows:
1. The Defendant hereby admits all allegations contained in the
Plaintiff's Complaint in this matter and waives any and all notices,
"
rights to notice and rights to cure Defendant's defaults described in
the Complaint which may otherwise be available to the Defendant under
the Note or Mortgage or any other agreement or document executed in
connection therewith, or otherwise at law or in equity, and waives any
and all defenses to the Complaint.
2. Judgment shall be entered against the Defendant and in favor
of Plaintiff as provided in the Order attached hereto in the amount of
One Hundred Eighty-Five Thousand Seven Hundred Thirty,Eight and 35/100
Dollars ($185,738.35), plus interest at the rate of Fifty-One and
88/100 Dollars ($51.88) per day through the date of payment, including
on and after the date of entry of judgment on the Plaintiff's
Complaint, and for costs, and for foreclosure and sale of the mortgaged
property described in Plaintiff's Complaint.
IN WITNESS WHER~OF, the Plaintiff and Defendant, by and through
their respective attorneys, have executed this Stipulation as of the

COMPLAINT
AND NOW, comes Plaintiff, PNC Bank, National Association,
successor by merger to The First Bank and Trust Company, by its
attorneys, Saidis, Shuff and Masland, and files this Complaint,
alleging in support thereof the following:
1. Plaintiff, PNC Bank, National Association successor by merger
to the First Bank and Trust Company ("Bank"), is a national banking
association organized and existing under the banking laws of the United
States of America with a principal regional office located at 4242
Carlisle Pike, Camp Hill, Cumberland County, Pennsylvania 17011.
2. The Defendant, Hoover Farms, Inc., now by amendment to the
Articles of Incorporation LHO Farms, Inc., is a Pennsylvania
corporation with an address of 89 Baldwin Street, West Springfield,
Massachusetts 01089-3705.
3. On or about June 9, 1989, Defendant and James R. Hoover and
Sandra L. Hoover, jointly and severally, borrowed from and agreed to
repay to Bank the sum of Two Hundred Twenty Eight Thousand Eight
Hundred and 00/100 Dollars ($228,800.00) ("Loan"). As security for the
Loan, Defendant executed and delivered to Bank a mortgage ("Mortgage")

on certain land together with the bUildings and improvements erected
thereon located in Silver Spring Township, Cumberland County,
Pennsylvania (the "Property"). At all times relevant hereto, Defendant
was and remains the record and sole owner of the Property. A
description of the Property is attached hereto, made a part hereof and
marked Exhibit "A".
4. On June 9, 1989, the Mortgage was recorded in the Office of
the Recorder of Deeds of Cumberland County in Mortgage Book 941, Page
1139. A copy of the Mortgage is attached hereto, made a part hereof
and marked Exhibit "B".
5. The Mortgage was never assigned by Bank and is still held by
it as a valid and subsisting obligation of Defendant.
6. Under the terms and conditions of the note, which evidences
the Loan ("Note" ), Defendant agreed to make monthly payments of
principal and interest in the amount of Two Thousand Six Hundred
Seventy Two and 18/100 Dollars ($2,672.18) beginning on April 9, 1990,
and continuing on the 9th day of each month thereafter. A copy of the
Note is attached hereto, made a part hereof and marked Exhibit "C".
7. Defendant has breached the terms and conditions of the
Mortgage and Note and is in default under such terms and conditions
because Defendant has failed to make the payments required in
accordance with the terms thereof.

8. Defendant is indebted to Bank, as of March 1, 1999, in the
amount of One Hundred Eighty-Five Thousand Seven Hundred Thirty-Eight
and 35/100 Dollars ($185,738.35) itemized as follows:
Principal balance $162,397.29
Interest to March 1, 1999 $ 15,207.06
Mortgage Satisfaction Fee $ 14.00
Attorneys' Fees $ 8,120.00
TOTAL DUE AS OF MARCH 1, 1999 $185,738.35
9. Defendant also agreed under the terms of the Mortgage that in
the event of default thereunder Defendant would pay, in addition to the
charges listed in paragraph 8 above, costs incurred by Bank as a result
of the institution of these legal proceedings.
10. The obligation owed by Defendant to Bank continues to accrue
interest thereon at the rate per day of Fifty-One and 88/100 Dollars
($51.88), through the date of payment, including on and after the entry
of judgment on this Complaint.
11. Plaintiff has sent Defendant a notice of default and intent
to foreclose on the Mortgage. A copy of Plaintiff's notice dated
December 2, 1998, is attached hereto as Exhibit "D" and made a part
hereof.
12. Plaintiff is not seeking foreclosure on the basis of a
"residential mortgage" obligation, as that term is defined in Act 6 of
1974, 41 P.S. ~101 et seq., and Plaintiff is therefore not required to
give the notice required by Section 403(a) of said Act.
