5, Plaintiffs explained to Mr. Billard that they did not wish the mortgage on the
aforesaid property to be included in the new loan from Banc One Consumer Discount Company
since they were in the process of selling that property and would need to convey it free and clear
of all liens at settlement.
6. Plaintiffs explained to Paul Billard that they anticipated purchasing another
property, and Paul Billard assured Plaintiffs that he had authority from Defendant to release the
Deed for the property at 55 Red Tank Road, Boiling Springs, Cumberland County, Pennsylvania,
and to transfer the lien of the mortgage to a new property which they would purchase, and that
this process would not hinder either the sale of the property at 55 Red Tank Road or the
purchase of a new property by Plaintiffs.
7. In reliance upon the assurances provided by Paul Billard on behalf of
Defendant, Plaintiffs entered into a mortgage in the amount of $72,815,53 on August 14,1996,
which mortgage was secured by Plaintiffs residence at 55 Red Tank Road, Boiling Springs,
Cumberland County, Pennsylvania, a copy of which is attached hereto as Exhibit "A",
8, Plaintiffs entered into negotiations to sell their home at 55 Red Tank Road,
Boiling Springs, Cumberland County, Pennsylvania and to purchase a new home.
9. Plaintiffs attempted to contact Paul Billard with questions and was informed'
by Defendant's representatives that another agent and employee of Defendant, Dwight Chrvala,
was taking over Mr. Billard's accounts.

10. Plaintiffs discussed the prior agreement with Mr. Billard with Mr. Chrvala
and he indicated that he was aware of it, and anticipated no problems, and that he should be
advised of the settlement date so that he could have the appropriate forms signed,
11, Paul Billard acted, at all times relevant hereto, as the agent and employee
of Defendant, and had the authority, or in the alternative had the apparent authority, to enter into
a binding contract with Plaintiffs on behalf of Defendant.
12, When Plaintiffs contacted Mr. Chrvala to obtain forms for the removal of the
lien for the property, he advised them that the loan had been sold as of November 1, 1996, and
Defendant no longer had the authority to transfer the lien from one property to another.
13, Defendant's inability or unwillingness to release the lien of Plaintiffs'
mortgage from the property at 55 Red Tank Road, Boiling Springs, Cumberland County,
Pennsylvania constituted a breach of the agreement of Defendant with Plaintiffs.
14, As a result of the breach of Defendant's agreement with Plaintiffs, Plaintiffs
had to payoff the, mortgage on 55 Red Tank Road, Boiling Springs, Cumberland County,
Pennsylvania, in full, were delayed in conveying the property at 55 Red Tank Road, and were
unable to purchase a property which they had anticipated purchasing
15, As the direct result of Defendant's breach, which caused Plaintiffs delay in
selling their property at 55 Red Tank Road, Boiling Springs, Cumberland County, Pennsylvania,
and in purchasing another property, Plaintiffs suffered certain damages as follows:
A) Plaintiffs made two payments on the mortgage, one in
the amount of $1,323.45, and the other in the amount of
$979.03, and Plaintiffs' payoff of the loan was in the amount
of $73,217,06, plus a $12.00 satisfaction fee, which total was
$413.53 in excess of the original principal balance;

Defendant Banc One Consumer Discount company ("Banc One")
by its attorneys, Snelbakerr Brenneman & Spare, P. C. submits
this Answer with New Matter in response to Plaintiffs' Complaint
as follows:

without sufficient information to form a belief as to the truth
of the averments contained in Paragraph 3 of Plaintiffs'
Complaint; therefore, same are denied and strict proof thereof

without sufficient information to form a belief as to the truth
of the averments contained in Paragraph 4 of Plaintiffs'
complaint; therefore, same are denied and strict proof thereof

5. Denied. After reasonable investigation, this party is
without sufficient information to form a belief as to the truth
of the avorments contained in Paragraph 5 of Plaintiffs'
Complaint; therefore, same are denied and strict proof thereof
demanded.
6. Denied. After reasonable investigation, this party is
without sufficient information to form a belief as to the truth
of the averments contained in Paragraph 6 of Plaintiffs'
Complaint; therefore, same are denied and strict proof thereof
demanded. By way of further answer, it is denied that Paul
Billard had or obtained any authority on behalf of Bane One to
release the deed and transfer the lien of mortgage to a new
property which Plaintiffs claim they would purchase.
7. Denied. After reasonable investigation, this party is
without sufficient information to form a belief as to the truth
of the averments contained in Paragraph 7 of Plaintiffs'
complaint; therefore, same are denied and strict proof thereof
demanded. By way of further answer, it is denied that Paul
Billard had or obtained any authority on behalf of Bane One to
make any such assurances as averred by Plaintiffs.

without sufficient information to form a belief as to the truth
of the averments contained in Paragraph 8 of Plaintiffs'
Complaint; therefore, same are denied and strict proof thereof

9. Admitted in part; denied in part. It is admitted only
that Dwight Chrvala took over certain accounts formerly handled
by Mr. Billard. As to the remaining averments in Paragraph 9,
after reasonable investigation, this party is without sufficient
information to form a belief as to the truth of same; therefore,
same are denied and strict proof thereof demanded.
10. Denied. It is denied that the purported "prior
agreement" was discussed with Mr. Chrvala, that Mr. Chrvala
indicated he was aware of same, that Mr. Chrvala said that he
anticipated no problems and that Mr. Chrvala said that he should
be advised of the settlement date so that the appropriate forms
could be signed. To the contrary, Mr. Chrvala was not advised
of the purported agreement and did not make the statements as
averred by Plaintiffs.
11. Admitted in part; denied in part. It is admitted that
at times Paul Billard acted as an agent or employee of Defendant
Bane One. It is denied that Mr. Billard had authority or
apparent authority to enter into a binding contract with the
Plaintiff on behalf of Bane One of the nature alleged to have
existed between Plaintiff and Bane One as set forth in
Plaintiffs' Complaint. To the contrary, Mr. Billard had no such
authority and obtained no approval from Defendant Bane One to
enter into such a contract or to bind Defendant Bane One to the
terms of such an agreement.

12. Admitted in part; denied in part. It is admitted only
that at some point in time Mr. Chrvala advised one of the
Plaintiffs that the servicing of their loan had been
transferred. It is denied that Mr. Chrvala was contacted by the
Plaintiffs to obtain forms to remove the lien of the mortgage
from any property. It is denied that Mr. Chrvala stated that
Defendant no longer had the authority to transfer the lien from
one property to another.
13. Denied. Paragraph 13 of Plaintiffs' Complaint
contains an unwarranted conclusion of law to which no response
is required by Defendant; therefore, same is deemed to be denied
pursuant to Pa.R.C.P. 1029(d). To the extent a response is
necessary, it is denied that Defendant breached any valid
agreement between Defendant and Plaintiffs.
14. Denied. Paragraph 14 of Plaintiffs' complaint
contains an unwarranted conclusion of law to which no response
is required by Defendant; therefore, same is deemed to be denied
pursuant to Pa.R.C.P. l029(d). To the extent a response is
necessary, it is denied that Defendant breached any agreement
with Plaintiffs. Accordingly, it is denied that Defendant was
in any way responsible for any purported delay by Plaintiff in
conveying property owned by them or for Plaintiffs' purported
inability to purchase any property.
15. Denied. Paragraph 15 of Plaintiffs' Complaint

this party pursuant to Pa.R.c.p. 1029(d). To the extent a
response is necessary, it is denied that Defendant breached any
agreement with Plaintiffs. It is further denied that Defendant
caused Plaintiffs any purported delay in the selling of their
property or in Plaintiffs' purchase of property. Accordingly,
it is denied that Plaintiffs suffered any damages as averred in
subparagraphs A through G, inclusive, of Paragraph 15 of
Plaintiffs' Complaint, which damages are specifically denied
herein.
WHEREFORE, Defendant requests this Court to enter judgment
in its favor and against Plaintiffs together with costs of this
action.
NEW MATTER
16. Plaintiffs' Complaint fails to state a cause of action
or claim upon which relief may be granted.
17. Plaintiffs' cause of action or claim is barred by
application of the parole evidence rule.
18. Plaintiffs were fully aware through the Mortgage
between Plaintiffs and Defendant dated August 14, 1996 that the
applicable Note and Mortgage may be sold one or more times
without prior notice to Plaintiffs.
19. The Mortgage made reference to in Paragraph 18, above,
together with all associated documentation are all integrated
documents exclusively setting forth all terms and conditions of

Defendant's contractual relationship with Plaintiffs, which
documents are not subject to oral modification, but subject only
to modification by written agreement signed by the parties.
20. Paul Billard had neither the consent of nor authority
from Defendant Banc One to enter into the purported agreement as
alleged in Plaintiffs' Complaint.
21. Plaintiffs may have failed to mitigate their alleged
damages or claimed losses, which damages or losses have been
specifically denied by Defendant.
WHEREFORE, Defendant requests that jUdgment be entered in
its favor and against Plaintiffs together with costs of this
action.
