NIKOLOFF, hwband and wife Defendants CONFESSION OF JUDGMENT Pursuant to the authority contained in the warrant of aUorney, a copy of which is attached to the Complaint filed in this action, I appear for the Defendants and confess judgment in favor of the Plaintiffs and against the Defendants for possession of the premises which are described as follows: ALL THAT CERTAIN piece or parcel of land sHUllte in the Borough of Camp Hill, County of Cumberland and State of Pennsylvania, more particlJarly bounded and described as follows: BEGINNING at an iron pin at the intersection of the eastern line of lands now or late of M. F, Tripner, with the northern line of Market Street, and extending thence along lands now or late of M. F. Plainliffs acquired mle to the said premim from Mary Louise Polk, Widow, by deed dated Dcccmber 24, 1987, and recorded in Dauphin COwtty Deed Book K, Volume 32, Page 173. Title into Ml1ry Louise Polk was wellseuled and for purposes of this Complaint the I1foresaid deed conslitutes the chain of Lille into the pll1inliffs. -~-_. ---.. 6. By I1n Agreement of Sl1le dl1ted August 4, 1995, the Plainliffs agreed to sell to the Defendant the premises set forth in paragraph four by I1n Installment Sl1les Agreement which was recorded in Cumberland COwtty Miscellaneous Book 501, Page 838. A copy of sl1id Agreement is attached hereto I1S Exhibit H, whieh is hereby made a pl1rt hereof. 7. Judgment is not being entereed against aaany natural person in conneclion with a consumer credittransaelion. 8. The rights of the pll1inliffs and the Defendant have not been assigned by either party. 9. The Defendants arc in default wtder the terms of the I1foresaid Agreement by reason of the faclthat he has failed and refused to ml1ke the monthly installment WITNESSETIII ( 'i!"" -, lU::- llifrl1IJ.IdU1NT SIILES lIgllUHJ:N'L lQB..JW\UJn'~ TillS INSTALLMENT SALim AGREEMENT (the "Agreement") dated as of tho 4th day of August, 1995 by and botwoon "RED VLASEK and DOROTIIY M. VLASEK, husband and wife, adult individuals, of Mechllnicoburg, Cumberland County, Pennsylvania (the "Seller") and JOliN A. NIKOLOn' and JAMIE M. NIKOJ..OFI', huub.~nd and wifo, adult individuals, of Now Cumberland, CumberlanJ County, pennaylvania (the "Buyer"). WHEREAS, Seller is the legal owner of all that certain tract of real estate, with improvements thereon situate, known and numbered as 2010 Market street, Camp lIill, pennsylvania 17011, aG more particularly bounded and described in Exhibit "A" attached hereto (the "Premises"); and WHEREAS, Seller agrees to sell their interest in the premises and Buyer agrees to purchase same under and subject to the terms and conditions set forth below; and WHEREAS, Seller lInd !Juyer desire to confirm their under- standing in writing. NOW, THEREFORE, the parties hereto, intending to be legally bound hereby, agree as follows: 1. PREMISES. Seller agrees to sell to Duyer and Duyer agrees to purchase from Seller their interest in the Premises more particularly described in Exhibit "A", attached hereto and made a part hereof. 2. PURCHASE PRICE. Duyer agrees to pay Seller for the purchase of Seller's right, title and interest in and to the Premises the sum of Seventy-Eight Thousand Dollars ($78,000.00) (the "Purchase Price"), payable as follmm: A. Eight Thousand Five Hundred Dollars ($8,500.00) in cash, certified funds or settlement agent's funds at Settlement (as hereinafter defined); and B. Sixty-Nine Thousand Five Hundred Dollars ($69,500.00)--the principol balance, together with interest at a rate of seven and three-quarters percent (7-3/4%) per annum, in regular, equal monthly installments of Five Hundred Seventy and 60/100 Dollars ($570.60) commencing on September 15, 1995 and on the fifteenth (15th) day of each month thereafter, provided, however, that the unpaid principal balance and accrued interest, if any, shall be paid in full not later than August 15, 2000 (the "Maturity Date"). Further, Buyer agreos to acquire and maint.,in in full Coree and effect, to the mutual benofit of Seller nnd Buyor, during the term of this Agroement, general liability inourance coverage for pel'sonal injury, death and property damage occurring in, on or as a refml t of any condition of the l'romioes fOl' llilmage to property, death or bodily injury in connoction with any one occurrence or with respect to anyone person, which proporty and liability policy shall name Buyer and Seller as insured. B. Duyer agrees to assume sole responsibility for payment of all municipal services and utilities following Settlement and to be responsible for all repairs to the Premises. In the event of default, any unpaid municipal services that could constitute a lien against the Premises shall be assumed by Duyer to the extent of all ouch outstanding charges. 4. I1ETTLEMENT. It is agreed by and among Seller and !Juyer that this Agreement shall be executed on or before August 4, 1995 (the "Settlement"). 5. FINAL SETTLEMENT. 5.1. On or before August 15, 2000, Seller agrees to furnish to Buyer a special warranty deed conveying good, marketable and insurable title (at regular rates) to Buyer in and to the Premises free of all liens and encumbrances and restrictions of record (the "Final Settlement"). Further, at Final Settlement, Buyer and Seller shall each pay one-half (1/2) of all realty transfer taxes then applicable. 5.2. In order to more fully secure their obligatiun hereunder, Seller has executed a special warranty deed in favor of the Buyer. Said special warranty deed shall be placed in escrow with Stuart J. Magdule, Esquire, who shall be the Escrow Agent. At final settlement, Escrow Agent shall deliver the deed for recording as set forth herein. In performing his duties as Escrow Agent, Stuart J. Magdule, Esquire, shall act only in a ministerial capacity and in the event Escrow Agent delivers the special warranty deed to the Buyer after receiving written instructions from Buyer, both parties hereby release, indemnify and discharge Escrow Agent from any and all liability or claim, and they further agree to indemnify, defend and hold harmless the Escrow Agent from any liability or claim for the release and recording of the special warranty deed. -2- U:JIIK :>0 I I''\I.!' 8:l!1 6. This Agreement may not be assigned by Buyer without the prior written approval of Seller, nor may tho Premises or Duyer's interest therein be sold or exchanged by Buyer by means of an Installment Sales Agreement or comparable agreement without the prior written approval of Seller. o. At the execution of this Agreement, the Premises, to the best of Seller's knOWledge, shall comply with all requirements of laws, statutes, rules, codes, ordinances, and regulations of the Federal, state, County, Municipal, or other governmental division having jurisdiction thereof; B. To the best of Seller's knowledge, there are, and will be, no special taxes or assessments for any improvements, made or installed on the Premises prior to Settlement; C. To the best of Seller's knowledge, the Premises arc serviced by public water and a municipal sewer system; D. To the best of Seller's knowledge, all utility lines (including sanitary and storm sewers) enter the Premises through pUblic streets or through dedicated rights of way or equivalent servitUdes; E. Seller has no knowledge of any zoning or building violations or any action, suit or proceeding pending or threatened against or affecting the Premises or any portion thereof in any court or before or by any Federal, State, County or Municipal department, commission board, bureau, or agency or other govern- mental instrumentality; F. Seller is the legal title holder and has the legal right, power and authority to enter into this Agreement and perform all their Obligations hereunder; use the G. permits, Premises To the best of Seller's knowledge, all occupancy and licenses, and certificates necessary for the use of have been duly issued by the appropriate authorities; H. To the bent of Seller's knowledge, the premiueo has adequate direct acceso to and from a completed, Jedicated, and accepted public road, and there is no pending or threatened governmental procoedinCJ which would impair or curtail such access. ~1ith respoct to each representation amI warranty made by Seller under this Agreoment, Seller has made no independent invostigation and bases thoir warranty solely upon those facts within their knowledge as of the date of execution of thio Agreement. The aforementioned representations and warranties shall survive until such time and possession of the premises is tendered. 9. RECORDING OF MEMORANDUM. Seller and Buyer agree that this Agreement or Memorandum identifying the parties hereto and certain terms and conditions of this Agreement may be recorded in the Office of the Recorder of Deeds in and for Cumberland County. 10. CONDITION OF PROPERTY AND MAINTENANCE. Buyer agrees it has caused the Premises to be inspected and that Duyer is buying the Premises "as is" and not upon representations of Seller, if any. Buyer shall maintain the Premises in as good an order, condition and repair as they are at execution of this Agreement, reasonable wear and tear excepted. Buyer shall comply with Building Code standards, fire, safety or other governmental requirements now in effect or hereafter enacted that involve the Premises if required to do so, and shall pay promptly any and all assessments or other charges levied against the Premises by any governmental body. Buyer shall pay promptly any municipal assessment against the Premises, except those, if any, resulting from work done or ordered to be done by the municipality prior to execution of this Agreement, in which event the assessment shall be paid by Seller. Buyer shall not commit or permit to be committed any waste on the Premises or any improvement thereon. 11. CONDEMNATION. In the event of condemnation of the Premises or any portion thereof by any governmental agency, public authority or utility prioLo to the payment of nll of the within obligations from Duyer to Seller, the payment of damages of the "taking" shall be divided between Buyer and Seller as their respective interests may appear. 12. DEFAULT. In the event Iluch non-monetary dofault cannot be cured within thil:'ly (30) dayn and !Juyer in making good faith efforts to cure such non-monotary dofault, then the time for cure shall be extended for un additional sixty (GO) days to permit Buyer to cure such default. In tho caso of such dofault, the Buyer hereby authorizes and empowers any attorney and any court of record to appear for them and confess judgement for the whole principal sum and interest remaining unpaid thereon together with reasonable attorney's fees and Buyer hereby wllives the right of exemption and inquisition so far as the land herein described and any property or building thereon may be concerned. 12.1 In the alternative, in the case of such default Seller shall have the right and option to declare this Agreemcnt null and void and all payments made to date of such declaration shall be conclusively presumcd by the Seller to be in lieu of rent for said Property and as liquidated damages and shall be forfeited to the Seller as such. In the event this Agreement is declilred null and void by Seller as herein provided a tender of a Deed by Seller to the Buyer is hereby waived by the Buyer. In the event Seller elects such option the Duyer for themselves, their heirs and assigns, hereby agree that the Quit Claim Deed may be recorded in the Recorder of Deeds Office in and for Cumberland County, Pennsylvania declaring this Agreement null and void and terminating and revesting all right, title, and interest of the Buyer in and to the Property. Duyer hereby also authorizes Seller to proceed by action of ejectment on this Agreement after default is made, as aforesaid for recovery of the land and hereby empowers any attorney of any court of record to appear for Buyer in an amicable action of ejectment for the Property and confess judgement in favor of the Seller and against the Buyer for the said Property to be entered by the Prothonotary and hereby authorizes the immediate issuing of a Writ of Habere Facias Possessionem (without asking leave of court) with clause of FiFa for the cost and reasonable attorneys fees waiving all stay and exemption laws. 12.3 In order to more fully secure their obligation hereunder, Buyer has executed a Quit Claim Deed in favor of the Sellers. Said Quit Claim Deed shall be placed in escrow with Robert G. Radebach, Esquire who shall be "Escrow Agent". In the event of default which has not been cured in accordance with requirements herein, Buyer hereby authorizes Seller to obtain t11e -5- [:!l:JK 50 r ,.I';r 8~2 Quit claim Deed from the Escrow Agent ond to rocord anid Quit Claim Deed as set forth herein. POSSESSlllli. Duyer shall be entitled to possession of the Premises on the date of execution hereof. 14. PERMITTED ENCUMBRANCE. Seller may not further encumber the Premises in any manner. 15. BUYER'S RIGIIT TO MAKE CERTAIN PAYMENTS DUE FROM SELL~ll. In the event of default under any mortgage, jUdgment, lien or other encumbrance affecting title to the Premises existing at execution of this Agreement or hereafter entered of record, then Buyer shnll have the right to make tho delinquent payments and to receive credit for the full amount of said payments made by Duyer and to deduct the amount thereof from the required monthly payments under this Agreement. Prior to exercising the rights stated in this paragraph, Buyer shall give Seller five (5) days' notice of their intent to do so, but this provision shall not limit Buyer's riuht to make the delinquent payments and to claim credit therefor. 16. BUYER'S OPTION TO TAKE TITLE. In the event Seller is unable to give a good, marketable and insurable title to the premises, Buyer shall have the option of taking such title as Seller shall give, without abatement of price, or of being repaid an amount equal to the sum of all monies, including interest, paid by Buyer to Seller on account of the Purchase price, together with all real estate taxes and all premiums for the general liability insurance policy for the Premises paid by Buyer during the time it occupied the Premises, the cost of all major repairs paid by Buyer and such reasonable costs of searching title as Duyer may h<lve incurred. Buyer acknowledges, however, that at the time of execution of this Agreement, Buyer has searched the title to the Premises and finds the same is good, marketable and insurable at regular rates by a title insurance company admitted to do business in the Commonwealth of Pennsylvania. 17. LITIGATION. Should any litigation be commenced between the parties hereto concerning the premises, this Agreement, or the rights and duties of either in relation thereto, the party, Buyer or Seller, prevailing in such litigation, shall be entitled, in addition to such other relief as may be granted, to a reasonable sum as and for their attorneys' fees in such litigation which sili'l.l.l -6- i'"I'I~ :)0 I 1'\"\ 84 ~J be determined by the COUtot in such litigation ot" in II separate action brought for that purpooe. 18. WAIVER. The waiver or any breach of this Agreement by either party shall not constitute a continuing waiver or a waiver ot any subsequent breach, either the Dame or another provision of this Agreement. 20. HQl2IFICATION. No modification of this Agreement shall be binding upon the parties hereto unless the same shall be in writing and duly executed by the Duyer and the Soller. James, Smith, Durkin & Connelly LLP, and file this Petition to Open and/or Strike Confessed Judgment for Possession of Real Property as follows: 1. Plaintiffs, Fred Vlasek and Dorothy M. Vlasek, filed a Complaint for Confession of Judgment against Defendants at the above-captioned tenn and number on April 12, 1999 ("Confessed Judgment") for possession of certain real property known and numbered as 2010 Market Street. Camp Hill. Cumberland County, Pennsylvania ("Real Property"). 2. On or about Aprii 12, 1999. a Writ of Possession ("Writ") was issued on the Confessed Judgment and served 011 April 16, 1999, demanding immediate possession of the Real Property. 3. The Confessed Judgment was entered pursuant to an Installment Sales Agreement for Real Estate. dated August 4. 1995. by and between Plaintiffs and Defendants, John A. Nikoloffand Jamie M. Nikoloff. then husband and wife ("Agreement"). pursuant to which Defendants arc purchasing the Real Property from Plaintiffs. A true and correct copy of said Agrecment is nHlrked us Exhibit "A", attached hereto and mude a part hereof. 4. Section 12 of the Agreemcnt rcquires thut Plaintiff give Defendants thirty (30) days written notice of any breach thereunder and provide Defendants the right to cure said breach wilhin said time period. 5. Plaintiffs failed or refused to provide any written notice of the alleged breach to Defendants prior to entering the Confessed Judgment and have failed to pennit Defendant the opportunity to cure, and therefore. the Confessed Judgment was entered by Plaintiffs without right or authority. 6. Pursuant to the Agreement, Defendants arc purchasing the Real Property from Plaintiffs for $78.000.00 with $8.500.00 paid upon execution of the Agreement and the balance payable in sixty (60) monthly installments of$570.60 per month. commencing on September IS, 1995 and ending on August 15,2000. 7. Defendants. John A. Nikoloff and Jamie M. Nikoloff, have since divorced with Defendant, Jamie M. Nikoloff. assuming sole responsibility for performance under the Agreement. 8. Defendant, Jamie M. Nikoloff, has made a substantial number of the total payments due under the Agreement resulting in her holding a significant equity interest in the Real Property which interest would be forfeited should the Confessed Judgment and Writ be allowed to stand. 9. Defendant, Jamie M. Nikoloff, is ready. willing and able to cure any alleged installment payment or real estate tax default or pay the balance due under the Agreement in full, but PlaintilTs have refused to accept any such payment in order 10 mitigate her damages. 10. Due to I'laintiITs' failure to comply with the Agrcement by providing Defendants wrillen notice of their alleged breach and opportunity 10 eure and Plaintiffs failure to mitigate damages, the Confessed Judgment should be opened and/or stricken. 11. Failure to open and/or strike the Confessed Judgment would result in the unconscionable forfeiture of Defendants' substantial investment in the Real Property and Ihe unjust enriehmenl of Plaintiffs.
