COMPLAINT
AND NOW, comes the Plaintiffs, John R. Fenstermacher and Margaret A.
Fenstermacher, by and through their attomeys, the Offices of Fenstermacher and
Associates, P.C. and file this Complaint, as follows:
1. Plaintiffs, John R. Fenstermacher and Margaret A. Fenstermacher,
husband and wife, are adult individuals residing at 100 Green Ridge Road,
Mechanicsburg, PA 17055.
2. Defendant, Jeffrey I. Paul, is an adult individual residing at 1906
Logan Street, Camp Hill, PA 17011.
3. At all times relevant to the matters complained of herein, Plaintiffs
were the sole owners of real property located at115 Brindle Road, Mechanlcsburg, PA
17055, f'Property").
4. Defendant signed an Agreement for the Sale and purchase
of Real Estate ("Agreement") on March 16, 1999, to purchase the Property for Two
Hundred Ten Thousand and 001100 ($210,000.00) Dollars. (See attached exhibit "A")

5. At the time of execution, a deposit of Two Thousand ($2,000.00)
Dollars was placed in escrow with Plaintiffs' real estate agent, Jean O'leary, at John
Gflse Realtors.
6. Settlement was to occur on or before April 30, 1999.
7. As part of the Agreement, Defendant was to participate in the
Prudentlal-Thompson Wood trade-In program by having his home appraised and
traded.
8. When the appraiser and Defendant's real estate appraiser arrived
to perform the appraisal on or about April 8. 1999, they were denied access by the
Defendant.
9. Despite Defendant's refusal to cooperate. an offer to purchase
Defendant's home was made by thompson-Wood.
10. Said offer was refused by Defendant.
11. A demand letter was sent to Defendant by Plalntlffs on April 13,
1999.
12. At all times, PlaIntiffs stood ready to convey good and marketable
title to Defendant.
13. Defendant's refusal to participate in the Prudential Thompson-
Wood trade-in program was based on an alleged conversation with his deceased
mother who directed him to keep the home.

14. On May 28, 1999, Plaintiffs sold the property to another PUrchaser
for Six Thousand ($8,000.00) dol/ars Jess lhan the agreed purchase prtce of Ihe
Agreement With Defendant.
15. The deposit money remains In lhe escrow account of Plaintiffs' real
estale agent.

17. Paragraphs 1 through 16 are incorporated by reference as if set
forth more fully herein.
18. The parties entered a valid written agreement for the sale and
pUrchase of real estate.
19. At aI/limes, Plainliffs were ready. willing and able to perform under
the Agreement.
20. Defendant's refusal to participate in the Prudential Thompson-
Wood trade-In program and the refusal to tender the agreed-upon purchase price for the
Property constitute a breach of defendant's duties under the Agreement.
21. Plaintiffs have suffered damages as a result of Defendant's breach,
WHEREFORE, Plaintiffs respectfully request that this Honorable Court
enler judgment for the Plainliffs and againsllhe Defendant, and award Plaintiffs such
damages, fees and costs, as well as any further relief this Honorable Court deems just

DEFENDANT'S ANSWER TO PLAINTIFFS' COMPLAINT
AND NOW come defendant, JEFFREY PAUL, by and through their
attorneys, Stone LaFaver & Shekletski, and files this answer to
the complaint filed by plaintiffs, JOHN R. FENSTERMACHER and
MARGARET A. FENSTERMACHER, avers the following:
1. Admitted.
2. Admitted.
3. Neither admitted nor Denied. Defendant is without
sufficient knowledge to know of the exact title holders recorded
at the Cumberland County Recorder of Deeds.
4. Admitted and Denied. It is admitted that an Agreement
of Sale was signed on March 16, 1999. It is denied that this
represents the full extent of the Agreement. Exhibit "AU, page
one, paragraph 5 (D), as attached to Plaintiff's Complaint under
Special Clauses clearly states that this sale was contingent upon
certain conditions being met prior to sale, that being that

Defendant was to have accepted a prudential Thompson Wood trade
offer on his property located at 213 S. 19th Street, Camp Hill,
Pennsylvania, by April 9, 1999. This condition precedent did not
occur. By way of further answer, the Plaintiff was fully aware
that the Defendant had to do some significant refurbishment on
his home before it was marketable and be subjected to the trade
offer.

7. Admitted and Denied. It is admitted that settlement was
to occur on or before April 3D, 1999. It is denied that this was
a firm date. This date was a tentative date if the condition
precedent was met by April 4, 1999, which it was not.
8. Denied. To the extent that the allegations of the
corresponding paragraph constitute legal conclusions, the same
are deemed to be denied without further response pursuant to the
applicable Pennsylvania Rules of civil Procedure. To the extent
that the allegations of the corresponding paragraph constitute
factual averments, the same are deemed to be denied due to the
fact that after a reasonable investigation, defendants are
without sufficient information or knowledge to form a belief as
to the truth or falsity of such allegation and proof is thereof
is demanded at time of trial.

was made by Thompson Wood. It is denied that this was an
acceptable offer for which the Defendant was in any way obligated
to accept. The terms and conditions upon the contingent purchase
on behalf of the Defendant set no specific parameters and no
specific price. Defendant was free to refuse any offer that he
believed to be below market level.

corresponding paragraph constitute legal conclusions, the same
are deemed to be denied without further response pursuant to the
applicable Pennsylvania Rules of Civil Procedure. To the extent
that the allegations of the corresponding paragraph constitute
factual averments, the same are deemed to be denied due to the
fact that after a reasonable investigation, defendants are
without sufficient information or knowledge to form a belief as
to the truth or falsity of such allegation and proof is thereof
is demanded at time of trial.
13. Denied. To the extent that the allegations of the
corresponding paragraph constitute legal conclusions, the same
are deemed to be denied without further response pursuant to the
applicable Pennsylvania Rules of Civil Procedure. To the extent

that the allegations of the corresponding paragraph constitute
factual averments, the same are deemed to be denied due to the
fact that after a reasonable investigation, defendants are
without sufficient information or knowledge to form a belief as
to the truth or falsity of such allegation and proof is thereof
is demanded at time of trial. By way of further answer, it is
absolutely appalling that the Plaintiffs would raise the memory
of his recently deceased mother in a pleading.
14. Neither admitted nor denied. Defendant is without
sufficient knowledge to the truth of the averment.

COUNT I
JOHN R. AND MARGARET F. FENSTERMACHER V. JEFFREY I. PAUL
Breach of Contract
17. No answer necessary.
18. Both Admitted and Denied. It is Admitted that a valid
written Agreement was signed by the parties. It is denied that
the Plaintiff is reciting the facts accurately. This was an
Agreement for Sale contingent upon a condition precedent that was
solely within the discretion and control of the buyer Defendant.
Further, the Plaintiffs were fully aware of this condition
precedent, that being that the repairs to the home were
significant prior to its appraisal. Plaintiffs signed the

document with this proviso and initialed it as evidenced by their
own Exhibit "An.
19. Neither admitted nor denied. Defendants are without
sufficient knowledge to answer to the truth of the averment.
20. Denied. Defendant did not refuse to participate in the
trade-in program nor did the Defendant's choice to not purchase
the subject property constitute a breach of the Defendant's
duties under the Agreement. By way of further answer, the
Defendant had the freedom to participate in the trade-in program
if he felt the offer was reasonable. prudential Thompson Wood
did not offer a price that the Defendant felt was the true market
value of the home, and thus refused the offer as tendered. The
Defendant was not bound by any terms of any agreement to accept
any offer. The terms of the Sales Agreement clearly state that
this purchase was contingent upon "Acceptance of prudential
Thompson Wood trade offer on property at 213 S. 19<h Street, Camp
Hill, PA by April 4, 1999". The only term that is set is the
date. Since Thompson Wood did offer a suitable amount for the
Defendant's home, and did not raise that offer prior to April 4,
1999, the Defendant was clearly not bound to purchase the subject
property.
21. Denied. To the extent that the allegations of the
corresponding paragraph constitute legal conclusions, the same

are deemed to be denied without further response pursuant to the
applicable Pennsylvania Rules of Civil Procedure. To the extent
that the allegations of the corresponding paragraph constitute
factual averments, the same are deemed to be denied due to the
fact that after a reasonable investigation, defendants are
without sufficient information or knowledge to form a belief as
to the truth or falsity of such allegation and proof is thereof
is demanded at time of trial. By way of further answer, on page
7, paragraph 28 (C), of the Sales Agreement, the Plaintiffs
checked the first box indicating that damages in the case of
breach by either party would be limited to liquidated damages.
As such, the prevailing party is only entitled to that amount in
escrow, $2,000.00.

WHBRBFORE, the Defendant demand that judgment be
entered against the Plaintiffs; that the Plaintiffs's complaint
be dismissed with prejudice; costs of suit to be paid by
Plaintiffs, counsel fees be awarded to Defendant; and such other
relief as this Court deems just and proper.
