5, Defendant Bradley Fickes is an adult individual residing at 215 Creek Road,
Newville, Pennsylvania 17241-9804,
6, On or about August 28, 1996, Defendants Walter J. Fickes and Bradley Fickes
executed a "Continuing Guarantee" in favor of ISK, in exchange for a line of credit to Newville
Builders, A true and accurate copy of the "Continuing Guarantee" is attached hereto as Exhibit "A,"
7, According to the "Continuing Guarantee," Defendants Walter J. Fickes and Bradley
Fickes agreed "to pay for any goods due and payable at any time hereafter purchased by Newville
Builders Supply, Inc" and shall be deemed to have renewed each time a purchase is made,"
8, Beginning on or about September 10, 1996, and concluding on or about August 7,
1997, Newville Builders periodically requested from ISK, or its successor in interest, Kodiak, and
were duly shipped, various goods and merchandise, True and accurate copies of the billing
statements are attached hereto as Exhihit "8."
9, On or about December 31, 1997, Defendants owed Plaintiff$47,939.40 for goods and
merchandise received, A true and accurate copy of the December 31, 1997, invoice is attached as
Exhibit "c,"
I 0, Newville Builders returned various goods and merchandise to Plaintiff and were
granted a credit for the amount of$23,483,93; the outstanding balance due and owing is $24,455.47,

I I, Despite repeated demands for payment, Defendants have failed to complete payment
in accord with the Pennsylvania Commercial Code, the line of credit agreement, the "Continuing
Guarantee," and all relevant billing statements,

COUNT II
(Breach of Contract - Walter J. Fickes, Individually and as President of Newville Building
Supply, Inc)
18. Paragraphs I through 17 are incorporated herein by reference as if set fonh in their
entirety.
19. Newville Builders has declined and otherwise failed to make payment in full of goods
and merchandise it received, valued at $24,455.47.
20. Defendant Walter 1. Fickes, individually and through the "guarantee contract"
executed on or about August 28, J 996, unconditionally agreed to pay Plaintiff for any and all
amounts not paid by Newville Builders for orders and/or shipments received by it from Plaintiff.
See Exhibit" A."
21. Walter 1. Fickes has renounced and otherwise failed to fulfill his obligation under the
"Continuing Guarantee," which constitutes a breach of the guaranty.
22. By breaching the "Continuing Guarantee," Defendant Walter 1. Fickes has caused
damages to Plaintiff in the amount of$24,455.47.
WHEREFORE, Plaintiff respectfully demands judgment in its favor and against Defendant
Walter 1. Fickes, individually, for the amount of$24,455.47, together with interest and costs, and
any other remedy the Coun deems appropriate, including attorneys' fees.

Gentlemen:
In consideration of extending a line of credit to Newville Builders Supply, Inc. and
delivering to it merchandise on credit, from time to time after the date thereof, we
jointly and individually hereby agree to pay for the same if said Newville Builders
Supply, Inc. does not pay for the same when due and payable. This is a continuing
guarantee and an agreement to pay for any goods due and payable at any time
hereafter purchased by Newville Builders Supply, Inc. and shall be deemed to have
renewed each time a purchase is made.
We hereby waive any requirements of notice from you of the time and amount of
purchases hereunder and notice of non-payment, hereby covenanting and agreeing
to pay for same, when hereafter called upon to do so. You may accept partial
payments and grant extensions of the time for payment, without notice to us and
without prejudice to this guarantee.

Dear Mr. Fickes:
On February 3, 1998, Carl 1. Utrata, Counsel with ISK Biosciences Corporation's Law
Department, had sent you a demand letter for payment of $47,939.40; since that date,
the debt has been transferred, in a reduced amount, to our new business unit, ISK
Biocides Corporation.
Please be advised that I represent the interest of ISK Biocides Corporation. This is an
attempt to collect a debt. Your account with ISK Biocides is and has been delinquent
and you are in arrears, owing ISK Biocides Corporation the sum of $24,455.47, as per
the attached credit for Newville's return of lumber to our Kodiak plant at Allendale,
SC, reflecting a credit of $23,483.93 from original invoice, dated 12/31197. According
to the business records of ISK Biocides Corporation, no payment has been made for
the purchase and delivery for the products since 1996; at present, there remains due
and owing the sum of $24,455.47.
Please consider this certified letter as our formal demand for payment of this
account in accordance with the law. If, within fifteen (IS) days of the receipt of this
certified letter, this account is not paid in full, legal proceedings may be instituted
against Newville Builders Supply, Inc. and against you, jointly and severally, on the
basis of your personal guaranty, for the full amount owed, legal interest, court costs
and attorney's fees. I trust you will give this matter your immediate attention
insofar as you will not be further notified.
