STIPULATION AGAINST LIENS

CCI CONSTRUCTION CO. , INC.
hereinafter referred to as Contractor,
AND
, 1999,
OLD GETTYSBURG ASSOCIATES III, L.P., a Pennsylvania limited partnership
hereinafter referred to as
Owner, whereby the former undertook and agreed to erect and construct a four story office
building situate in Lower Allen Township, Cumberland
County, Pennsylvania and more particularly described on the attached exhibit.
NOW THEREFORE, THIS AGREEMENT WITNESSETH: That the said Contractor, for and
in consideration of the sum of ($1.00) Dollar to it in hand paid
by Owner, the receipt whereof is hereby acknowledged, and the further consideration
mentioned in the agreement aforesaid, for themselves and their subcontractors, and all
parties acting through or under them, covenant and agree that no mechanic's liens or
claims shall be filed or maintained by them or any of them against the said buildings and
the lot of ground appurtenant thereto for or on account of any work done or materials
furnished by them or any of them under said contract or otherwise, for, towards, in, or
about the erection and construction of the said buildings on the lot above described, and
the said Contractor, for themselves, their subcontractors and others under them hereby
expressly waive and relinquish the right Co have, file, and maintain any mechanic's liens
or claims against the said buildings or any of them, and agree that this instrument,
waiving the right of lien, shall be an independent covenant.

LEGAL DESCRIPTION
LOT NO.3
EXECUTIVE PARK WEST OFFICE COMPLEX
ALL THAT CERTAIN tract or parcel of land situate to the
Township of Lower Allen, County of Cumberland and Commonwealth of
Pennsylvania more particularly bounded and described as follows
to wit:
BEGINNING at a point at the intersection of the southern
right-of-way line of Florence Avenue (40' wide) with the western
right-of-way line of a 10' foot wide right-of-way ( unnamed and
unopened); thence along the western line of said 10' foot right-
of-way South 21 degrees 58 minutes 00 seconds East a distance of
303.21' feet to a point at the northeast corner of lands now or
late of Thomas E. Brown; thence along the northern line of said
lands of Brown and along lands now or late of A. G. Patill South
50 degrees 45 minutes 00 seconds West a distance of 365.38' feet
to a point at the dividing line between lots NO.2 and NO.3 as
shown on the hereinafter mentioned plan; thence along the
dividing line between lots NO.2 and NO.3 North 39 degrees 49
minutes 10 seconds West a distance of 76.93' feet to a point at
the dividing line between lots NO.1, NO.2 and NO.3; thence along
the dividing line between lots NO.1 and NO.3 North 39 degrees 49
minutes 10 seconds West a distance of 216.62' feet to a point on
the southern line of lands now or late of Tressler Lutheran
Services; thence along said lands of Tressler Lutheran Services
North 50 degrees 10 minutes 50 seconds East a distance of 23.26'
feet to a point at the western termination of Florence Avenue;
thence along said western termination of Florence Avenue South 22
degrees 30 minutes 00 seconds East a distance of 4.44' feet to a
point; thence along the southern right-of-way line of Florence
Avenue North 50 degrees 45 minutes 00 seconds East a distance of
436.40' feet to a point, said point being the place of BEGINNING.
BEING lot NO.3 as shown on the Preliminary/Final Subdivision
Plan of Executive Park West Office Complex. Said plan being
recorded in the Cumberland County- Recorder of Deeds Office in
Plan. Book 59, Page 89.
CONTAINING 2.739 Acres.
BEING the same premises which Old Gettysburg Associates, a Pennsylvania general
partnership, by its deed dated June, 1999 and recorded herewith with the Cumberland County
Recorder of Deeds' Office, granted and conveyed unto Old Gettysburg Associates III, L.P., a
Pennsylvania limited partnership.
