The plaintiff is a sole proprietorship owned and operated by Paul Graver doing Business under the name of First Government Lease Co., having its principal place of business in Northfield, IL. 2. The defendant, Goodwill Fire Company, is a Pennsylvania Municipal Entity, which transacted the business giving rise to the lawsuit in Cook County, Illinois. 3. In or about July 24, 1997, an officer of the Defendant Samuel Eichelberger, approached Plaintiff concerning a business transaction for which Defendant required financing. Specifically, Defendant informed Plaintiff that Defendant was in the business of fire protection services for the City of W. Fairview and was operating under and with the authority of the Defendants office. Defendant requested that Plaintiff finance 1 1997 Seagrave Pumper VIN IF9EK28T2VCST2067 (the "Equipment") so that Defendant could perform essential fire protection services on behalf of W. Fairview. A copy of this contract is attached as Exhibit "A". 4. Plaintiff and Defendant entered into a contract whereby Plaintiff financed the purchase and became first lien holder on said Equipment. In the same contract the Defendant agreed to bring any judicial action arising directly or indirectly in connection with this agreement only in Courts located within Cook County IL and Defendant submitted to the jurisdiction of any State or Federal Court located within Cook County IL. 5. Defendant's actions in executing the contract and accepting delivery of said Equipment constitutes acceptance and a formation of a contract between Plaintiff and Defendant. 6. Plaintiff financed the purchase of the Equipment and entered into a contract with Defendant whereby Defendant agreed to repay the cost of the Equipment with interest. Plaintiff delivered to the Equipment supplier the sum of $234,360.00. This constitutes full performance by Plaintiff under the contract.
