CONSENT AND AGREEMENT TO REVIVE JUDGMENT
BARB CO., a Pennsylvania corporation, the Defendant, previously
identified as Barbco, Inc, in error, hereby agrees that the Judgment entered on
May 14, 1992 be revived and that the lien be continued and authorizes the
Prothonotary to enter and index a Judgment of Revival in the amount of $173,635.22
plus costs and interest on $173,635.22 from July 27,1999 at the rate of 6% per
annum.
Barb Co. hereby consents to the assignment of such revived Judgment
to Commerce Bank/Harrisburg, N.A., its successors and assigns.

ASSIGNMENT OF JUDGMENT
CLYDE A. WINTER and SHIRLEY J. WINTER, husband and wife,
Plaintiffs, intending to be legally bound hereby, do hereby assign, convey and set over
unto COMMERCE BANK/HARRISBURG, N.A., its successors and assigns, all right,
title and interest in this Judgment entered by confession, together with all rights,
remedies and incidents thereunto belonging, free and clear of all claims, liens,
security interests and encumbrances. Clyde A. Winter and Shirley J. Winter,
husband and wife, the Plaintiffs, hereby authorize and direct the Prothonotary or any
attorney on behalf of Commerce Bank/Harrisburg, N.A. to mark the Judgment to its
use.
This Assignment shall be governed by and construed and enforced
according to the laws of the Commonwealth of Pennsylvania.
IN WITNESS WHEREOF, Clyde A. Winter and Shirley J. Winter,
husband and wife, the Plaintiffs have caused this Assignment to be executed
