Plaintiff filed his Complaint on August 3, 1999. 2. On August 27, 1999, Defendants filed a Preliminary Objection on the sole issue of venue, and asserted that venue is more proper in York County. 3. Defendants' Preliminary Objection has been fully briefed and argued before the Court. 4. The undersigned, in conjunction with Defendants' counsel, Jane Alexander, consent to the transfer of venue to the Court of Common Pleas of York County. 5. The Honorable Kevin Hess has issued an Order in this matter, dated June 13, 2000, regarding the manner of disposition of Defendants' Preliminary Objection. Hoffman, ltor, associated with the office of Jack Gaughen Realtor and rs that the following statements are true and correct in rd to his activities when acting as agent for Samuel D. Thuma Kathy K. Thuma for sale of two tracts of woodland in Carroll ship, York County, Pennsylvania. 1. From November 4, 1996 to December 31, 1997 I was the of the Jack Gaughen real estate office and continued 1998 to spend some time there servicing clients in the County area. 2. In May 1998 Samuel Thuma contacted me in-regard to sting their property in Carroll Township. 3. On orl about May 15, 1998 I went to their home at 100 Id Spring Road, Dillsburg, PA 17019 (Carroll Township, York unty) and prepared and they signed the listing agreement for le of the property for $34,000.00. (see copy attached) 4. On or about June 10, 1998 Joe Falcetta came to the chanicsburg office and made an offer of $32,000.00 on behalf of lliam G. Fleisher to purchase the lots. He presented a hand Page 1 of 3 itten scratched up proposal which was not clear so I told him o prepare a clean agreement. (see copy attached) 3. I accepted Mr. Fleisher's check no. 498 in the amount of 800 dated June 10, 1998 as "a deposit on lot 91 and 91B". 5. On or about June 14, 1998 I presented the contract to he Thumas who countered the offer of $32,000 with a price of 34,000. I believe Mr. Thuma picked up the contract in my office ook it to Dillsburg, secured Kathy Thuma's signature and it to my office. 7. On June 19, 1999 I faxed a message to Mr. Falcetta that needed Buyers initials on the contract. (see copy attached) 8. Mr. Falcetta again came to my office with the new act dated June 23, 1999 and again Mr. Thuma came to the fice, picked up the contract and I assume took it to Dillsburg, d he and his wife signed it June 24, 1998 and returned it to my 9. Mr. Falcetta picked up the contract and it was returned d by Mr. Fleisher as of June 25, 1998. I did not then, nor I ever met Mr. Fleisher, who was a resident of Perry County. see copy attached) 10. On July 8 I prepared an addendum to the agreement of ale extending the settlement date from July 20, 1998 to 20, 1998 (not to exceed 12/31/98) due to inability to in surveyor. Thumas signed it July 7, 1998, again by Mr. picking it up and taking it home for he and Kathy to sign. Page 2 of 3 11. I forwarded it to Ms. Falcetta and the document was returned to my office signed by Mr. Fleisher. (see copy ttached) 12. I was never contacted by any of the parties to schedule settlement during the summer and fall of 1998. 13. On December 14, 1998 I faxed a message to Mr. Falcetta. (see copy attached) aul E. Plaintiff, William G. Fleisher, is an adult individual residing at R. D. #4, Box 380, Newport, PA 17074. 2. Defendants, Samuel D. and Kathy K. Thuma, husband and wife, are adult individuals residing at Cold Spring Road, Dillsburg, Pennsylvania. 3. Defendants are the sole owners of two wooded lots located at Cold Spring Road, Dillsburg, Carroll Township, York County, and known as Lot 91 and Lot 91 B (hereinafter "Lots"). 4. It is believed and therefore averred that the Defendants entered a listing agreement with Jack Gaughen Realtors in April or May of 1998. 5. The listing agent for the lots is/was Paul E. Hoffman, who works primarily out of the Jack Gaughen Realtors office in Mechanicsburg, Cumberland County. 6. Plaintiff made a written offer to purchase the Lots for Thirty-Two Thousand and No/100 ($32,000) Dollars on June 10, 1998. 7. On the same date, Plaintiff deposited Eight Hundred and No/100 ($800.00) Dollars, Check No. 498, towards the purchase of the Lots. (See attached Exhibit "A"). 8. Plaintiffs initial offering price was not acceptable to Defendants. 9. Following negotiations, the parties agreed upon a purchase price of Thirty- Four Thousand and No/100 ($34,000.00) Dollars. 10. An Agreement for the Sale and Purchase of Real Estate (hereinafter "Agreement'), dated June 23, 1998, was signed by Defendants on June 24, 1998, and signed by Plaintiff on June 25, 1998. (See attached Exhibit "B"). 11. The Agreement was signed in the Jack Gaughen office in Mechanicsburg. 12. The Agreement did not require any additional earnest money to be deposited. 1998. 13. Pursuant to the Agreement, settlement was to occur on or before July 20, 14. An Addendum to Agreement of Sale (hereinafter "Addendum"), dated July 8, 1998, was signed by Defendants on July 9, 1998, and signed by Plaintiff on July 22, 1998. (See attached Exhibit "C"). 15. The Addendum extended the Settlement date from July 20, 1998 to "on or before September 4, 1998", and states, "[djue to inability to obtain surveyor". 16. The balance of the purchase price, Thirty-Three Thousand Two Hundred and No/100 ($33,200.00) Dollars, was placed in an escrow account with Plaintiffs attorney on December 22, 1998. 2 17. Paragraphs 1 through 17 are incorporated by reference as if set forth more fully herein. 19. The parties entered a valid written agreement for the sale and purchase of real property. 20. Plaintiff paid a deposit of Eight Hundred and No/100 ($800.00) Dollars towards the purchase price of the Lots. 21. The Addendum extended the settlement date until "on or before September 4, 1998". 22. Plaintiff was prepared to proceed with the closing pursuant to the terms of the Agreement. 23. At all times since September 4, 1998, Plaintiff has been and remains prepared to perform under the terms of the Agreement, as evidenced by the deposit of the remaining purchase price into an escrow account with Fenstermacher and Associates, P.C. 24. Defendants continue to refuse to convey the Lots to Plaintiff as required by the terms of the Agreement. 3 WHEREFORE, Plaintiff respectfully requests that this Honorable Court enter judgment for the Plaintiff and against the Defendants, and order the specific performance of the Agreement for the Sale and Purchase of real Estate or, in the alternative, award such damages, fees and costs, as well as any further relief this Honorable Court deems just and equitable.
