Defendants, John K. Rich and Linda M. Rich are individuals and cilirens of the Commonwealth of Pennsylvania residing at 405 Heiser Lane, Carlisle, PA 17013. 3. On or about June 8, 1994 Meridian Bank ("Meridian") entered into a loan with Streetgard, Inc. ("Borrower") whereby Meridian agreed to lend and Borrower agreed to borrow the original principal amount of $267,894.27 (the "Loan"). The Loan is evidenced by that certain promissory note dated June 8, 1994 (the "Note") executed and delivered to Meridian by Borrower. Cam; t PROTHONOTARY PHIL.\215215-1 4. In consideration of and in order to secure the obligations of Borrower to Meridian. John K. Rich and Linda M. Rich individually executed and delivered to Meridian a certain commercial Surety Agreement ("Surety Agreement") whereby they agreed to serve as unlimited guarantors and sureties for the obligations of Borrower to Meridian. A true and correct copy of the Surety Agreement is attached hereto, made pan hereof and marked as Exhibit "B". 5. Meridian subsequently merged with CoreStates Bank, N.A., which subsequently merged with First Union National Bank. 6. On or about April 28, 1999,First Union National Bank assigned all right, title and interest in the Note and Surety Agreement to Plaintiff pursuant to an Assignment of Loan Agreement. As such, Plaintiff is current holder of the Note and Surety Agreement. A true and correct copy of the Assignment of Loan Agreement is attached hereto, made part hereof and marked as Exhibit "C". 7. The Surety Agreement contains a warrant of attorney which authorizes the entry of judgment by confession against Defendants and in favor of Meridian, its successors and assigns. 8. As of September 27, 1999, Borrower was in default of its obligations pursuant to the terms of the Note as a result of, inter alia., its failure to make payments when due pursuant to the terms of the Note (the "Default'). 9. As a result of the Default, Defendants are in default of their obligations pursuant to the Surety Agreement. 10. As a result of the aforementioned default, as of September 27, 1999, the following amounts are immediately due and payable from Defendants in accordance with the terms of ilia Surety Agreement: PHILA2157I5•1 - 2 Principal $186,417.04 Interest (through 9/27/99) 14,091.10 Late Charges 2.206.21 TOTAL $202.714.35 The Surety Agreement authorizes Plaintiff to assess interest at the default rate of 12.5% per annum after notice has been given. Plaintiffs Counsel sent Defendants a letter on October 4, 1999 notifying them that interest at the default rate of 12.5% would begin to accrue on October 11, 1999 ("default letter") Accordingly, interest continues to accrue from and after October 11, 1999 at $62.91 per diem plus Plaintiff requests reasonable attorneys' fees it has incurred and will incur in this matter as authorized by the Surety Agreement. A true and correct copy of the default letter is attached hereto, made part hereof and marked as Exhibit "D". It. This judgment is not being entered by confession against a natural person in connection with a consumer credit transaction. 12. Judgment has not been entered against John K. Rich and Linda M. Rich pursuant to the warrant of attorney contained in the Surety Agreement in this or any other jurisdiction.
