The patties have reached an agreement to settle the case, but this agreement will not be made into an amicable award. It is admitted that Plaintiff shipped the merchandise to Defendant and submitted invoices to Defendant for same. However, any allegation that Defendant agreed to these prices as the amount to be charged for these particular goods is denied for the reasons set forth in Paragraphs 3 and 4, infra. 3. Admitted in part and denied in part. It is admitted that Defendant received the merchandise in question. However, Defendant denies that he accepted the goods. To the contrary, he attempted to return the goods, for the reasons outlined in Paragraph 4, infra, but he was denied permission to do so. 4. Denied. The merchandise that Plaintiff shipped to Defendant was of very poor and inferior grade and condition, and as such it could not be sold by Defendant in the ordinary course of his business. Rather, Defendant had to attempt to sell these goods in a "close out" manner, i.e., below cost. This is the reason why Defendant attempted to return the merchandise and why the prices Plaintiff is attempting to charge are not reasonable, fair or market value. 5. Denied. Defendant should be given full credit against the purchase price of these goods; in other words, Defendant owes Plaintiff no monies for same. 6. Admitted in part and denied in part. It is admitted that Defendant has refused to make payment to Plaintiff, for the reasons expressed in preceding paragraphs. It is denied that any amount is due and owing to Plaintiff WHEREFORE. Defendant requests that judgment be entered in his favor and against Plaintiff. Shouldjudgment be entered in any amount against Defendant, interest cannot be awarded prior to date of said judgment.
