CONSENT OF MANUFACTURERS AND TRADERS TRUST CO. TO SERVE AS TRUSTEE
Whereas, Mellon Bank, N.A., has renounced its right to serve as Trustee under
paragraphs 1 and 9, of the Will of Margaret T. Wellington dated October 9, 1997; and
Whereas, all of the qualified beneficiaries of the proposed trust have given their consent
to having Manufacturers and Traders Trust Co. be appointed the new trustee;
Now, therefore, Manufacturers and Traders Trust Co., with an office in Carlisle, P A,
consents to being appointed the Trustee of the Testamentary Trust established by paragraphs 1
and 9 of the Will 'of Margaret T. Wellington dated October 9, 1997.

Dear Ms. Strasbaugh:
Pursuant to the Pennsylvania Uniform Trust Act, 20 Pa.C.S. S7764(c)(2), we enclose the
documents necessary for the appointment of a new (or substituted) trustee to act in the place of
the testamentary trustee, Mellon Bank, N.A., whose renunciation to serve as trustee was filed
with your office several weeks ago.
The enclosed documents include:
1. Appoirttment of Manufacturers and Traders Trust Company to serve as the new trustee
by the Co-Executors signed in two counterparts.
2. Consent of Manufacturers and Traders Trust Company (M&T Bank) to appointment
as the new trustee.
3. Consents of the four (4) "qualified beneficiaries" to appointment ofM&T Bank to
serve as the new trustee.
