MARTIN Individually, Defendants : CIVIL ACTION - LAW COMPLAINT AND NOW, comes Plaintiff, R.F. FAGER CO., by its attorneys, KUNDRAT & ASSOCIATES, and states the following cause of action: 1. Plaintiff, R.F. FAGER CO., is a Pennsylvania corporation authorized to do business in Pennsylvania with offices and/or a place of business situate at 2058 State Road, Camp Hill, Cumberland County, Pennsylvania 17011. 2. Defendant, Keystone Paving Services, Inc., ("Keystone") is a Pennsylvania Corporation with offices and/or a place of business situate at 587 Hammer Creek Road, Lititz, Lancaster County, Pennsylvania 17543. 3. Defendant, Gary D. Martin ("Mr. Martin"), is an adult individual with a last known address of 587 Hammer Creek Road, Lititz, Lancaster County, Pennsylvania 17543. 4. Defendant, Jewel A. Martin ("Mrs. Martin"), is an adult individual with a last known address of 587 Hammer Creek Road, Lititz, Lancaster County, Pennsylvania 17543. 5. Plaintiff is, and at all relevant times was, a wholesale distributor of building supplies. 6. Defendant, Keystone, is, and at all relevant times, was a contractor. 1 7. On or about January 30, 2006, Keystone applied to Plaintiff for credit. A true and correct copy of the credit application is attached hereto and made a part hereof and marked Exhibit "A". 8. Between August 7, 2006 and February 28, 2007, various products, goods, supplies, and materials (hereinafter collectively referred to as "products") were ordered by Keystone from Plaintiff. Plaintiff sold and provided the products ordered by Keystone, the same being represented by the statements marked as Exhibit "B". 9. The prices charged for the products sold to Keystone as set forth were the fair, reasonable, and market prices of the products, and the prices that Keystone agreed to pay. 10. Keystone has not objected to any of these invoices and has accepted the products provided thereby, but has failed to pay Plaintiff despite demand pursuant to its open account, all to the damage of Plaintiff. 11. Plaintiff has maintained a statement of account keeping an accurate and running amount of debits and credits for the sale of products sold to Keystone by Plaintiff. 12. Plaintiff has submitted to Keystone a monthly statement of account accurately showing all debits and credits for transactions with Keystone, the most recent statement of account shows an amount owing to Plaintiff of $7,678.35 as of February 28, 2007. A copy of the statement of account is attached hereto and made a part hereof and collectively referred to as Exhibit "B". 13. Pursuant to the terms and conditions of sale contained on the credit application which terms and conditions were agreed to by Plaintiff and Keystone, and as further stated on the invoices, Plaintiff is entitled to receive a finance charge of 1.5% per month on past due amounts. Copies of the invoices of account are attached hereto and made a part hereof and collectively referred to as Exhibit "C". 14. Pursuant to the terms and conditions of sale and extension of credit, Keystone agreed to pay reasonable attorney's fees and all court and collection costs. 15. Plaintiff has retained the services of the law firm of KUNDRAT & ASSOCIATES in the collection of the amounts due from Keystone. 2 16. Plaintiff has incurred reasonable attorney's fees from the law offices of KUNDRAT & ASSOCIATES as of March 30, 2007 in the collection of the amounts due from Keystone incident to the commencement of the within action; Plaintiff shall continue to incur such attorney's fees throughout the conclusion of the proceedings. 17. Any and all conditions precedent to the bringing of this action has been performed by Plaintiff. 18. The amount in controversy is within the jurisdictional amount requiring compulsory arbitration. COUNTI R. F. FAGER CO. v. KEYSTONE PAVING SERVICES, INC. OPEN ACCOUNT 19. Plaintiff incorporates by reference Paragraphs 1 through 18 of its Complaint as though the same were set forth at length herein. WHEREFORE, Plaintiff R.F. FAGER CO., respectfully requests this Honorable Court to enter judgment in favor of Plaintiff and against Keystone Paving Services, Inc., in the amount of $7,678.35, plus interest at the rate of 1.5% per month from February 28, 2007, reasonable attorney's fees, the costs of this action, and such other relief as the court deems just and proper. COUNT II R. F. FAGER CO. v. GARY D. MARTIN PERSONAL GUARANTY 20. Plaintiff incorporates by reference Paragraphs 1 through 19 of its Complaint as though the same were set forth at length herein. 21. In consideration of the extension of credit by Plaintiff, Mr. Martin, jointly and individually, unconditionally guaranteed the payment of all amounts owed by 3 Keystone to Plaintiff in addition to reasonable attorney's fees and costs incurred in the collection of any amount due from Keystone and referenced in Exhibit "A" attached hereto. 22. Despite demand, Mr. Martin has refused to pay the past-due balance on the open account of and all sums due and owing to Plaintiff. WHEREFORE, Plaintiff R.F. FAGER CO., respectfully requests this Honorable Court to enter judgment in favor of Plaintiff and against Gary D. Martin, in the amount of $7,678.35, plus interest at the rate of 1.5% per month from February 28, 2007, reasonable attorney's fees, the costs of this action, and such other relief as the court deems just and proper. COUNT III R. F. FAGER CO. v. JEWEL A. MARTIN PERSONAL GUARANTY 23. Plaintiff incorporates by reference Paragraphs 1 through 22 of its Complaint as though the same were set forth at length herein. 24. In consideration of the extension of credit by Plaintiff, Mrs. Martin, jointly and individually, unconditionally guaranteed the payment of all amounts owed by Keystone to Plaintiff in addition to reasonable attorney's fees and costs incurred in the collection of any amount due from Keystone and referenced in Exhibit "A" attached hereto. 25. Martin, pursuant to the Pennsylvania Rules of Civil Procedure 2251 et. seq. and Cumberland County Local Rules, files this Complaint against Additional Defendant Douglas L. Stone, and in support thereof, avers as follows: 1. Plaintiff, R.F. Fager Co. (hereinafter "Fager"), is a Pennsylvania Corporation with a principal place of business at 2058 State Road, Camp Hill, Cumberland County, Pennsylvania 17011. 2. Defendant, Keystone Paving Services, Inc. (hereinafter "Keystone"), is a Pennsylvania Corporation with a principal place of business located at 587 Hammer Creek Road, 2 NO. CI-07-2489 Lititz, Lancaster County, Pennsylvania 17543; for all matters relevant hereto, Keystone was engaged in the business of excavating for commercial and residential construction projects and supplied equipment and labor related to such services. 3. Defendant, Gary D. Martin (herinafter "Mr. Martin"), is an adult individual with an address of 587 Hammer Creek Road, Lititz, Lancaster County, Pennsylvania 17543. 4. Defendant, Jewel A. Martin (hereinafter "Mrs. Martin"), is an adult individual with an address of 587 Hammer Creek Road, Lititz, Lancaster County, Pennsylvania 17543. 5. Fager filed a Complaint against Defendants Keystone, Mr. Martin and Mrs. Martin alleging theories of liability including breach of open account and personal guaranty. 6. Keystone and the Martins filed an Answer with New Matter to Fager's Complaint which is incorporated herein by reference. 7. Douglas L. Stone (hereinafter "Douglas Stone"), is an adult individual with a last known address of 32 Autumn Drive, Dillsburg, York County, Pennsylvania 17019. 8. At all times relevant hereto, Douglas L. Stone was an employee and foreman of Keystone. 9. It is believed and averred that Douglas Stone ordered equipment and products from Fager for his own business enterprise and requested the invoices for all such equipment and products be sent to Keystone. 10. At no time did Douglas Stone have permission of Keystone to operate a "side" business to the detriment of Keystone. 11. At no time did Douglas Stone have permission of Keystone or the right to use equipment and materials ordered in the name of Keystone for his business enterprises. NO. CI-07-2489 12. Douglas Stone's duties as an employee and foreman included supervision of work crews, work scheduling, ordering equipment and materials and supervising the delivery and use of equipment and materials on job sites. 13. At all times relevant hereto, Douglas Stone breached his duties as an employee to Keystone which caused the damages as alleged by Fager in the Complaint. 14. Keystone hired Douglas Stone to work for Keystone and on Keystone's behalf and Douglas Stone accepted such undertaking with full understanding that Keystone would, at all times, remain in control of the parties. 15. Accordingly, Douglas Stone's employment with Keystone created an agency relationship between the parties, with Keystone as principal. 16. Additionally, at all relevant times, Douglas Stone as a foreman was a member of Keystone's management and enjoyed Keystone's trust and held responsibilities as foreman that created a fiduciary relationship with Keystone. 17. Under Pennsylvania law, an employee is obligated to render loyal, diligent and faithful service to the employer even in the absence of any specific agreement to that effect, and the employee owes a duty to act with the utmost good faith in the furtherance and advancement of the employer's interests. Sylvester v. Beck, 406 Pa. 607, 178 A.2d 755 (1962). 18. Through his wrongful conduct, which included fraud, breach of duty of good faith and breach of fiduciary duty, Douglas Stone breached his duty of loyalty and good faith to Keystone as well as his fiduciary duty owed to Keystone. 19. As a direct result of Douglas Stone's wrongful actions, Fager has invoiced 4 NO. CI-07-2489 Keystone for equipment and materials that Keystone did not utilize or otherwise benefit. COUNTI FRAUD 20. The foregoing paragraphs are incorporated herein by reference as though fully set forth below at length. 21. Douglas Stone fraudulently misrepresented to Fager that the equipment and materials ordered from Fager were on behalf of Keystone and for the benefit of Keystone. 22. Douglas Stone fraudulently misrepresented to Fager that Keystone would pay for equipment and materials provided by Fager. 23. Douglas Stone failed to represent to Fager that all such equipment and materials were ordered for the benefit of Douglas Stone and/or his business enterprises. 24. The above acts of Douglas Stone were intended to mislead and deceive Fager and to induce Fager to provide equipment and materials to Douglas Stone under the belief that Keystone would receive and pay for all equipment and materials. 25. The representations made by Douglas Stone to Fager were material to Fager's agreement to provide the equipment and materials identified in the Complaint. 26. The representations of Douglas Stone were knowingly false in that Douglas Stone purposely failed to disclose that all such equipment and materials ordered through Fager were not ordered on behalf of Keystone or were to be utilized for the benefit of Keystone. 27. It is believed and averred that Fager justifiably relied on the misrepresentations of Douglas Stone which induced Fager to supply equipment and materials to Douglas Stone for his business enterprises. NO. CI-07-2489 28. The above described acts of Douglas Stone have injured Keystone in that Keystone may be obligated to pay Fager in excess of $7,678.35. 29. Douglas Stone acted willfully, maliciously, with reckless disregard for the rights of Keystone and with an intent to injure Keystone. WHEREFORE, Defendant Keystone Paving Services, Inc., demands judgment against Additional Defendant, Douglas L. Stone for the amount of $7,678.35, plus interest, court costs and any other amounts provided by law. COUNT II BREACH OF FIDUCIARY DUTY 30. The foregoing paragraphs are incorporated herein by reference as though fully set forth below at length. 31. As Keystone's agent and employee, Douglas Stone was a fiduciary with respect to matters within the scope of his employment. 32. As a fiduciary, Douglas Stone owed a duty to Keystone to act solely for the benefit of Keystone, who was Douglas Stone's principal in all matters concerned with the agency and Douglas Stone was obligated to act with scrupulous fairness and good faith in his dealing with Keystone and to refrain from using his position to Keystone's detriment and to his own advantage. See Restatement (Second) of Agency §394; S14V Coal, Inc. v. Continental Grain Co., 376 Pa. Super. 241, 545 A. 2d 917 (1988). 6 NO. CI-07-2489 33. Douglas Stone breached his fiduciary duty to Keystone through using his position as Keystone's agent to his own advantage and to Keystone's detriment. 34. As a result of Douglas Stone's breach, Keystone has suffered damages in excess of $7,678.35 in the form of lost business revenues or legal duty to pay Fager. WHEREFORE, Defendant Keystone Paving Services, Inc., demands judgment against Additional Defendant, Douglas L. Stone for the amount of $7,678.35, plus interest, court costs and any other amounts provided by law. COUNT III BREACH OF DUTY OF GOOD FAITH 35. The foregoing paragraphs are incorporated herein by reference as though fully set forth below at length. 36. As Keystone's employee and foreman, Douglas Stone owed Keystone a duty of good faith while acting as Plaintiff s agent within the scope of his employment. 37. Keystone's billing of equipment and materials to Keystone and use of all such equipment and materials for a competing business enterprise was a breach of Douglas Stone's duty of good faith to Keystone. 38. As a result of Douglas Stone's breach, Keystone has been invoiced $7,678.35 by Plaintiff Fager and may be obligated to pay Fager. 39. Douglas Stone is obligated to pay Keystone or Fager as a result of his breach of 7 NO. CI-07-2489 duty of good faith. Stone, and in support thereof, avers as follows: 1. Plaintiff, R.F. Fager Co. (hereinafter "Fager"), is a Pennsylvania Corporation with a principal place of business at 2058 State Road, Camp Hill, Cumberland County, Pennsylvania 17011. 2. Defendant, Keystone Paving Services, Inc. (hereinafter "Keystone"), is a Pennsylvania Corporation with a principal place of business located at 587 Hammer Creek Road, 2 NO. 07-2489 Lititz, Lancaster County, Pennsylvania 17543; for all matters relevant hereto, Keystone was engaged in the business of excavating for commercial and residential construction projects and supplied equipment and labor related to such services. 3. Defendant, Gary D. Martin (herinafter "Mr. Martin"), is an adult individual with an address of 587 Hammer Creek Road, Lititz, Lancaster County, Pennsylvania 17543. 4. Defendant, Jewel A. Martin (hereinafter "Mrs. Martin"), is an adult individual with an address of 587 Hammer Creek Road, Lititz, Lancaster County, Pennsylvania 17543. 5. Fager filed a Complaint against Defendants Keystone, Mr. Martin and Mrs. Martin alleging theories of liability including breach of open account and personal guaranty. 6. Keystone and the Martins filed an Answer with New Matter to Fager's Complaint which is incorporated herein by reference. 7. Michael A. Stone (hereinafter "Michael Stone"), is an adult individual with a last known address of 5 Silver Springs Road, Mechanicsburg, Pennsylvania 17055. 8. At all times relevant hereto, Michael A. Stone was an employee of Keystone. 9. It is believed and averred that Michael A. Stone ordered equipment and products from Fager for his own business enterprise and requested the invoices for all such equipment and products be sent to Keystone. It is further believed and averred Michael Stone operated his business enterprise along with his brother, Douglas Stone, a co-Defendant in this action. 10. At no time did Michael Stone have permission of Keystone to operate a "side" business to the detriment of Keystone. NO. 07-2489 11. At no time did Michael Stone have permission of Keystone or the right to use equipment and materials ordered in the name of Keystone for his business enterprises. 12. Michael Stone's duties as an employee included estimating, ordering equipment and services, communication with customers and communication with vendors and suppliers. 13. At all times relevant hereto, Michael Stone breached his duties as an employee to Keystone which caused the damages as alleged by Fager in the Complaint. 14. Keystone hired Michael Stone to work for Keystone and on Keystone's behalf and Michael Stone accepted such undertaking with full understanding that Keystone would, at all times, remain in control of the parties. 15. Accordingly, Michael Stone's employment with Keystone created an agency relationship between the parties, with Keystone as principal. 16. Additionally, at all relevant times, Michael Stone as an estimator and employee, was a member of Keystone's management and enjoyed Keystone's trust and held responsibilities that created a fiduciary relationship with Keystone. 17. Under Pennsylvania law, an employee is obligated to render loyal, diligent and faithful service to the employer even in the absence of any specific agreement to that effect, and the employee owes a duty to act with the utmost good faith in the furtherance and advancement of the employer's interests. Sylvester v. Beck, 406 Pa. 607, 178 A.2d 755 (1962). 18. Through his wrongful conduct, which included fraud, breach of duty of good faith and breach of fiduciary duty, Michael Stone breached his duty of loyalty and good faith to Keystone as well as his fiduciary duty owed to Keystone. 4 NO. 07-2489 19. As a direct result of Michael Stone's wrongful actions, Fager has invoiced Keystone for equipment and materials that Keystone did not utilize or otherwise benefit. COUNTI FRAUD 20. The foregoing paragraphs are incorporated herein by reference as though fully set forth below at length. 21. Michael Stone fraudulently misrepresented to Fager that the equipment and materials ordered from Fager were on behalf of Keystone and for the benefit of Keystone. 22. Michael Stone fraudulently misrepresented to Fager that Keystone would pay for equipment and materials provided by Fager. 23. Michael Stone failed to represent to Fager that all such equipment and materials were ordered for the benefit of Michael Stone and/or his business enterprises. 24. The above acts of Michael Stone were intended to mislead and deceive Fager and to induce Fager to provide equipment and materials to Michael Stone under the belief that Keystone would receive and pay for all equipment and materials. 25. The representations made by Michael Stone to Fager were material to Fager's agreement to provide the equipment and materials identified in the Complaint. 26. The representations of Michael Stone were knowingly false in that Michael Stone purposely failed to disclose that all such equipment and materials ordered through Fager were not ordered on behalf of Keystone or were to be utilized for the benefit of Keystone. 5 NO. 07-2489 27. It is believed and averred that Fager justifiably relied on the misrepresentations of Michael Stone which induced Fager to supply equipment and materials to Michael Stone for his business enterprises. 28. The above described acts of Michael Stone have injured Keystone in that Keystone may be obligated to pay Fager in excess of $7,678.35. 29. Michael Stone acted willfully, maliciously, with reckless disregard for the rights of Keystone and with an intent to injure Keystone. WHEREFORE, Defendant Keystone Paving Services, Inc., demands judgment against Additional Defendant, Michael A. Stone for the amount of $7,678.35, plus interest, court costs and any other amounts provided by law. COUNT II BREACH OF FIDUCIARY DUTY 30. The foregoing paragraphs are incorporated herein by reference as though fully set forth below at length. 31. As Keystone's agent and employee, Michael Stone was a fiduciary with respect to matters within the scope of his employment. 32. As a fiduciary, Michael Stone owed a duty to Keystone to act solely for the benefit of Keystone, who was Michael Stone's principal in all matters concerned with the agency and Michael Stone was obligated to act with scrupulous fairness and good faith in his dealing 6 NO. 07-2489 with Keystone and to refrain from using his position to Keystone's detriment and to his own advantage. See Restatement (Second) of Agency §394; SHV Coal, Inc. v. Continental Grain Co., 376 Pa. Super. 241, 545 A. 2d 917 (1988). 33. Michael Stone breached his fiduciary duty to Keystone through using his position as Keystone's agent to his own advantage and to Keystone's detriment. 34. As a result of Michael Stone's breach, Keystone has suffered damages in excess of $7,678.35 in the form of lost business revenues or legal duty to pay Fager. WHEREFORE, Defendant Keystone Paving Services, Inc., demands judgment against Additional Defendant, Michael A. Stone for the amount of $7,678.35, plus interest, court costs and any other amounts provided by law. COUNT III BREACH OF DUTY OF GOOD FAITH 35. As Keystone's estimator and employee, Michael Stone owed Keystone a duty of good faith while acting as Plaintiff's agent within the scope of his employment. 37. Keystone's billing of equipment and materials to Keystone and use of all such equipment and materials for a competing business enterprise was a breach of Michael Stone's duty of good faith to Keystone. 7 NO. 07-2489 38. As a result of Michael Stone's breach, Keystone has been invoiced $7,678.35 by Plaintiff Fager and may be obligated to pay Fager. 39. Michael Stone is obligated to pay Keystone or Fager as a result of his breach of duty of good faith.
