COMPLAINT
The Plaintiff, MARTINDALE-HUBBELL, by its attorneys, KODAK & IMBLUM, P.C.,
brings this action of Assumpsit against the Defendants to recover the sum of EIGHT
THOUSAND TWO HUNDRED SIXTEEN DOLLARS AND SIXTY-FOUR CENTS
($8,216.64), along with interest thereon at the statutory rate from November 18, 2005,
upon a cause of action of which the following is a statement:

The Plaintiff, MARTINDALE-HUBBELL, is a corporation organized and existing
under the laws of the State of Massachusetts, having its principal office and place
of business at 121 Chanlon Road, New Providence, NJ 07974.
The Defendant, KARL E. ROMINGER, ESQUIRE, individually and trading as
ROMINGER, BAYLEY & WHARE, is an adult individual with an address of 155
South Hanover Street, Carlisle, Cumberland County, Pennsylvania 17013.
On or about August 3, 2004, Defendant entered into a contract with Plaintiff
whereby Plaintiff would provide advertising and lawyer listings for Defendant in

Plaintiffs publication for the 2005 year. A true and correct copy of said contract is
attached hereto, marked Exhibit "A" and made a part hereof.
4. On or about August 15, 2005, Defendant entered into a contract with Plaintiff
whereby Plaintiff would provide advertising and lawyer listings for Defendant in
Plaintiffs publication for the 2006 year. A true and correct copy of said contract is
attached hereto, marked Exhibit "B" and made a part hereof.
5. In consideration of said advertising and lawyer listing Plaintiff billed Defendant, per
the August 3, 2004 contract, the sum of Three Thousand Seven Hundred Twenty-
Seven Dollars and Twenty Cents ($3,727.20) as set forth on Plaintiff's Statement
of Account attached hereto, marked Exhibit "C"and made a part hereof.
6. The Defendant paid to Plaintiff on account of the aforementioned charges certain
sums of money as more particularly set forth on Exhibit "C" hereto and made a part
hereof, in the total amount of Five Hundred Dollars ($500.00).
7. In consideration of said advertising and lawyer listing Plaintiff billed Defendant, per
the August 3, 2005 contract, the sum of Three Thousand Six Hundred Twenty
Dollars ($3,620.00) as set forth on Plaintiff's Statement of Account attached hereto,
marked Exhibit "C"and made a part hereof.
8. The prices charged for said labor performed and services provided were just and
reasonable, were the legal and market prices therefor and were the prices which the

Defendant contractually promised and agreed to pay to Plaintiff.
9. The balance due and owing by Defendant to Plaintiff is the sum of Six Thousand
Eight Hundred Forty-Seven Dollars and Twenty Cents ($6,847.20), as appears by
Exhibit "C" hereto.
10. Due to the default of Defendant, and pursuant to the terms and conditions of the
Contracts executed by Defendant and attached hereto as Exhibits "A" and "B",
attorney's fees in the total amount of One Thousand Three Hundred Sixty-Nine
Dollars and Forty-Four Cents ($1,369.44) have been added to said account.
11. Plaintiff frequently demanded payment from Defendant of said amount due and
owing as aforesaid, but Defendant refused and neglected and still refuses and
neglects to pay said amount or any part thereof.
WHEREFORE, Plaintiff brings this suit to recover from Defendant the sum of
SEVEN THOUSAND NINE HUNDRED TEN DOLLARS AND EIGHTY-EIGHT CENTS
($7,910.88), along with interest thereon at the statutory rate from November 19, 2004.

ANSWER, NEW MATTER, & COUNTER CLAIM
And come the defendants, Karl E. Rominger individually, and trading as Rominger,
Bayley & Whare, and states as follows:

4. Admitted. By way of further answer it was promised orally that adjustments
would be made for lack of previous results from the 2005 year.

8. Denied. By way of further answer the prices were excessive, unfair, and based on
data and results known to Plaintiffs, excessive versus the business they were
likely to generate, if any.
9. Denied. Plaintiff failed to perform, and / or provided a product it knew did not
work, and / or which was deficient. The breach by plaintiff as well as the fraud in
the inducement vitiates any duty to pay.

Wherefore defendants demand judgment in defendants' favor, and against
plaintiff.
NEW MATTER
12. Plaintiff's promised that custom listings and "customized" web sites would be
created, which would result in substantial client contacts.
13. Few client contacts were ever generated, and in fact most inquires were from law
students looking for work.
14. Upon information and belief the sales representative who initiated the first
contract was not properly trained or knowledgeable about the product, and over
represented its value to defendants.
15. The second sales representative indicated that major revisions and changes would
be made, and that he was better trained than the person he replaced, and would
make the advertising work.
16. The second sales representative also indicated that if a second contract was
signed, that adjustments would be made to the outstanding bill.
17. Upon information and belief, Plaintiffs have detailed records of how many
contacts were actually initiated, as well as the IP locations, and other web data
related to those inquiries for both the web listings of Defendants and thousands of
others.
18. Upon information and belief, those records will show that Plaintiff made
fraudulent / and / or misleading representations about the success and scope of the
product, particularly versus the prices charged.
14. Further, plaintiff failed to create a web presence as promised, which included
details, keywords, and information likely to attract consumers.
20. Upon information and belief, the sales force employed to sell the product was not
trained on its proper use and when and what level of purchase was appropriate for
any given situation.
21. Upon information and belief, Plaintiffs generally oversold the entire directory, at
inflated prices at a time when they knew there would not be enough traffic to
provide sufficient client contacts to make the cost reasonable and / or just.
22. Upon information and belief, Plaintiffs oversold the directory, at inflated prices at
a time when they knew there would not be enough traffic for the regions and case
types selected to provide sufficient client contacts to make the cost reasonable and
/ or just.
23. This systematic overselling was part of the fraudulent acts of Plaintiffs, and
Plaintiffs knew from historical web traffic logs and results that the volume of web
traffic was not sufficient to make the prices charged reasonable, nor the results
promised possible.
24. Plaintiffs claim should fail, and defendant should be relieved of any obligations
under the contract because of this active and / or negligent misrepresentation as
more fully described above.
WHEREFORE, Defendants request judgment in their favor and against Plaintiff.
COUNTER CLAIM
25. The previous paragraphs are incorporated herein as if more fully set, and the facts
and allegations therein are specifically made part of the counter claim(s) of
Defendants.
26. Plaintiffs new or should have known that the web site and directory products were
not likely to provide a return on investment sufficient to make the product a useful
purchase to defendants or similarly situated law firms and attorneys.
27. Upon information and belief, plaintiff intentionally, or negligently oversold the
directory product, knowing that the traffic present on the web site(s) at the time,
for the regions sold, was not adequate to assure a commercially reasonable return
on defendant's or similarly situated law firm's and attorney's investment in the
product.
28. The sales literature and other presentations were misleading, and did not disclose
the limited web traffic or over allocations of the advertising.
29. The plaintiff's business practices were misleading, and the plaintiff knew or
should have known, from historical traffic and data, that the advertising was not
working as represented.
30. Further, plaintiff failed to monitor the results of its web site traffic development
efforts, its web logs, and other data sources, and to take measures to make sure
that a reasonable amount of web traffic and potential clients were viewing the
listings of the various attorneys and law firms, as well as that of defendants.
FRAUDULENT MISREPRESENTATION
31. The previous paragraphs are incorporated herein as if more fully set, and the facts
and allegations therein are specifically made part of the counter claim(s) of
Defendants.
32. The representations to defendants that the advertising was, "valuable" and that it
would generate potential client contacts which would result in more cases and
more profitability were not true.
33. Plaintiff knew or should have known that the product was inadequate and taken
steps to uphold its end of the bargain, which it did not.
34. Plaintiff s salesman's representations that the inadequacies in the product would
be addressed, and financial adjustments made were false.
35. Defendants was damaged by these untrue statements.
36. Defendants lost business, as they reasonably relied upon the representations made,
and were damaged by not gaining the clients expected or promised.
37. The monetary damages from this lost business were substantial.
Wherefore Defendants request judgment against plaintiff in an unliquidated amount
in excess of the statutory limits for compulsory arbitration.
UNFAIR TRADE PRACTICES
38. The previous paragraphs are incorporated herein as if more fully set, and the facts
and allegations therein are specifically made part of the counter claim(s) of
Defendants.
39. Plaintiffs engaged in "UNFAIR OR DECEPTIVE ACTS OR PRACTICES" as
more fully defined in 73 P.S. § 201-2, and in violation of § 201-3. Unlawful acts
or practices; exclusions.
40. In particular they engaged in unfair practices and deceptive acts which are
proscribed as such by 73 P.S. § 201-2 (4) v, vii , ix, x, xi .
41. Plaintiff's actions damaged defendants, and caused them to lose profits, business,
and future business in an amount to be determined at trial.
Wherefore Defendant requests judgment against plaintiff in an unliquidated
amount in excess of the statutory limits for compulsory arbitration, as well as
attorneys fees, and treble damages.
