No. 07- ~~f 37 ~r~( CIVIL ACTION -LAW MENLO WORLDWIDE LOGISTICS, Defendant COMPLAINT 1. Plaintiff, Cumberland Design & Building Co., Inc., is a Pennsylvania corporation with an address at P.O. Box 248, Claremont Road, Carlisle, Cumberland County, Pennsylvania. 2. Defendant, Menlo Worldwide Logistics, is a California corporation conducting business at 600 Hunter Lane, Middletown, Dauphin County, Pennsylvania. 3. On or about July 26, 2006, Plaintiff and Defendant entered into a contract for renovations to Defendant's building located at 600 Hunter Lane, Middletown, Pennsylvania. A copy of the contract is attached as Exhibit "A." 4. Both parties agreed that Plaintiff would complete the renovations for the sum of $135,064.00. 5. Pursuant to paragraph 7 of the terms and conditions, Defendant made a down payment in the amount of $5,000.00. 6. Pursuant to paragraph 7 of the terms and conditions, any balance not paid within thirty days from the date of the invoice is subject to a 1.5% monthly service charge. 7. On or about January 18, 2007, Plaintiff completed the renovations on Defendant's building. 8. On or about January 18, 2007, Invoice #6842 was submitted to Defendant for payment. Invoice #6842 reflected an unpaid balance of $130,064.00 for the completion of Plaintiff s work. A copy of Invoice #6842 is attached as Exhibit "B." 9. As of March 20, 2007, Defendant failed to pay any of the remaining balance on Invoice #6842. 10. On March 20, 2007, Plaintiff submitted a statement to Defendant reflecting the unpaid balance remaining on Invoice #6842 and the service charge on the unpaid balance. The total amount due as of March 20, 2007 was $132,014.96. A copy of the March 20, 2007 statement is attached as Exhibit "C." 11. To date, Defendant has failed to pay any of the remaining balance for the completion of the renovations on its building. 12. As a result of Defendant's failure to pay the amount due under the contract, as of March 20, 2007, Plaintiff suffered damages in the amount of $132,014.96. NOTICE OF REMOVAL Defendant Menlo Logistics, Inc. dlbla Menlo Worldwide Logistics ("Menlo"), hereby removes this case from the Court of Common Pleas of Cumberland County, Pennsylvania. 1. Plaintiff Cumberland Design & Building Co., Inc. ("Cumberland Design"), filed its complaint on May 10, 2007. A copy of the complaint is attached at Exhibit "A."1 The state court docketed the complaint to No. 07-2837. 2. Menlo was served with a copy of the complaint by the Sheriff of Dauphin County on May 22, 2007. 3. In its complaint, Cumberland Design asserts that it is a Pennsylvania corporation with a principal place of business in Carlisle, Cumberland County, Pennsylvania. 4. Menlo is a Delaware corporation with its principal place of business in San Mateo, San Mateo County, California. 5. In its complaint, Cumberland Design demands damages in excess of $75,000.00. 6. This Court could have exercised original jurisdiction under 28 U.S.C. § 1332(a)(2), and removal is therefore proper. 28 U.S.C. § 1441. 1 The complaint is the only pleading on file in the state court. -2- Therefore, Menlo removes this case from the Court of Common Pleas of Cumberland County, Pennsylvania, to this Court.
