sibling is defined under Section 9102, as an individual who has at least one parent in common with the decedent, whether by blood or adoption.

LAST WILL AND TESTAMENT
I, John R. McKeehan, presently residing at 45 Creek Road, Newville, West Pennsboro
Township, Cumberland County, Pennsylvania 17241, being of sound mind, memory and
disposition, do hereby make, publish and declare this my Last Will and Testament, hereby
revoking and making void all wills by me at any time heretofore made.
FIRST. I order and direct the payment of all my legally enforceable debts and
funeral expenses as soon as may be convenient after my decease.
SECOND. I give,. devise and bequeath all..my estate, real, personal and mixed,
whatsoever and wheresoever situate, to my wife, Judy E. McKeehan.
THIRD. In the event that the said Judy E. Mueller should predecease me, I then give,
devise and bequeath all my estate, real, personal and mixed, whatsoever and wheresoever situate,
equally to my daughter, Jennifer McKeehan, and my wife's daughter, Ashley Jones.
FOURTH. I nominate, constitute and appoint Keith Jones to be the Executor of
this my Last Will and Testament. In the event that he be unable to fulfill the duties of Executor,
I then nominate, constitute and appoint Judy E. McKeehan to be the Executrix of this my Last
Will and Testament.
FIFTH. I hereby direct that all federal, state and other death taxes payable because
of my death, with respect to the property forming my gross estate for tax purposes, whether or not
passing under this Will, including any interest or penalty imposed in connection with such taxes,
shall be considered a part of the expense of administration of my estate and that such be paid out
of the rest and residue of my estate.
SIXTH. I direct that my personal representative(s) shall not be required to give bond
for the faithful performance of their duties in any jurisdiction.

WHEREAS, the said Jolm R. McKeehan, was vested in his lifetime with title to a one-half
(112) interest in real estate hereinafter described, situate in Dickinson Township, County of

WHEREAS, the said John R. McKeehan died testate on May 28, 2006, and his Last Will
and Testament dated July 28, 2005 was dilly probated in the Register of Wills Office in the
County of Cumberland; and,
WJlEREAS, the said Keith Jones subsequently qualified as Executor of the Estate of John
R. McKeehan to estate file #2006-00589 of the said Office of the Register of Wills; and
WHEREAS, the said real estate hereinafter described was not specifically devised; and
WHEREAS, Section 3351 of the Probate, Estates and Fiduciaries Code (20 P.S. 3351)
confers upon personal representatives, the power to sell at public or private sale any real estate not
specifically devised.
WITNESSETH, that for and in consideration of the sum of FOUR HUNDRED FIFTY
THOUSAND ($450,000.00) DOLLARS, in hand paid, the receipt whereof is hereby
acknowledged, the said Grantor does hereby grant and convey, in fee simple to the said Grantee,

County, Pennsylvania, hereinafter called "Seller,"
AND DONALD A. MCKEEHAN, single man of 219 Mooredale Road, Carlisle,
PA 17013, hereinafter called the "Purchaser."
BACKGROUND
A. Seller desires to convey to Purchaser ALL OF SELLERS ONE-HALF (112) INTEREST
all that certain tract or parcel of land situate in Dickinson Township, Cumberland County,
Pennsylvania, containing 198 acres more specifically described in Exhibit A, attached
hereto and incorporated by reference herein, known as 132 Mooredale Road; Carlisle,
Pennsylvania which parcel of land and improvements are hereinafter collectively referred
to as the "Property."
B. Purchaser desires to purchase the property.
NOW THEREFORE, with intent to be legally bound, Seller and Purchaser hereby agree and
covenant as follows:
1. Sale and Purchase. Subject to the terms and conditions of this Agreement, Seller agrees to
convey to Purchaser and Purchaser agrees to purchase the Property.
2. Financial Terms.
A. Purchase Price Four Hundred Fifty Thousand Dollars ($450,000.00), which shall be
paid to Seller by Buyer as follows:

3. Warranty of Title. The Property shall be conveyed to Purchaser by Seller's special
warranty deed, conveying good and marketable title, free and clear of all liens, subject only
to such easements, restrictions as may affect the Property on the date hereof. The quality of

title to be conveyed is such title a will be insurable by a reputable Titk Insurance
Company at regular rates. It is expressly agreed, however, that if Seller is unable to deliver
the quality of title required herein, Purchaser's sole option shall be to accept such title as
Seller can deliver without reduction in purchase price, or to terminate this Agreement,
whereupon Purchaser's deposit shall be returned to Purchaser, and neither party shall have
any further liability or obligation to the other hereunder.

4. Possession. Possession of the Property shall be delivered to Purchaser at the time of
settlement.

be apportioned as of the date of settlement on the basis of the fiscal year of the taxing
body. Purchaser shall be responsible for any benefit assessments assessed or levied against
the Property subsequent to the date of this Agreement.
7. Realty Transfer Tax. Purchaser and Seller shall divide equally the payment of any realty
transfer tax required to be paid as a result of the conveyance set forth herein.
8. Financing Contingencv. Final settlement is contingent upon Buyer obtaining a mortgage
on terms reasonably satisfactory to Purchaser.
9. Brokers. Each party represents and warrants to the other that it has not contracted with any
real estate broker or similar person ~ith respect to this Agreement, and that no brokerage
commission is due to anyone in connection with this sale.
10. Private Water. There is no public water at the property.
11. Private Sewer.
A. There is no currently existing community sewage system available for the subject
property. Section 7 of the Pennsylvania Sewage Facilities Act provides that no
person shall install, construct, request bid proposals for construction, alter, repair or
occupy any building or structure for which an individual sewage system is to be
installed, without first obtaining a permit. Purchaser is advised by this notice that,
before signing this Agreement of Sale, Purchaser should contact the local agency
charged with administering the Act to determine the procedure and requirements
for obtaining a permit for installing, repairing, etc. an individual sewage system.
The local agency charged with administering the Act will be the municipality
where the Property is located or that municipality working cooperatively
with others.

12. Notices. All notices hereunder shall be by registered or certified mail, return receipt
requested, addressed to the parties at the addresses set forth below. Either party may
change its address for the purposes of receiving notice, by notice to the other.

15. Risk of Loss. Seller shall bear the risk of loss until final settlement.
20. Default. In the event Purchaser fails to make settlement as provided, or violates or fails to
perform or fulfill any of the terms or conditions of the Agreement, then in such case all
deposit, money and other sums paid by the Purchaser on account of the purchase price,
whether required by this Agreement or not, may be (a) retained by Seller on account of the
purchase, or (b) as monies to be applied to the Seller's damages, or (c) as liquidated
damages for such breach, as the Seller may elect, and in the event that Seller elects to
retain the monies as liquidated damages in accordance with this paragraph, the Seller shall
be released from all liability or obligations and this Agreement shall be null and void and
all copies will be returned to Seller for cancellation.
21. Miscellaneous.
A. This Agreement shall be binding upon and inure to the benefit of the parties
hereto and. their respective heirs, successor and assigns. Purchaser may assign
this Agreement.
B. This Agreement shall not be amended or modified except by a written agreement
signed by the Seller and Purchaser.
C. This Agreement contains the entire understanding between the parties and any
representations, undertakings or agreements of any kind are superseded by the
provisions of this Agreement.
D. This Agreement shall be construed and enforced in accordance with the laws of the
Commonwealth of Pennsylvania.

E. Neither party may record this Agreement or any memorandum hereof. Any
violation of the preceding sentence shall be of the essence of this Agreement and
shall immediately provide Seller with the right to terminate this Agreement, in
addition to all other remedies available to Seller.
F. Time is here declared to be of the essence of each and every provision of
this Agreement.

Mr. McKeehan had a checking account #159778 with this bank which
was opened February 3, 2005 and was joint with Judy McKeehan. The balance
as of May 28, 2006 was $33,606.40.
There is also a mortgage in the names of John R. McKeehan and Judy
R. Mueller dated February 3, 2005 for $40,000.00. The date of death
