IN THE COURT OF COMMON PLEAS OF CUMBERLAND COUNTY, PENNSYLVANIA NO. 07- 3945 Ci~i I CIVIL ACTION -LAW COMPLAINT Plaintiff Rite Aid Corporation ("Rite Aid"), by its undersigned attorneys, files this Complaint alleging as follows: PARTIES 1. Rite Aid is a Delaware corporation with its principal place of business at 30 Hunter Lane, Camp Hill, Pennsylvania 17011. 2. On information and belief, defendant Concord Camera Corporation is a New Jersey corporation with a principal office at 4000 Hollywood Boulevard, 6th Floor, North Tower, Hollywood, Florida 33021. JURISDICTION AND VENUE 3. This Court has jurisdiction over this action because this action arises out of Defendant's contacts with this jurisdiction. Venue is proper because the activities which resulted in the formation of the contractual relationship which is the subject of this action occurred within this county and payments were due to be made in Cumberland County. RELEVANT FACTS 4. Rite Aid is a national drug store chain with its principal office in Cumberland County, Pennsylvania. 5. At all times relevant to this Complaint, Concord was involved in the manufacture, sale and distribution of image capture products including, but not limited to, digital cameras, single use and 35 mm traditional film cameras. 6. In September, 2002, Rite Aid and Concord, then operating as Concord Keystone Sales Corp., entered into a Rite Aid Returns Agreement ("Returns Agreement") that provided the manner in which Concord's products could be returned to Concord. A true and correct copy of the Returns Agreement, a valid and enforceable written contract, is attached to this Complaint as Exhibit A. 7. The Returns Agreement permitted Concord to direct how Rite Aid should handle damaged, defective, outdated and discontinued goods ("unsaleable product"). See Exhibit A. 8. Concord decided that the unsaleable product should be scanned and shipped back to Concord. See Exhibit A. 9. Concord agreed to pay a fee for this particular method of disposition. S'ee Exhibit A. 10. Concord also agreed to pay freight charges. 1 1. In addition, the Returns Agreement signed by Concord provided that Concord would be charged fees for the unsaleable product ("USI unsaleables"), and that such USI unsaleables would be deducted from the amount due to Concord. See Exhibit A. 12. Concord also entered into a Promotional Funding Agreement with Rite Aid whereby it agreed to fund the marketing of Concord's products. A true and correct copy of the Promotional Funding Agreement, a valid and enforceable written contract, is attached to this Complaint as Exhibit B. -2- 13. Pursuant to the Promotional Funding Agreement, Concord agreed to deduct the marketing costs from the amounts owing by Rite Aid. See Exhibit B. 14. Concord also entered into agreements with Rite Aid whereby it agreed to pay certain rebates and processing fees as part of Rite Aid's Single Check Rebate program ("Rebate Agreements"). True and correct copies of the Rebate Agreements, valid and enforceable written contracts, are attached to this Complaint as Exhibit C. 15. Concord also signed Rite Aid Incremental Investment Agreements whereby it agreed to fund retail store markdowns. True and correct copies of the Incremental Investment Agreements, valid and enforceable written contracts, are attached to this Complaint as Exhibit D. 16. Due to the fees charged pursuant to the agreements listed in paragraphs 6 through 15 above ("Fees"), as of June 28, 2007, Concord's account with Rite Aid has a $122,651.98 negative balance, which is expected to grow after all returns are processed and other account charge backs are applied. 17. On information and belief, the amount due and owing to Rite Aid will continue to increase. 18. As of the date of the filing of this Complaint, Concord is in breach of the Returns Agreements, the Promotional Funding Agreement, the Rebates Agreements, the Incremental Investment Agreements and other related account contracts and agreements because it refuses to pay Rite Aid the negative balance on its account. COUNTI BREACH OF CONTRACT 19. Rite Aid incorporates the averments in paragraphs 1 through 18 above as if fully set forth herein. -3- 20. As noted above, Rite Aid and Concord entered into various valid and enforceable written agreements under which Concord agreed to pay certain Fees. 21. To date, Concord owes Rite Aid $122,651.98 in Fees. A full accounting of the negative balances and summary sheets reflecting this amount is attached as Exhibit E. 22. Despite repeated requests, Concord refuses to pay the negative account. balance of $122,651.98 to Rite Aid. 23. Rite Aid has performed all conditions precedent under the Returns Agreement, Promotional Funding Agreement, Rebate Agreements, Incremental Investment Agreements and all related agreements under the account. 24. Concord is in breach of the Returns Agreement, Promotional Funding Agreement, Rebate Agreements, Incremental Investment Agreements and all related agreements because it has failed to pay the negative balance on its account. 25. As of February 9, 2007, Rite Aid has suffered damages in excess of $122,651.98, an amount that will increase as additional returns and other Fees are processed, due to the breaches of Concord. WHEREFORE, Rite Aid requests judgment in an amount in excess of $122,651.98, plus interest, costs and all other amounts deemed appropriate by the Court. COUNT II UNJUST ENRICHMENT 26. Rite Aid incorporates the averments in paragraphs 1 through 26 above as if fully set forth herein. 27. In the event Concord contends no contractual relationship exists, Rite Aid is entitled to recover the outstanding amounts to prevent Concord from being unjustly enriched. -4- 28. As is customary in the industry, Concord was to pay for certain Fees associated with the sale of its product. 29. Concord owes Rite Aid $122,651.98 in Fees, all of which were absorbed by Rite Aid. 30. Rite Aid has a reasonable expectation to receive the Fees incurred. 31. Concord reasonably should have expected to pay the Fees as such Fees are custom in the industry. 32. It would be inequitable for Concord to receive the benefit of the $122,651.98 still owed to Rite Aid. 33. In the event the contracts are deemed to be unenforceable, Rite Aid has no adequate remedy at law. 34. Rite Aid is entitled to collect the outstanding balance, plus interest, from Concord under the doctrine of unjust enrichment. -5- WHEREFORE, Rite Aid requests that judgment be entered against Concord in the amount of $122,651.98 plus interest, costs and all other amounts deemed appropriate by the Court. COMPLAINT PLaintiffRite Aid Corporation ("Rite Aid"), by its undersigned attorneys, files this Complaint alleging ss follows: PARTIES 1. Rite Aid is a Delaware corporation with its principal place of business at 30 Hunter Lana, Camp Hill, Pennsylvania 17011, 2. On information and belief, defendant Concord Camera Corporation is a New Jersey corporation with a principal office at 4000 Hollywood Boulevard, 6s' Floor, North Tower, Hollywood, Florida 3302]. JURISDICTION AND VENUE 3. This Court has jurisdiction over this action because this action arises out of Defendant's contacts with this jurisdiction. Venue is proper because the activities which resulted in the formation of the contractual relationship which is the subject of this action occurrad within this county and payments were due to be made in Cumberland County. RELEVANT~~-~ 4. Rite Aid is a national drug store chain with its principal office in Cumberland County, Pennsylvania. Case 1:07-cv-01381-CCC Document 1-3 .Filed 07/30/2007 Page 5 of 42 5. At alI times relevant to this Complaint, Concord was involved in the manufacture, sale and distribution of image capture products including, but not limited to, digital cameras, single use and 35 mm traditional film cameras. 6. In September, 2002, Rite Aid and Concord, then operating as Concord Keystone Sales Corp., entered into a Rito Aid Returns Agreement ("Returns Agreement's that provided the manner in which Concord's products could be returned to Concord. A true and contict copy of the Returns Agreement, a valid and enforceable written contract, is attached to this Complaint as Exhibit A. 7. The Returns Agreement permitted Concord to duect how Rite Aid should handle damaged, defective, outdated and discontinued goods ("unsaleable product'. See Exhibit A. 8. Concord decided that the unsaleable product should be scanned and shipped back to Concord. See Exhibit A. 9. Concord agreed to pay a foe for this particular method of disposition. See Exhibit A. 10. Concord also agreed to pay freight charges. 11. In addition, the Returns Agreement signed by Concord provided that Concord would be charged fees for the unsaleable product {"USI unsaleables'~, and that such USI unsaleables would be deducted from the amount due to Concord. See Exhibit A. 12. Concord also entered into a Promotional Funding Agreement with Rito Aid whereby it agreed to fund the marketing of Concord's products. A true and comet copy of the Promotional Funding Agreement, a valid and enforceable written contract, is attached to this Complaint as Exhibit B. -2- Case 1:07-cv-01381-CCC Document 1-3 Filed 07/30/2007 Page 6 of 42 13. Pursuant to the Promotional Funding Agreement, Concord agreed to deduct the marketing costs from the amounts owing by Rite Aid. See Exhibit B. 14. Concord also entec+ed into agreements with Rite Aid whereby it agreed to pay certain rebates and processing foes as part of Rite Aid's Single Check Rebate program ("Rebate Agreements'. True and correct copies of the Rebate Agreements, valid and enforceable written contracts, are attached to this Complaint as Exhibit C. 15. Concord also signed Rite Aid Incremental Investment Agreements whereby it agreed to fund retail store markdowns. True and correct copies of the Incremental Investment Agreements, valid and enforceable written contracts, are attached to this Complaint as Exhibit D. 16. Due to the fees charged pursuant to the agreements listed in paragraphs 6 through I S above ("Fees', as of June 28, 2007, Concord's account with Rite Aid has a $122,651.98 negative balance, which is expected to grow after all returns are processed and other account charge backs are applied. 17. On information aad belief, the amount due and owing to Rite Aid will continue to increase. I $. As of the date of the filing of this Complaint, Concord is in breach of the Returns Agreements, the Promotional Funding Agreement, the Rebates Agreements, the Incremental Investment Agreements and other related account contracts and agreements because it refuses to pay Rite Aid the negative balance on its acxount. COUNTI BREACH OF CONTRACT 19. As noted above, Rite Aid and Concord entered into various valid and enforceable written agreements under which Concord agreed to pay certain Fees. 21. To date, Concord owes Rite Aid 5122,651.98 in Fees. A full accounting of the negative balances and summary sheets reflecting this amount is attached as Exhibit E. 22. Despite repeated requests, Conwrd refuses to pay the negative account balance of 5122,651.98 to Rite Aid. 23. Rite Aid has performed all conditions precedent under the Returns Agreement, Promotional Funding Agreement, Rebate Agreements, Incremental Investment Agreements and all related agreements under the account. 24. Concord is in breach of the Returns Agreement, Promotional Funding Agreement, Rebate Agreements, Incremental Investment Agreements and all related agrcements because it has failed to pay the negative balance on its account. 25. As of February 9, 2007, Rite Aid has suffered damages iti excess of 5122,651.98, an amount that will increase as additional returns and other Fees are processed, due to the breached of Concord. WHBREFORE, Rite Aid requests judgment in an amount in excess of 5122,651.98, plus interest, costs and all oilier amounts deemed appropriate by the Court. G~OUNT II UNJUST ENRIC>EDVIENT 26. Rite Aid incorporates the averments in paragraphs 1 through 26 above as if fully set forth herein. 27. As is customary in the industry, Concord was to pay for certain Fees associated with the sale of its product. 29. Concord reasonably should have eacpected to pay the Fees as such Fees are custom in the industry. 32. It would be inequitable for Concord to receive the benefit of the 5122,651.98 still owed to Rite Aid. 33. In the event the contracts are deemed to be unenforceable, Rite Aid has no adequate remedy at law. 34.
