I, WILLIAM R. SPANGLER, of York County, Pennsylvania, do hereby make
this my Last Will and Testament and revoke all former Wills by me at any time
heretofore made.
FIRST
I nominate, constitute and appoint my son, TIMOTHY J. SPANGLER, as my
Executor of my Last Will and Testament. My said Executor in addition to those powers
allowed by law shall have full power at his discretion to do any and all things necessary
for the complete administration of my estate, including but not limited to the power to
sell at public or private sale, and without Order of Court, any property belonging to my
estate, to compound, compromise or otherwise settle or adjust any and all claims,
charges, debts and demands whatever against or in favor of my estate, as fully as I could
do if living. No bond shall be required of anyone appointed executor of my will.

LAST WILL AND TESTAMENT OF WILLIAM R. SPANGLER
THIRD
I direct my said Executor to pay all estate, inheritance, and succession taxes on
property passing under this will out of my estate so that all devises, legacies, and other
gifts under this will shall be free and clear of said taxes.
FOURTH
I direct my Executor to convert into cash the residue of my estate and distribute
the proceeds of said sale as follows:
A. I give and bequeath eighty-five (85%) percent of my estate unto
my son, Timothy J. Spangler;
B. I give five (5%) percent of my estate unto the York County Area
on Aging;
C. I give five (5%) percent of my estate unto the Northeastern
Senior Citizens Center in Mount Wolf, Pennsylvania;
D. I give five (5%) percent of my estate unto Harry and Shirley
Johnson, husband and wife, of 5845 Susquehanna Drive,
York, Pennsylvania.
FIFTH
I specifically omit from my Last Will and Testament my oldest son, Bill Spangler,
or his issue from inheriting any of my estate, whether real, personal or mixed.

SIXTH
My Executor shall have the following powers, in addition to those given by law in
order to carry out the purpose established by this will:
1. To accept in kind and retain any property which I may own at
my death, with regard to any principal of diversification and to
invest in or purchase any form of property;
2. To sell, exchange, partition, or lease for any period of time any
real or personal property and to give options for cash or credit,
with or without security;
3. To borrow money from any person and to mortgage or pledge any
real or personal property;
4. To engage in litigation and compromise, arbitrate or abandon
claims;
5. To make distributions in cash, or in kind or current values, or
partly in each, and for such purposes to make reasonable
determination of current value; and
6. To register property in the name of a nominee or to hold property
unregistered.
