Katzman, of Mechanicsburg, Hampden Township, cumberland County, Pennsylvania, being of sound and disposing mind, do hereby make, publish, and declare this to be my Last Will and Testament, hereby revoking and making null and void all prior wills and Codicils made by me at any time heretofore. ITEM I. A. I bequeath my household and personal effects, jewelry, automobiles, and other tangible personalty of like nature to my beloved husband, RONALD M. KATZMAN, (hereinafter my "Husband"), if he survives me by thirty (30) days. B. If he does not so survive me, I bequeath certain items of tangible personal property that are identified in any separate writing directing distribution thereof after my death which is dated and is signed by me at the end thereof, to those persons designated in such separate writing who survive me. If any item of tangible personal property is identified in more than one separate writing, I direct that, unless stated to the contrary, the separate writing bearing the last date shall govern the disposition of such item. All remaining personal property not heretofore disposed of by me in any separate writing I hereby give to my children living at the time of my death, as they shall agree. \ . Should there be no agreement, such property shall be divided among them by my corporate Executor in as nearly equal portions as my corporate Executor deems practical, having due regard to the personal preferences of my children. I expect my children to act in a cooperative and considerate manner in coming to an agreement in this and all other matters. ITEM II. I give, devise, and bequeath all of the rest, residue and remainder of my estate, of whatever nature and wherever situate, to my beloved Husband, RONALD M. KATZMAN, absolutely. Should my Husband, however, fail to survive me by thirty (30) days, I give, devise and bequeath the said residue as follows: A. Ten percent (10%) shall be divided evenly among Trinity Lutheran Church of Camp Hill, Pennsylvania, Harrisburg SYmphony Association Endowment Fund, and Bethesda Mission. Said organizations shall be empowered to use said monies, both income and principal, for any appropriate or necessary purposes as determined by their respective governing authorities; B. Ninety percent (90%) to my children as may be living at the time of my death, and to the issue then living of such of my children as may then be dead, per stirpes. 2 \ ITEM III. The interest of beneficiaries hereunder shall not be subject to anticipation or to voluntary or involuntary alienation. ITEM IV. I hereby appoint my Husband, Ronald M. Katzman, Executor of this my Last will and Testament. If he fails to survive me or is otherwise incapable of acting, I appoint Mellon Bank, Harrisburg, Pennsylvania, and my son, James C. Katzman, as Executors (the "Executors"), of this my Last Will and Testament. ITEM V. I appoint Mellon Bank of Harrisburg, Pennsylvania, Guardian of any property which passes, either under this will or otherwise, to a minor. ITEM VI. I direct that my Executors shall not be required to give bond or post any other security for the faithful performance of duties in any jurisdiction. ITEM VIII. My Executors and Guardian, if any, shall have the following powers in addition to those invested by law and by other provisions of my will applicable to all property, whether principal or income, exercisable without Court approval, and effective until distribution of all property: 3 \ A. To retain any investments I may have at my death so long as my Executors may deem it advisable to my Estate so to do; specifically, my partnership interest in Village Associates should be distributed in kind unless my individual Executor directs otherwise. B. To vary investments, when deemed desirable by my Executors, and to invest in such bonds, common trust funds, stocks, notes, real estate mortgages, or other securities or in such other property, real or personal, as my Executors deem wise, wi thout being restricted to so-called "legal investments". c. In order to effect a division of the principal of my Estate or for any other purpose, including any final distribution, my Executors are authorized to make said divisions or distributions of the personalty and realty partly or wholly in kind. If such division or distribution is made in kind, said assets are required to be divided or distributed at their respective values on the date or dates of their division or distribution. D. To sell either at public or private sale and upon such terms and conditions as my Executors may deem advantageous to my Estate, any or all real or personal estate 4 , or interests therein owned by my Estate severally or in conjunction with other persons or acquired after my death by my Executors, and to consummate said sale or sales by suff icient deeds or other instruments to the purchaser or purchasers, conveying a fee simple title, free and clear of all trust and without obligation or liability of the purchaser or purchasers to see to the application of the purchase money or to make inquiry into the validity of said sale or sales; also, to make, execute, acknowledge, and deliver any and all deeds, assignments, options, or other writings which may be necessary or desirable, in carrying out any of the powers conferred upon my Executors in this paragraph or elsewhere in my will. E. To mortgage real estate, and to make leases of real estate for any period of time as my Executors may deem reasonable. F. To borrow money from any party to pay indebtedness of mine or of my Estate, expenses of administration, or inheritance, legacy, estate, or other taxes. G. To pay all costs, taxes, expenses, and charges in connection with the administration of my Estate. My Executors shall pay expenses of my last illness and funeral expenses. 5 H. To vote any shares of stock which form a part of my Estate, and to otherwise exercise all the powers incident to the ownership of such stock. I. To compromise claims and to abandon any property which, in my Executors' opinion, is of little or no value.
