PETITION
1. Doris W. Pote, as Grantor, entered into an Irrevocable Agreement of Trust with
CCNB Bank, N.A., as Trustee, on March 21, 1991. Copy of the said Agreement is attached
hereto, made a part hereof and marked Exhibit "A".
2. Under the terms of the said Agreement of Trust, Grantor conveyed all her right,
title and interest in certain personal property, including life insurance policies, (the "property"), a
description of which is attached hereto as Exhibit "B" and incorporated herein by reference.
Grantor contributed the property and desired that it be held in trust to provide for the benefit of
Grantor's children and grandchildren under standards set forth therein.
3. CCNB Bank, N.A. subsequently merged into PNC Bank, N.A~
4. Darlene Pote Fuller, Denise PoteMurphy and PNC Bank, N.A., ("Trustee") have
agreed that the Trustee should resign, and Darlene Pote Fuller, Denise Pote Murphy and Michael
Cherewka, Esquire, Wormleysburg, Pennsylvania, have agreed that ,Michael Cherewka, Esquire,
should becomeSuccessot Trustee under the said TrustAgreement. PNC Bank, N.A., as Trustee,
has prepared and will deliver to Michael Cherewka, Esquire, as Succe$sor Trustee, if the prayer
ofthisPetition is granted, all right, title.and interest in the hereinbefore described property, being
the only assets held byPNC Bank, N~A. under the said 'Trust Agreement.
5. Darlene Pote Fuller and Denise Pote Murphy, PNC Bank, N.A., Trustee, and
Michael Cherewka~ Esquire, as Successor Trustee, have agreed that no purpose would be served
by PNC B,,*, N.A., Trustee, filing an account for the period in which it acted as Trustee l1I1der
the aforesaid Agreement, and all parties desire that this Honorable Court specifically waive the
necessity of filing an account.
6. Darlene P()te Fuller and Denise Pote Murphy have agreed to indemnify PNC
Bank, N.A. against any and all claims arising out of the services rendered by PNC Bank, N.A. as
Trustee under said Trust Agreement, in accordance with the terms and conditions of the Release
and Indemnification Agreement attached hereto as Exhibit "c" and made a part hereof.

WHEREFORE, the undersigned respectfully request this Honorable Court (a) to approve
the resignation ofPNC Bank, N.A. as Trustee under the said trust; (b) to approve the
appointment of Michael Cherewka, Esquire as Successor Trustee in the said trust; (c) to waive
the requirement that PNC Bank, N.A. file an account of its activities as Trustee upon its
executing and delivering to Michael Cherewka, Esquire title to assets described in Exhibit "B" of
the aforementioned Trust Agreement; (d) to approve the cancellation by PNC Bank, N.A. of any
powers or duties given them under the said Trust Agreement, and to approve the imposition of
the said powers and duties arising from the said Trust Agreement upon Michael Cherewka,
Esquire, Successor Trustee, (e) to approve the Release and Indemnification Agreement attached
hereto as Exhibit "C" and made a part hereof, and (f) discharge PNC Bank, N.A. from any and
all liability for the administration of the Trust, except as provided in the Release and
Indemnification Agreement.

RELEASE & INDEMNIFICATION
WHEREAS, Doris W. Pote, as Grantor, entered into an Irrevocable Agreement of Trust
with CCNB Bank, N.A., as Trustee, on March 21, 1991.
WHEREAS, Under the terms of the said Agreement of Trust, Grantor conveyed all her
right, title and interest in certain personal property, including life insurance policies, (the
"property"), to be held in trust to provide for the benefit of Grantor's children and grandchildren
under standards set forth therein.
WHEREAS, CCNB Bank, N.A. subsequently merged into PNC Bank, N.A.
WHEREAS, Darlene Pote Fuller and Denise Pote Murphy and PNC Bank, N.A.,
("Trustee") have agreed that the Trustee should resign, and Darlene Pote Fuller and Denise Pote
Murphy and Michael Cherewka, Esquire, Wormleysburg, Pennsylvania, have agreed that
Michael Cherewka, Esquire, should become Successor Trustee under the said Trust Agreement.
PNC Bank, N.A., as Trustee, has prepared and will deliver to Michael Cherewka, Esquire, as
Successor Trustee, if the prayer of this Petition is granted, all right, title and interest in the
hereinbefore described property, being the only assets held by PNC Bank, N.A. under the said
Trust Agreement.
WHEREAS, Darlene Pote Fuller and Denise Pote Murphy, PNC Bank, N.A., Trustee,
and Michael Cherewka, Esquire, as Successor Trustee, have agreed that no purpose would be
served by PNC Bank, N.A., Trustee, filing an account for the period in which it acted as Trustee
under the aforesaid Agreement.
WHEREAS, Darlene Pote Fuller and Denise Pote Murphy, ("Beneficiaries") have agreed
to indemnify PNC Bank, N.A.

NOW, THEREFORE, the parties hereto agree as follows;
1. BENEFICIARIES release TRUSTEE from liability for any and all claims relating
to the administration of the Trust, except for the Agreement between the Beneficiaries and
Trustee regarding the lapse of Southwestern Life Insurance Policy No. 6002366396, as set forth
in letter dated February 18,2003 from Carrie M. Vogelsong ofPNC to George G. Pote, attached
hereto as Exhibit C-1 and made a part hereof, which Agreement shall continue in full force and
effect.
2. BENEFICIARIES waive the preparation and filing of a formal account with the
Orphans' Court of Cumberland County, Pennsylvania, for all actions ofthe TRUSTEE to and
including April 30, 2007.
3. The TRUSTEE agrees to deliver to SUCCESSOR TRUSTEE the assets set forth
on Exhibits C-2 and C-3 attached hereto and made a part hereof, representing all of the
remaining assets in the Trust.
4. BENEFICIARIES, in consideration of the agreement herein contained shall
indemnify and hold harmless TRUSTEE from all claims related to the administration of the
Trust.
5. BENEFICIARIES acknowledge that this Agreement is entered into without
compulsion and acknowledge that this Agreement is supported by good and valuable
consideration.
6. BENEFICIARIES and TRUSTEE acknowledge that this Release and
Indemnification contains all of the understandings of the parties that it may be executed in
counterparts; and that it shall be interpreted, if necessary, and controlled by the laws of the
Commonwealth of Pennsylvania.

WHERE1\S. Grantor owns certain personal property, including life
insurance policies, (the "Property"), a description of which is attached
hereto as Exhibit A arxi incorporated herein by reference; arxi
WHERE1\S. Grantor is herewith contributing the Property arxi desires that
it be held in trust to provide for the benefit of Grantor's children arxi
grandchildren under standards hereinafter set forth.

ARI'ICI:E I:
Grantor or any other party or person from time to time
may make the Property or additional stocks, securities, cash or other
assets (collectively with the Property, the "Assets"), subject to the
terms of this Agreement, by transfer during his or her lifetime or by his
or her Will.
ARI'ICLE II:
Upon receipt by the Trustee of the Property or other
Assets, or of any proceeds or funds from or on account of such Property or
Assets, the Trustee shall hold, administer arxi distribute said assets,
proceeds arxi funds, ill TRUsr NEVERIHElESS, under the following terms arxi
conditions:
'!he Trustee shall divide the Assets into two (2)
equal shares or parts. '!he Trustee shall hold
one such share as a separate Trust Fund for the
benefit of each of the children of Grantor: one
Trust to be known as the Orrlene IUte Fuller
Trust arxi the other Trust to be known as the
Denise IUte Murphy Trust.

(a) In the Trust thus established for Orrlene IUte

reinvest the principal thereof, collect the income arrl
shall pay quarterly to or for the benefit of Il:rrlene Pote
FUller all the net incane of the Trost. '!he Trostee may
also, on a quarterly basis, pay so IlIUch of the principal
of said Trost to Il:rrlene Pote Fuller as the Trostee, in
the Trostees' sole discretion, shall deem necessary arrl
appropriate to maintain said child in the proper station
in life, including proper support, maintenance, medical,
hospital, nursing arrl nursing home care, arrl postgraduate
or other education expenses, including any expenses
incurred by Il:rrlene Pote FUller, for the college,
university, postgraduation or other education of any issue
of Il:rrlene Pote FUller.
(b) Upon Il:rrlene Pote FUller's attaining the age of
sixty-two (62) years of age, then upon the written request
of Il:rrlene Pote FUller, the Trostee shall pay to Il:rrlene
Pate Fuller all the renaiI1ing assets of this Trust.
(c) Should Il:rrlene Pote Fuller die before final
distribution of the assets of said Trust, but be sw:vived
by then living issue, the Trustee shall quarterly pay the
net income from said Trust to or for the benefit of said
issue, per stirpes, living at each tine of quarterly
distribution. Twenty (20) years following the death of
Il:rrlene Pote FUller, all of the then remaining assets of
this Trost shall be paid to the then recipients of the
incane in the proportions by which they are then entitled
to the income.
(d) Should Il:rrlene Pote Fuller die before final
distribution of the Assets of this Trust arrl not be
sw:vived by then living issue, then all assets comprising
this Trust shall be distributed to the Denise Pote Murphy
Trost arrl administered arrl distributed in accordance
therewith; provided however, that if the Denise Pote
Murphy Trust has previously been tenninated by payment of
all its principal arrl incane to its beneficiaries, then

said beneficiaries who received paym;mt of the principal
of that Trust shall collectively be considered an
"existent Trust" for the p.rrpose of this subparagraph, ani
one such equal share shall be paid directly to each of
such beneficiaries in the same proportion by which they
received the principal of the Trust. If at the ti1ne of
tennination of this Trust there is no "existent" Trust, or
if at any ti1ne before final distribution of assets under
this Article II there are no beneficiaries as heretofore
described in this Article II, then all assets of this
Trust shall be distributed as follows:
(A) Twenty-five percent (25%) to Juniata
College, Huntingdon, Pennsylvania to be used
only for student scholarships in the Education
ani Business Deparbnents;
(B) Twenty-five percent (25%) to the Camp Hill
united Methodist <llUrch, Canp Hill, Pennsylvania
as an endowment for youth activities ani chur--ill
mission, on an equal basis;
(C) Ten pe=ent (10%) to the Albright Church of
the Brethren, Roaring Springs, Pennsylvania in
the narre of BIlINaIE AND JESSE rorE, parents of
my beloved husband, George G. Pote;
(D) Twenty-five percent (25%) to the George G.
Pote Family Fourrlation;
(E) Fifteen percent (15%) to be divided equally
between the then living spouses of my beloved
daughters, Darlene Pote Fuller ani Denise Pote
Murphy.
(e) On an annual basis, Darlene Pote Fuller, during her
lifeti1ne, or after her death, each income beneficiary
hereof shall have the absolute right each year to withdraw
fran the principal of this Trust an aIOClUI1t, in cash, not
to exceed Five Thousarrl ($5,000.00) Dollars, or five
percent (5%) of the then value of the principal of this

Trost, whichever anount is greater. Said right to
withdraw such am::lL1Ilt shall be noncumulative, an:i if
Darlene R:lte Fuller or any income beneficiary shall fail
to withdraw all of such anount, then he or she shall not
be entitled in any subsequent year to withdraw said anount
as he or she failed to withdraw in any prior year.
(f) '!he Trustee shall also fran time to time pay to any
income beneficiary as described in subparagraph (c) above
such am::lL1Ilts of the principal of the Trust as the Trustee
in its sole discretion, deerrs necessary an:i appropriate to
maintain said i.ncane beneficiary in the proper station in
life includirg proper support, maintenance, medical,
hospital, nursirg an:i nursirg heme care, an:i college,
university, postgraduate or other education expenses of
said income beneficiary.

(a) In the Trust thus established for Denise Pate Murphy,
the Trustee shall have, hold, manage, invest an:i reinvest
the principal thereof, collect the income an:i shall pay
quarterly to or for the benefit of Denise Pate Murphy all
the net income of the Trost. '!he Trustee may also, on a
quarterly basis, pay so nuch of the principal of said
Trust to Denise R:lte Murphy as the Trustee, in the
Trustees' sole discretion, shall deem necessary an:i
appropriate to maintain said child in the proper station
in life, includirg proper support, maintenance, medical,

or other education expenses, includirg any expenses
incurred by Denise Pate Murphy, for the college,

(b) Upon Denise Pate Murphy's attainirg the age of

of Denise R:lte Murphy, the Trustee shall pay to Denise

this TrUst shall be distributed to the Drrlene Pote Fuller
TrUst and administered and distributed in accordance
therewith; provided however, that if the Drrlene Pete
Fuller TrUst has previously been tenninated by payment of
all its principal and income to its beneficiaries, then
said beneficiaries who received payment of the principal
of that Trust shall collectively be considered an
"existent TrUst" for the purpose of this subparagraph, and
one such equal share shall be paid directly to each of
such beneficiaries in the same proportion by which they
received the principal of the TrUst. If at the time of
tennination of this TrUst there is no "existent" TrUst, or
if at any time before fiml distribution of assets under
this Article II there are no beneficiaries as heretofore
described in this Article II, then all assets of this
TrUst shall be distributed as follows:

from the principal of this Trust an amount, in cash, not
to exceed Five Thousand ($5,000.00) Dollars, or five
percent (5%) of the then value of the principal of this
Trust, whichever amount is greater. said right to
withdraw such amount shall be noncumulative, and if
Denise Pote M..rrphy or any income beneficiary shall fail
to withdraw all of such amount, then he or she shall not
be entitled in any subseqUent year to withdraw said amount
as he or she failed to withdraw in any prior year.
(f) 1he Trustee shall also from time to time pay to any
income beneficiary as described in subparagraph (c) above
such amounts of the principal of the Trust as the Trustee
in its sole discretion, deens necessary and appropriate to
maintain said income beneficiary in the proper station in
life includiIYJ proper ~rt, maintenance, medical,
hospital, nursiIYJ and nursiIYJ hone care, and college,
university, postgraduate or other education expenses of
said income beneficiary.
ARI'IcrE III: Grantor shall have no power or authority to make
decisions, either alone or in conjunction with the Trustee, regarding any

Assets which form a part of this Trust. All such decisions shall be made
solely by the Trustee serviIq llJrler this Trust Agreement.
ARTIClE IV: Grantor suggests to Trustee, although does not so
require, that, in determining how to exercise its discretion to distribute
from any Tnlst created hereUl"rler, Trustee will consider ways to reduce
federal transfer taxes upon the property in the Trust and to increase the
amount of property ultimately passiIq to at least some of the
beneficiaries of the Trust. In particular, Grantor suggests that Trustee
consider:
(a) DistributiIq property, includiIq :incane,
from a Trust whidl does not have a zero
inclusion ratio as defined in Section 2642 (a) of
the Internal Revenue code of 1986 and its
successors, for the benefit of skip persons as
defined in section 2613 (a) of the Code, for
medical or Erlucational tuition expenses directly
to the provider of the services, which
distributions will be excluded from the
definition of generation-skippiIq transfer by
section 2611 (b) (2) of the Internal Revenue Code
of 1986 and its successors;
(b) DistributiIq property, includiIq :incane,
from a Trust which does not have a zero
inclusion ratio to non-skip persons as defined
in section 2613 (b) of the Internal Revenue Code
of 1986 and its successors; and
(c) DistributiIq property, includiIq :incane,
from a Trust which has a zero inclusion ratio as
defined in section 2642 (a) of the Internal
Revenue Code of 1986 and its successors, to skip
persons as defined in section 2613 (a) of that
Code.
ARTIClE V: No part of the :incane or principal of the Assets held
Ul"rler any Tnlst shall be subject to attachment, levy or seizure by any
creditor, spouse, assignee, trustee or receiver in bankruptcy of any

beneficiary prior to his or her actual receipt thereof. '!he Trustee may,
in its reasonable discretion pay over the net i.nc::oIre an:l the principal to
the parties herein designated, as their interest may appear, without
regard to any atterrpted anticipation (except as specifically provided in
this instnnnent) pledging or assignment by arry beneficiary llIrler a Trust
an:l without regard to any clam thereto or atterrpted levy, attachment,
seizure or other process against said beneficiary.
ARI'ICLE VI: '!he Trustee shall possess, arnon:J others, the following
powers to be exercised for the best interest of the beneficiaries:
(a) To vary or retain investments, when deemed
desirable by the Trustee, an:l to invest in such
bonds, stocks, money market fl1Irls, notes, real
estate mortgages, partnerships an:l securities,
including securities of any corporate Trustee,
or in such other property, real or personal, as
the Trustee shall deem wise.
(b) In order to effect a division of the
principal of a Trust or for any other purpose,
including any final distribution of a Trust, the
Trustee is authorized to make said divisions or
distributions of the personalty an:l realty if
any, partly or wholly in kind. If such
divisions or distributions are made in kind,
said assets are required to be divided or
distributed at their respective values on the
date or dates of their divisions or
distributions .
(c) To sell, either at plblic or private sale,
an:l upon such terms an:l conditions as the
Trustee may deem advantageous to a Trust, any or
all real or personal estate or interests therein
owned by a Trust, severally or in conjunction
with other persons, an:l to consummate said sales
or sales by sufficient deeds or other
instnnnents to the purchaser or purchaserS,

conveying a fee sinple title, free arrl clear of
all trust arrl withaIt obligation or liability of
the prrcha.ser or prrchasers, to see to the
awlication of the p.u:chase lOClney, or to make
inquiry into the validity of said sale or sales~
also to make, execute, acknowledge arrl delivery
any arrl all deeds, assigrnnents, options or other
writings which nay be necessary or desirable in
carrying aIt any of the pcMerS conferred upon
the Trustee in this suJ:prragraph or elsewhere in
this instnnnent.
(d) To lOClrtgage real estate arrl to nake leases
of real estate.
(e) To borrc7iN lOClney fran any party to pay
irrlebtedness of a Trust, arrl taxes.
(f) To pay all costs, expenses arrl charges in
connection with the administration of the Trust,
including a reasonable compensation to
attorneys, aCXX>UIltants arrl agents.
(g) In the discretion of the Trustee, to unite
with other owners of similar property in
carrying out any plans for the reorganization of
any corporation or conpany whose securities form
a part of the Trust.
(h) To vote any shares of stock which form part
of a Trust.
(i) To assign to arrl hold in a Trust an
urrlivided portion of any asset.
(j) To enter into arrl execute agreements of
sale arrl long-term leases am g:rourrl leases in
excess of five (5) years' duration~ to hold,
sul:x:livide, inprove am develcp real property~ to
continue, terminate or refuse to renew any
existing leases, agreements, lOClrtgages or other
encumbrances~ to settle, CClITpromise, negotiate,

litigate or otherwise dispose of disp.ltes
concerning real property, without court
awroval ~ to form or enter into partnerships or
corporations ~ and to vote interests or shares
therein.
(k) In the discretion of the Trustee, if the
size of any Trust herein established shall
become so small that it is inpractical or
uneconanica1 to continue said Trust, the Trustee
may distribute all accumulated income and
principal to the then income beneficiaries in
proportion to their income interests.
(1) '!he right and discretion to elect the IlDSt
propitious settlement options for any employee
benefit options payable to any Trust, assuming
such election shall be in a=rdance with
procedures established by the plan's
administrative committee or administrator, as
the case may be.
(m) To employ agents, aCCOlU1tants, attorneys,
property managers, awraisers, contractors,
engineers, architects, surveyors, real estate
consultants, brokers and assistants and to pay
their fees and expenses, as the Trustee may deem
necessary or advisable to carry out the
provisions of the Trust created by this
.Agreement.
aARl'ICIE VII: Trustee may receive any other real or personal property
from the Grantor or from any other person or persons, by lifetime gift,
under a will or trust or from any other source. Such property shall be
held by the Trustee subject to the tenns of this trust agreement. Trustee
agrees, if it accepts such additions, to hold and manage such additions in
trust for the uses and in the iranner set forth in this agreement.
ARl'ICIE VIII: Trustee shall have the power to purchase and hold as a
trust investment a policy or policies of insurance on the life of Grantor

or any other person if the Trustee in its absolute discretion, deems such
action desirable, am to receive such policy or policies as owners, with
the following powers stated by way of illustration am not intended to
exclude other powers (which powers shall also awly to the policy
originally transferred to the trust by Grantor am any others transferred
to Trustee) :
A. To execute any autanatic premium loan agreem:mt with respect to
any policy or to elect that any such automatic premimn loan agreement
provision shall be effective or to cancel the same.
B. To borrow money with which to pay premiurrs due on any policy or
for any other purpose of the trust either from the company issuing the
policy or from any other source am to assign such policy as security for
the loan;
c. To exercise any option contained in such policy with respect to
any dividend or share of surplus awointed;
D. To reduce the am::JlU1t of such policy or to corwert or exchange the
sane ;
E. To elect any paid-up insurance or extended tenn insurance non-
forfeiture cption contained in such policies;
F. To surrender such policy for its cash value;
G. To sell such policy to the insured or to anyone having an
insurable interest in the insurance; am
H. To exercise any other right, cption, or benefit contained in the
policy or permitted by the insurance company issuing the policy.
ARl'ICIE IX: Trustee shall have the following powers with respect to
the payment of premiurrs on insurance policies:
A. Tnlstee shall have the authority to awly such
portion or all of the income am principal held by this
Agreement to the payment of premiurrs or other charges on
the insurance policies that CCJl'l'{lOse part of the Trust
estate as the Trustee, in its absolute discretion, shall
determine.
B. If the net income am principal is insufficient to
pay such premiurrs or other charges at any time, Trustee
shall notify the estate and the beneficiaries of the Trust

in writing of such insufficiency. Grantor am the
beneficiaries of any of them may furnish the necessary
furrls for the payment of the premiums or other charges,
but they shall not be obligated or required to do so.
c. If at any t.i1ne, the net i.ncate am principal of the
Trust estate am the furrls furnished by the Grantor am
the beneficiaries are insufficient to pay the premiums or
other charges on the policies on insurance, Trustee shall
not be required. to pay the premiums or other charges, am
Trustee shall not be liable for its failure to do so.
However, in the event of such insufficiency, Trustee may
obtain the necessary furrls by selling at public or private
sale, a sufficient portion of the principal of the trust:
by oorrowing on the security of the principal of the trust
or any part, including any of the insurance policies; by
applying the dividerrls on any of the policies; or by
surrerrlering any of the policies for their cash surrerrler
values. Trustee may also, in its absolute discretion,
convert any policy on which premiums have not been paid
due to insufficient furrls into a paid-up policy pursuant
to the tenns of such policy.
ARl'IcrE X: In the case of the transfer to Trustee of any policy of
life insurance on Grantor's life, Trustee shall possess am own all the
incidents of ownership, rights, powers, interests, privileges, am
benefits of every kind that may accr:ue on account of any of the insurance
policies so transferred; am the Grantor shall have no interest or right
of any kind in or to any of such insurance policies.
ARl'IcrE XI: Trustee shall collect the proceeds of any insurance
policies as follows:
A. Upon the death of the insured or earlier maturity of any
insurance policy or policies canposing part of the Trust, Trustee shall
collect the proceeds am the benefits. Trustee shall furnish the
necessary proofs of death to the insurance c::c:mpanies. Trustee is
authorized to take any am all other steps reasonably necessary for the
collection of such proceeds am benefits, including the institution of

proceedings at law or in equity in order to enforce the payment thereof.
However, Trustee shall not, except at its own election, institute or
maintain any legal action for the collection of such proceeds arrl benefits
unless it is first irrlerra1ified to its satisfaction against all liabilities
arrl ~ to which it, in its judgrrent, may be subjected as a result of
such action.
Trustee is further authorized to c:orrpranise arrl settle clabns arising
out of the insurance policies or any of them on such tenns arrl corrlitions
as it deems advisable, arrl the decision of the Trustee shall be birrling on
all interested parties.
Trustee shall be authorized to give the insurance c:orrpanies all
necessary arrl proper releases arrl acquittance in full discharge of all
its liabilities urrler such policies. '!he proceeds arrl benefits of such
insurance policies so collected by Trustee shall be added to arrl become a
part of the principal of the trust estate; but Trustee except for its
negligence, shall not be liable to anyone for the failure to collect all
or any part of the proceeds of the policies, arrl Trustee shall be
responsible for the proceeds arrl benefits of such insurance only when
collected by or paid to it.
B. No insurance corrpany that has issued or shall issue a policy or
policies of insurance subject to this 1\greement shall have any obligations
to inquire into the tenns of this Trust 1\greement or see to the
application of the proceeds arrl benefits of such policy or policies; arrl a
receipt of Trustee given to any insurance corrpany shall be effective to
release the insurance corrpany of any liability as a result of such policy
or policies arrl shall be birrling upon every beneficiary of the Trust.
ARl'IcrE XII: '!his Trust is irrevocable arrl shall not be subject to
m:xUfication or amerrlment, in whole or in part.
ARl'IcrE XIII: '!his Trust shall be governed by Pennsylvania law. Its
situs shall be CUmberlarrl County, Pennsylvania.
ARl'IcrE XIV: '!he Trustee shall be urrler no duty to post any borrl or
other security for the perfonnance of its duties hereurrler.
ARl'IcrE XV: Trustee shall be entitled to compensation annually in an
amJUIlt in accordance with its schedule of fees in effect from time to time
when such services are rerrlered. All payments of Trustee fees shall be

paid fran incane of the Trust, if sufficient, and if insufficient then
the balance fran principal.
ARl'IcrE XVI: I hereby naninate, constitute and awoint cam Bank,
N.A. as Trustee of the Trusts created un:ier this 1\greeIrent.
ARl'IcrE XVII: Trustee shall pay any ard all estate, inheritance,
succession ard other taxes, together with interest ard penalties thereon
assessed against the estate of Grantor by reason of the inclusion therein
for tax prrposes of the remaininl principal of this Trust out of the
principal held in this Trust.
ARl'IcrE XVIII: Trustee shall not be liable to any beneficiary for any
loss or depreciation in value of any asset provided that such Trustee has
not acted in bad faith, ard has exercised the due diligence of a prudent
investor in dealing with the Assets CCllprising this Trust.
ARl'IcrE XIX: Trustee shall keep written records of all transactions
relating to the Trust, its Assets and all investment decisions relating to
the Trust Assets. AlI.investJrent decisions by Trustee shall be by vote of
a majority of t..'1e Invesbnent Ccmnitt.ee of Trustee. Trustee shall annually
sen:l to all Trust beneficiaries an acxxmrt:ing showin;J all invesbnentd
decisions of the Invesbnent Cc:mnittee ard the majority voting therein, all
receipts, dis!::lursenl:mts, changes of investrnents ard assets held as
principal of the Trust, and all incane, expenses and charges as relates to
the Trust Assets.
