DECREE
AND NOW, this :) \ S -( day of 1 \l \ 'f ' 2007, upon consideration of the
foregoing Petition, IT IS ORDERED AND DECREED (a) that the resignation of PNC Bank,
N .A. as Trustee under the Trust Agreement set forth in the foregoing Petition is approved; (b)
that Michael Cherewka, Esquire is hereby appointed Successor Trustee in the trust created by the
said Agreement; (c) that the PNC Bank, N.A. shall execute and deliver to Michael Cherewka,
Esquire the necessary documents conveying title to the property described in Exhibit "B"
attached to the Trust Agreement and upon doing so shall be excused from filing an account of its
activities as Trustee in the aforementioned trust; (d) that the powers and duties given to PNC
Bank, N.A. under the aforesaid Trust Agreement are cancelled and the said powers and duties are
hereby imposed upon Michael Cherewka, Esquire; (e) that the Release and Indemnification
Agreement attached hereto as Exhibit "C" is approved, and (f) PNC Bank, N.A. is discharged
from any and all liability for the administration of the Trust, except as provided in the Release
and Indemnification Agreement..
