Defendants COMPLAINT Plaintiff, Financial Pacific Leasing, LLC ("FPL" or "Plaintiff'), by and through its undersigned attorneys, Lamm Rubenstone Lesavoy Butz 8c David LLC, brings this action against the above-named Defendants, Crider Excavating, Inc., Richard Crider and Donna Crider (collectively, "Defendants"), and in support thereof avers as follows: 369011-1 1. Plaintiff FPL is a corporation organid and existing under the laws of the State of Washington with its principal place of business located at 3455 S. 344th Way, Suite 300, Federal Way, Washington 98001. 2. Defendant Crider Excavating, Inc., upon information and belief, is a corporation organized and existing under the laws of the Commonwealth of Pennsylvania, with its principal place of business located at 555 Bosler Avenue, Lemoyne, Cumberland County, Pennsylvania 17043. 3. Defendant Richazd Crider is an adult individual and resident of the Commonwealth of Pennsylvania with a last known address to Plaintiff of 47 Fleischer Road, Marysville, Pennsylvania 17053. 4. Defendant Donna Crider is an adult individual and resident of the Commonwealth of Pennsylvania with a last known address to Plaintiff of 47 Fleischer Road, Marysville, Pennsylvania 17053. 5. Each of the Defendants to this action acts and is the alter-ego of each of the other defendants hereto and all of them. 6. On or about July 25, 2006, Crider Excavating, Inc. entered into a Lease Agreement ("Lease"), No. 0451106.901 for the lease of one (1) 1995 Mack CH613 truck, VIN # 1M1AA18Y0XW114282 (the "Equipment" or the "truck"). A true and correct copy of the Lease is attached hereto, made a part hereof, and marked as Exhibit "A." 7. The Lease requires, inter alia, that Crider Excavating, after making an initial payment of $1,795.84, make sixty (60) regulaz monthly rental payments of in the amount of $860.42 on or before the first (1st) day of each month, beginning August 1, 2006. See, Exhibit "A." 8. Under the terms of the Lease, FPL retained sole and exclusive ownership of the Equipment. See, Exhibit "A", paragraph 17 (Ownership). 369011-1 9. In order to induce FPL to enter into the Lease with Crider Excavating, on or about July 25, 2006, Richard Crider and Donna Crider (collectively, "Guarantors") executed a Guazantee (the "Guazantee") in favor of FPL, whereby Guarantors, and each of them, unconditionally guazanteed the prompt payment of all of Crider Excavating's obligations to FPL under the Lease when due. A true and correct copy of the Guazantee is attached hereto, made a part hereof, and mazked as Exhibit "B." 10. Defendants' last payment under the Lease was made on or about May 31, 2007, applied to the monthly payment which had been due on Mazch 1, 2007 and was past due at the time it eventually was paid on May 31, 2007. No further payments have been received applicable to the payment due on April 1, 2007 or any due date(s) thereafter. Accordingly, the date of Defendants' respective defaults of both the Lease and the Guazantees is April 1, 2007. 11. Plaintiff advised Defendants of the aforesaid breaches and defaults. Plaintiff has also reasonably notified Defendants that Plaintiff has exercised its option to accelerate the Lease as provided therein; has reasonably demanded full payment forthwith of all amounts due under the Lease and Guazantees; and has reasonably demanded the forthwith surrender and return to Plaintiff of the subject Equipment. 12. To date, notwithstanding the foregoing, Defendants have neither paid the amount due, owing and properly demanded by Plaintiff, nor has the subject Equipment been returned to the Plaintiff. COUNT I- BREACH OF CONTRACT 13. The averments set forth in the foregoing Pazagraphs are incorporated by reference and reasserted herein as though fully set forth at length. 369011-1 14. As per the terms of the Lease, the D~fettdants aze liable to Plaintiff for, inter alia, the subtotal sum of $48,923.36, which is readily calculated as follows: (a) Remaining payments due under the $48,579.19 Lease (b) Late fees from April 1, 2007 $ 344.17 Total $ 48,923.36 15. Additionally, as per the terms and conditions of the Lease, the Defendants are liable to Plaintiff for reasonable attorneys' fees and costs incurred in enforcing its rights under the Lease. See, Exhibit "A" at, inter alia, Paragraph 20 (Attorney's Fees And Expenses). 16. Pursuant to the Lease, late fees in the amount often percent of the total monthly lease payment will be assessed for payments not received on or before the due date. Accordingly, late fees in the amount of $86.04 have been assessed and will continue to accrue on a monthly basis. See Exhibit "A" at Paragraph 9 (Late Chazges and Collection Charges). 17. Attorneys' fees and costs have been incurred in the amount of $1,000.00, and will continue to increase until all unpaid amounts in connection with the Lease are paid in full. 364011-1 18. Despite repeated demands for payment the Defendants have failed and refused to pay all sums due and owing, or any portion thereof, under the Lease and the Guarantees. WHEREFORE, Plaintiff, Financial Pacific Leasing, LLC, demands that Judgment be entered against Defendants, Crider Excavating, Inc., Richard Crider and Donna Crider, and each of them individually, jointly and severally, in the sum of $49,579.19, plus continuing costs, expenses, attorneys fees, such interest as may be permissible by applicable law, and such other and further relief as this Honorable Court shall deem just and proper. COUNT II- REPLEVIN 19. The averments set forth in the foregoing Paragraphs hereto are reasserted by reference and reasserted as though set forth at length full herein. 20. As the Defendants have breached the terms of the Lease and Guarantees, Defendants wrongfully remain in possession of Plaintiff's Equipment. 21. Plaintiff believes, and therefore avers, that the Equipment is located either at the business address of 555 Bosler Avenue, Lemoyne, Pennsylvania 17043, or at the individual defendants' residence address of 47 Fleischer Road, Marysville, Pennsylvania 17053, or at such other location known to and under the control of Defendants. 22. The estimated value of the Equipment is approximately $21,000.00. 23. Although reasonable demands have been made upon the Defendants, they have failed, refused, and neglected to deliver possession of the Equipment to Plaintiff. WHEREFORE, Plaintiff, Financial Pacific Leasing, LLC, demands that Judgment be entered against Defendants Crider Excavating, Inc., Richard Crider and Donna Crider, and each of them individually, jointly and severally, for immediate possession of the 369011-1 Equipment as described herein, or its equivalent v$lut~, plus costs, expenses, interest and such other and further relief as this Honorable Court shall deem just and proper. COUNT III -CONVERSION 24. The averments set forth in the foregoing Pazagraphs hereto aze reasserted by reference and reasserted as though set forth at length full herein. 25. Pursuant to the Lease, Plaintiff is the owner of the Equipment, which remains the property of Plaintiff. 26. Defendants have demonstrated an intent to willfully exercise dominion or control over the Equipment, that is inconsistent with Plaintiff s property rights. 27. Defendants are unreasonably withholding possession of the Equipment from Plaintiff, knowing that they have no right to do so, knowing that Plaintiff is the rightful owner of the Equipment and knowing that Plaintiff has the right to immediate possession of the Equipment. 28.
