FIRST. I order and direct that all my just debts and funeral expenses be paid by my Executrix, Executor or Executors, as the case may be, hereinafter named, as soon as conveniently may be done after my decease. SECOND. I give and bequeath my guns and hunting equipment unto my sons, namely, RANDALL L. LYNN and VICTOR G. LYNN, said items to be distributed in accordance with the alternating choices of individual items by my said sons, such selection process to commence with the first item to be chosen by my older son. THIRD. I give, devise and bequeath all the rest, residue and remainder of my Estate, real, personal and mixed, whatsoever and wheresoever situated, unto my wife, namely, ADA J. LYNN, absolutely and in fee simple, if she survives me by as many as sixty (60) days. FOURTH. If my wife, ADA J. LYNN, does not survive me by as many as sixty (60) days, then and in that event, I order and direct that all the rest, residue and remainder of my Estate be distributed and disposed of in the following manner: A. I give and devise all of my real estate located in Seville Township, Perry County, Pennsylvania, (together with all household furnishings and equipment therein) in equal shares unto my two (2) sons, namely, RANDALL L. LYNN and VICTOR G. LYNN, share and share alike as tenants in common, in fee simple. If either of my said sons should predecease me, I order and direct that the undivided interest of such deceased son in said real estate shall be distributed unto his lawful issue then living per stirpes by representation and not per capita. If any such issue have not attained the age of twenty-three (23) years at the time of my death, I order and direct that the undivided interest of any such beneficiary shall be held and managed for him or her in accordance with the provisions of Paragraph E hereinbelow. B. I give and bequeath unto my daughter, namely, NINA M. LYNN FINK, a sum of money equal to one-third (1/3) of the appraised value of the real estate devised under paragraph A hereinabove. The term "appraised value" shall mean the value accepted by any governmental body having the power of taxing said real estate as the result of my death. If no such taxing requirement exists at the time of my death, then the "appraised value" shall mean the value determined by the formal appraisal of a competent and reputable real estate appraiser being a full member of the American Association of Real Estate Appraisers ("MAI") as selected by my said daughter, the fees and expenses of which appraisal shall be borne by my Estate as an expense of LAW OFFICES ;NELBAKER 8< ELICKER administration. If my said daughter should -2- predecease me, I order and direct that said sum of money shall be distributed unto the then living lawful issue of my said daughter per stirpes by representation and not per capita. If any of such issue have not attained the age of twenty-three (23) years at the time of my death, I order and direct that the respective distributive amounts shall be held and managed for him or her in accordance with the provisions of Paragraph E hereinbelow. If my said daughter should predecease me and if it is necessary to select a real estate appraiser under the foregoing terms, I order and direct that the entity named as Trustee in Paragraph E hereinbelow shall select said appraiser. C. I order and direct that a sum of money equal to ten per centum (10%) of my residuary estate (being the gross value of my Estate less my lawful debts, the expenses of administration, funeral expenses, death or inheritance taxes and the prior distributions required under Paragraphs A and B hereinabove) shall be set aside for distribution unto my grandchildren living at the time of my death, which sum I give and bequeath in equal shares unto such grandchildren, share and share alike, without substitution of issue. D. I give, devise and bequeath all the rest, residue and remainder of my Estate, real, personal and mixed, whatsoever and wheresoever situated, in equal shares unto my three (3) children, namely, NINA M. LYNN FINK, RANDALL L. LYNN and VICTOR G. LYNN, LAW OFFICES SNELBAKER & ELICKER share and share alike, absolutely and in fee simple. -3- ~ LAW OFFICES SNELBAKER Be ELICKER If any of my said children should predecease me, I order and direct that the share of such deceased child shall be distributed unto her or his lawful issue per stirpes by representation and not per capita, subject, however, to the protective provisions of Paragraph E hereinbelow. E. I order and direct that the distributive share under any of the foregoing Paragraphs to any beneficiary who has not attained the age of twenty-three (23) years at the time of my death shall be distributed unto THE F1RST BANK AND TRUST COMPANY OF MECHANICSBURG, PA (or any successor by reason of merger, consolidation or other corporate reorganization) in a separate trust, nevertheless, as my testamentary Trustee, to hold, manage, invest, accumulate income and reinvest until said beneficiary attains the age of twenty-three (23) years, at which time said individual trust shall be terminated and the then remaining net balance of said trust shall be distributed unto the beneficiary absolutely. LASTLY. I nominate, constitute and appoint my wife, ADA J. LYNN, to be the Executrix of this, my Last Will and Testament, but if for any reason she should fail to qualify as such Executrix or cease so to serve, then and in that event, I nominate, constitute and appoint my son, namely, RANDALL L. LYNN, to be the Executor hereof. If both of the foregoing persons should fail to qualify as my personal representatives hereunder or cease so to serve, then and in that ultimate event, I nominate, constitute and appoint my two (2) other children, namely, NINA M.
