CIVIL ACTION - LAW COMPLAINT AND NOW, the Plaintiff, ROBERT DEMURO, by and through his attorney, Brian C. Linsenbach, files this Complaint and avers the following: 1. Plaintiff is ROBERT DEMURO, adult individual, of 135 Stoney Run Road, Dillsburg, York County, Pennsylvania 17019. 2. Defendant is ANTHONY FIORELLI, adult individual, of 14 Clover Court, Palmyra, Pennsylvania 17078. 3. On August 23, 2006, Plaintiff entered into a written contract with Defendant, a true and correct copy of which is attached hereto as Exhibit "A." 4. By the terms of the contract, Plaintiff agreed to sell and deliver to Defendant, the restaurant known as "Top That Dog" and equipment therein, for the sum of THIRTY THREE THOUSAND SIX HUNDRED DOLLARS ($33,600.00). A true and correct copy of which is attached as Exhibit "B" 5. Plaintiff and Defendant agreed to the purchase price of Thirty Three Thousand Six Hundred Dollars ($33,600.00), consisting of Twelve Thousand Dollar ($12,000.00) down payment and Nine Hundred Dollars ($900.00) monthly for twenty-four (24) months for a total of TWENTY ONE THOUSAND SIX HUNDRED DOLLARS ($21,600.00). 6. Defendant agreed to accept the terms of the contract and made payment of Twelve Thousand Dollars ($12,000.00) as a down payment; however, Defendant failed to make any remaining payments. SCHRA?CK & 7. Further, Defendant's check dated March 27, 2007, in the amount of Nine Hundred LmsENRAcH Dollars ($900.00) was returned by the bank stating the account was closed. A true and correct copy LAW OFFICES of which is attached as Exhibit "C" 8. Plaintiff filed a UCC statement on the restaurant equipment, a true and correct copy of which is attached as Exhibit "D." 9. It is believed and averred that Defendant has sold, transferred or removed the equipment from the restaurant without notifying Plaintiff. 10. Plaintiff has fully performed all of his covenants and agreements contained in the written contract and oral agreement with Defendant, in good faith and according to the true intent and meaning thereof. COUNT I - BREACH OF CONTRACT 11. Paragraphs 1 through 10 are incorporated herein by reference as if fully set forth. 12. To date, Defendant has paid only Twelve Thousand Dollars ($12,000.00) on the amount due under the contract. 13. The balance of Twenty One Thousand Six Hundred Dollars $21,600.00, pursuant to the contract has been, and is still, overdue and owing. 14. Defendant has sold the equipment without complying with the UCC filing. 15. Plaintiff has repeatedly demanded payment of the amount due, but Defendant has wholly neglected and refused to pay the same or any part thereof. WHEREFORE, Plaintiff demands judgment against Defendant for the sum of Twenty One Thousand Six Hundred Dollars $21,600.00, with interest from August 23, 2006, plus costs and reasonable attorney fees and other award the Court deems just and proper.
