Defendant is KENNETH R GOOD, an adult individual residing at 1501 WILLIAMS GROVE RD MECHANICSBURG, PA 17055. 3. At the special instance and request of Defendant, Plaintiff sold and delivered to Defendant goods and/or services at the times, of the kinds, in the quantities, and for the prices set forth in Plaintiffs records. A true and correct copy of which is attached hereto, incorporated herein by reference and designated Exhibit "A". 4. Defendant received and accepted the goods and/or services described in Exhibit "A". 5. The prices set forth in Exhibit "A" are the fair, reasonable and market prices for said goods and/or services, and the prices which Defendant agreed to pay. 6. All credits, if any, to which Defendant is entitled, are set forth in Exhibit "A". 7. In addition, Plaintiff avers that Defendant has failed and continues to fail to make any payments, leaving a balance due and owing of $6,365.96. 8. Although demand has been made, Defendant has failed to make payment of the amount due as above 9. The original creditor is FORD MOTOR CREDIT FORD CREDIT US. Plaintiff, No. V. KENNETH R. GOOD Defendant PRELIMINARY OBJECTIONS And now comes the Defendant, Kenneth R. Good, by and through his attorneys, The Law Offices of Duane P. Stone, P.C., and files these Preliminary Objections pursuant to Pennsylvania Rule of Civil Procedure 1028, and in support thereof avers as follows: FACTS 1. Plaintiff filed a civil complaint against Defendant for alleged breach of contract. 2. The complaint alleges that Plaintiff sold and delivered to Defendant good and/or services at the times, of the kinds, in the quantities, and for the prices set forth in Exhibit "A". (Complaint Paragraph 3). 3. Plaintiff's Exhibit "A" fails to disclose the time, kinds, and quantities or prices of any goods and/or services that were allegedly provided to Defendant. Plaintiff's Exhibit "A" is a typed sheet that simply lists the Defendant's name, the original creditor and the alleged balance due. . II 4. The date and terms of any agreement are not included on Plaintiff's Exhibit "A". 5. Plaintiff failed to attach a copy of any Agreement between Ford Motor Credit and the Defendant that reveals the alleged goods and/or services received by the Defendant, the date and times Defendant alleged received these unnamed goods or services, the terms of any Agreement whereby the Defendant allegedly purchased the unnamed goods and/or services, the amount and value of any unnamed goods and/or services allegedly received by the Defendant, the alleged cost of any unnamed goods and/or services allegedly received by the Defendant, any credits to which Defendant is entitled for these unnamed goods and/or services, or any document containing the signature of the Defendant that shows that he agreed to accept any unnamed goods and or services. The Plaintiff's case is based upon the existence of such an Agreement. 6. Plaintiff avers but fails to provide any document showing that Portfolio Recovery Associates, LLC, is indeed the successor to Ford Motor Credit or that they have any right or assignment to assert the rights of Ford Motor Credit in any action against the Defendant. I. LEGAL INSUFFICIENCY (DEMURRER) 7. Plaintiff claims that they are successors to Ford Motor Credit in regards to an Agreement whereby Defendant allegedly purchased unnamed goods and/or services from Ford Motor Credit at some unspecified date and place. 8. Plaintiff has failed to produce any documents that show such an Agreement existed between Defendant and Ford Motor Credit and if such an Agreement existed what the terms of said Agreement were. 9. Plaintiff has failed to properly allege that there was an Agreement and therefore their claim of breach of said Agreement is legally insufficient as the document that Plaintiff relies upon as the Agreement is not legally sufficient to show an Agreement. There is no indication contained in Plaintiff's Complaint that there is a valid binding contract at all and Plaintiff has failed to produce as single document signed by the Defendant that would indicate that there was ever any Agreement at any place or time between the Defendant and Ford Motor Credit. 10. Plaintiff has failed to properly allege the terms of any Agreement between Defendant and Ford Motor Credit, whether there was an offer and acceptance by the parties, any consideration given, and any breach of the terms of any alleged Agreement. II. FAILURE TO CONFORM TO LAW OR RULE OF COURT 11. Plaintiff's complaint violates Rule 1019 (h) and (i) of the Pennsylvania Rules of Civil Procedure. 12. Plaintiffs claims against the Defendant are premised upon the existence of an actual contract between Ford Motor Credit and Defendant. 13. Plaintiff has failed to state whether any such agreement was oral or written as required by . Rule 1019 (h). - . ? . 1 . 14. To the extent that any such Agreement is written the Complaint violates Pa. R. Civ. P. 1019 (i), which requires a pleader to attach a writing upon which the claim is based. 15. To the extent that any terms or conditions of any Agreement between Ford Motor Credit and Defendant were contained in any other writing the complaint violates Pa. R. Civ. P. 1019 (i) by failing to attach a copy of any said approval letter. 16. Plaintiff's claims against the Defendant are also premised upon the fact that Plaintiff is indeed a successor in interest to Ford Motor Credit. To the extent that Plaintiff is a successor in interest to Ford Motor Credit the complaint violates Pa. R. Civ. P. 1019 (i) by failing to attach a copy of any document that purports to grant Plaintiff any assignment of rights under any agreement between Ford Motor Credit and the Defendant. 17. To the extent that Plaintiff is averring a cause of action against Defendant on the basis of a loan or financing Agreement between Ford Motor Credit and Defendant these documents must be attached to the Complaint in compliance with Pa. R. Civ. P. 1019 (i). III. INSUFFICIENT SPECIFICITY IN THE PLEADING 18. Plaintiff has failed to allege sufficiently the elements of a breach of contract claim as the Complaint fails to inform the Defendant of the date of any alleged contract, the terms of any alleged contract, the ways in which Defendant allegedly breached any alleged contract, and the amount of damages for any alleged breach of any alleged contract. 19. The Complaint does not set forth facts showing that there was ever an Agreement between Defendant and the document relied upon by Plaintiff in their Complaint is insufficient to establish any such Agreement. 20. The Complaint does not set forth with sufficient specificity the terms of any Agreement between Defendant and Ford Motor Credit. 21. The Complaint fails to state the date on which any agreement between Defendant and Ford Motor Credit was reached and when any alleged breach occurred, and therefore Defendant is unable to properly answer the Complaint or to determine what if any defenses may apply. IV. LACK OF CAPACITY TO SUE 22. The Complaint fails to provide any documentation that shows that Plaintiff is indeed the successor to Ford Motor Credit. 23. To the extent that Plaintiff cannot prove that Plaintiff is indeed the successor or assignee of Ford Motor Credit, it does not have standing to bring suit against Defendant for a breach of any alleged Agreement between Ford Motor Credit and Defendant. V. LACK OF SUBJECT MATTER JURISDICTION 24. The Complaint fails to state where any contract between Ford Motor Credit and Defendant was signed and what choice of law provisions are contained in any such contract. 25. Due to the fact that the Complaint is devoid of even basic facts about any alleged agreement between Ford Motor Credit and Defendant, Defendant is unable to determine whether jurisdiction is proper in Pennsylvania. Defendant financed a vehicle through FORD MOTOR CREDIT FORD CREDIT US account number 48063000000009802851. Attached hereto as Exhibit "A" is the Vehicle Retail Installment Contract. 4. Defendant's vehicle was repossessed as a result of non-payment of the aforementioned account, and as of November 14, 2007, there was an outstanding balance due and owing in the amount of $6,365.96. 5. Plaintiff purchased this account and presently owns and holds this account. 6. When Plaintiff purchased this account there was an outstanding balance due and owing of $6,365.96. 7. On or about August 21, 2006, Defendant agreed to settle this account with Plaintiff for the sum of $4,000.00; said funds to be debited electronically from Defendant's bank account on August 31, 2006. Attached hereto as Exhibit "B" is Plaintiff's letter outlining the terms of Defendant's agreement to settle this account. 8. Defendant's payment did not clear Plaintiff's bank account due to `insufficient funds', and there is still due and owing the sum of $6,365.96. Attached hereto as Exhibit "C" is Plaintiff's Payment History for this account. WHEREFORE, Plaintiff demands judgment in favor of Plaintiff and against Defendant(s) for the sum of $6,365.96 and requests this Court award Plaintiff attorney's fees and costs to the extent permitted by applicable law. Defendant is KENNETH R GOOD, an adult individual residing at 1501 WILLIAMS GROVE RD MECHANICSBURG, PA 17055. 3. Defendant financed a vehicle through FORD MOTOR CREDIT FORD CREDIT US account number 48063000000009802851. Attached hereto as Exhibit "A" is the Vehicle Retail Installment Contract. 4. Defendant's vehicle was repossessed as a result of non-payment of the aforementioned account, and as of November 14, 2007, there was an outstanding balance due and owing in the amount of $6,365.96. 5. Plaintiff purchased this account and presently owns and holds this account. 6. When Plaintiff purchased this account there was an outstanding balance due and owing of $6,365.96. 7. On or about August 21, 2006, Defendant agreed to settle this account with Plaintiff for the sum of $4,000.00; said funds to be debited electronically from Defendant's bank account on August 31, 2006. Attached hereto as Exhibit "B" is Plaintiff's letter outlining the terms of Defendant's agreement to settle this account. 8. Defendant's payment did not clear Plaintiff's bank account due to `insufficient funds', and there is still due and owing the sum of $6,365.96. Attached hereto as Exhibit "C" is Plaintiff's Payment History for this account. Ford Motor Credit Company (hereinafter "Ford") financed the purchase of a sports utility vehicle (hereinafter "Vehicle") which was sold to Defendant Kenneth R. Good on or about April 8, 1997. 2. In 1997, Defendant defaulted in payments. 3. Ford repossessed the Vehicle for non-payment in or around late 1997 or early 1998. 4. Plaintiff, Portfolio Recovery Associates, LLC contacted Defendant in 2006 regarding the outstanding balance due to Ford for the purchase of the Vehicle. 5. Defendant has not made any payments after 1997. 6. Plaintiff's Amended Complaint admits the only attempted collection after 1996, which was scheduled to be an electronic funds transfer on r' _ . -s or about August 17, 2006, was not successful and the full outstanding amount of $6,365.96 was still due and owing. 7. Plaintiff filed a Complaint in the Court of Common Pleas of Cumberland Count, No. 07-5896-CV on October 5, 2007; an Amended Complaint was filed on or about April 4, 2008. 8. Pursuant to 42 Pa.C.S.A. § 5525 and 13 Pa.C.S.A. § 2725 the statute of limitations for a breach of motor vehicle installment sales contract is four years. 9. Plaintiff is now fully barred and estopped from asserting the claims set forth in its Amended Complaint since the same are now filed at least six years beyond the expiration of the applicable limitations period.
