FCM BUILDERS, INC., Defendant Civil Action COMPLAINT MORRIS & VEDDER 32 N. DUKE ST. YORK, PA AND NOW, TO WIT, this 11th day of October, 2007, comes the Plaintiff, Eric M. Berkheimer t/a Berkheimer Excavation, by his attorneys, Morris & Vedder, upon a cause of action of which the following is a statement: COUNT I - BREACH OF CONTRACT 1. Plaintiff is Eric M. Berkheimer t/a Berkheimer Excavation, an adult male individual, who currently resides at 1120 Baish Road, Mechanicsburg, Cumberland County, Commonwealth of Pennsylvania 17055. 2. Defendant is FCM Builders, Inc., a domestic business corporation organized and existing under the laws of the Commonwealth of Pennsylvania with one of its principal office address being situate at 1510 Thompson Lane, Mechanicsburg, Cumberland County, Commonwealth of Pennsylvania 17055. 3. During the following period of time, Defendant, through authorized agents, requested of Plaintiff, through authorized agents, to purchase from Plaintiff certain goods, services, wares and/or merchandise: to wit, excavation services for new home construction from January 2007 to and through April 2007. 4. Defendant, through authorized agents, orally promised to pay to Plaintiff the usual and reasonable market price for said goods, services, wares and/or merchandise charged by Plaintiff. 5. Plaintiff, through authorized agents, orally accepted Defendant's offer to purchase certain goods, services, wares and merchandise at the usual and reasonable market price charged by Plaintiff in Cumberland County. 6. Pursuant to the request of Defendant, through authorized agents, Plaintiff did perform excavation services on Defendant' behalf at new home construction sites, said contract or contracts for materials, goods and services having been made and performed in Cumberland County. 7. Attached hereto, marked Annex "A" and incorporated herein by reference, is an itemized list of charges, credits and demands made by Plaintiff to Defendant for the goods, services, wares and/or merchandise requested by Defendant and delivered by Plaintiff to Defendant showing a balance due and owing of $16,822.46. From time to time, Plaintiff, through authorized agents, has made demand upon Defendant by presenting to Defendant various statements and bills for the payment of the usual and reasonable market price for the said goods, services, wares and/or 2 merchandise for which Defendant agreed to be obligated, but Defendant have persistently and willfully refused to pay the balance due and owing to Plaintiff. 9. Defendant, at no time, made any objection of whatever form to Plaintiff in regards to the correctness and completeness of the various statements, bills and demands presented to Defendant by Plaintiff or to the contents of Annex "A." WHEREFORE, Plaintiff, Eric M. Berkheimer t/a Berkheimer Excavation, demands judgment against Defendant as follows: $17,353.64 with interest from October 9, 2007 at the rate of 60 per annum, which amount is within the limits of mandatory arbitration. COUNT II - UNIFORM COMMERCIAL CODE MORRIS & VEDDER 32 N. DUKE ST. YORK, PA 10. Plaintiff incorporates the preceding paragraphs herein by reference as if fully set forth at length. 11. The said goods, services, wares and/or merchandise requested by Defendant through Plaintiff's authorized agents were made pursuant to and under the Uniform Commercial Code of the Commonwealth of Pennsylvania (13 Pa.C.S.A. §1101 et seq.). 12. Defendant, through authorized agents, accepted and took possession of the goods, services, wares and/or merchandise requested and ordered by it, and has, at no time, in any form whatsoever, protested the quantity of the goods, services, wares and/or merchandise accepted by Defendant nor has Defendant in any way alleged defects in the goods, services, wares and/or 3 merchandise sold and delivered to Defendant by the Plaintiff. WHEREFORE, Plaintiff, Eric M. Berkheimer t/a Berkheimer Excavation, demands judgment against Defendant as follows: $17,353.64 with interest from October 9, 2007 at the rate of 60 per annum, which amount is within the limits of mandatory arbitration. MORRIS & VEDDER 32 N. DUKE ST YORK, PA COUNT III - UNJUST ENRICHMENT 13. Plaintiff incorporates the preceding paragraphs herein by reference as if fully set forth at length. 14. During the following period of time, Defendant, through authorized agents, at various times, requested of Plaintiff to deliver to Defendant certain goods, services, wares and/or merchandise: to wit, excavation services for new home construction from January 2007 to and through April 2007. 15. Plaintiff, through authorized agents, did perform excavation services on Defendant's behalf in Cumberland County. 16. Because of the failure of Defendant to pay to Plaintiff the sum, which Plaintiff has demanded of Defendant, a sum equal to the fair market value of the goods, services, wares and/or merchandise, Defendant have been and continue to be unjustly enriched to the extent of such unpaid amount, plus lawful interest upon such amount. WHEREFORE, Plaintiff, Eric M. Berkheimer t/a Berkheimer Excavation, demands judgment against Defendant as follows: $17,353.64 with interest from October 9, 2007 at the rate of 60 4 per annum, which amount is within the limits of mandatory arbitration. COUNT IV - CONTRACTOR AND SUBCONTRACTOR PAYMENT ACT MORRIS & VEDDER 32 N. DUKE ST. YORK, PA 17. Plaintiff incorporates the preceding paragraphs herein by reference as if fully set forth at length. 18. Plaintiff brings this cause of action in accordance with the Contractor and Subcontractor Payment Act, 73 P.S. § 501, et seq., hereinafter the "CSPA." 19. Defendant is an "Owner" and a "Contractor" as defined by the CSPA. 20. Plaintiff is a "Subcontractor" as defined by the CSPA. 21. The CSPA is applicable to excavation contracts in this Commonwealth such as the one being sued upon here, and required Plaintiff to make final payment to Defendant within 14 days after its receipt of Defendant's final invoice. 73 P.S. § 507(c). 22. Defendant never provided Plaintiff with notice of any deficient work on the project. Therefore, Defendant has no right to withhold payment. 23. As a result of Defendant's failure to comply with the CSPA, Plaintiff is entitled to recover the following quantifiable damages: a) Interest from May 21, 2007, the date established by the CSPA (14 days after issuance of the final invoice) at the rate of to per month. 73 P.S. § 507(d). 5 b) A penalty for failure to comply with the CSPA equal to 1% per month of the amount wrongfully withheld. 73 P.S. § 512(a). c) An award of attorney's fees, costs and expenses to Plaintiff as the prevailing party in this proceeding. 73 P.S. § 512(b). WHEREFORE, Plaintiff, Eric M. Berkheimer t/a Berkheimer Excavation, demands judgment against Defendant in the principal amount of $/ with interest from May 21, 2007 at the rate of 6% per annum, which amount is within the limits of mandatory arbitration, award a penalty of 1% per month (same amount as interest, $895.39) and award attorney's fees, costs and expenses (15% of principal, interest and penalty for purposes of preliminary quantification, or $2,791.99 to date), TOTAL $21,405.22 and costs of suit, which amount is within the limits of mandatory arbitration. The parties agree that Defendant shall pay to Plaintiff the full sum of ,$17,353.64 with interest from October 9, 2007 at the rate of 6% per annum and costs of suit. 2. Said amount shall be paid by the making by Defendant of three (3) installment payments upon settlement of each of its three unsold properties. 3. Upon payment in full as aforesaid, Plaintiff agrees to settle and satisfy the docket above-captioned. 4. Upon the filing hereof along with a praecipe for entry of judgment, the Prothonotary shall enter judgment in the full amount set forth in paragraph 1 herein with interest at the legal rate of 6% per annum from October 9, 2007 plus costs of suit. 5. Plaintiff agrees to refrain from taking any further collection measures, by execution or otherwise, and to await payment of its three (3) installment payments as contemplated i herein. 6. Defendant represents and warrants that the three unsold properties are listed for sale at a fair market price recommended by its realtor. 7. Defendant agrees to cooperate fully in the listing and showing of such properties until each one of them are sold. 8. Defendant agrees to accept the first bona fide offer at or above the fair market price as recommended by its realtor from time to time for each property. 9.
