WHEREAS, Paramount Development, Inc. of Cumberland County, Pennsylvania
(herein "Owner") is about to execute contemporaneously herewith, a contract, with
Paramount Development, Inc. of Cumberland County, Pennsylvania (herein
"Contractor"), for the construction work on a building upon Lot #4, Wentworth Estates,
Cumberland County, Pennsylvania, more particularly set forth on Exhibit "A" attached
hereto and made a part hereof.
NOW, September 30, 2003, at the time of and immediately before the execution
of the principal contract, and before any authority has been given by said Owner to the
said Contractor to commence work on the said building, or purchase materials for the
same in consideration of the making of the said contract with Owner and the further
consideration of One ($1.00) Dollar in hand paid to Contractor by Owner it is agreed
that no lien shall be filed against the building by the Contractor, or any sub-contractor,
nor by any of the material-men or workmen or any other person for any labor, or
materials purchased, or extra labor or materials purchased for the erection of said
building, the right to file such liens being expressly waived.
WITNESS, our hand and seals by day and year aforesaid.

EXHIBIT "A"
ALL THAT CERTAIN piece or parcel of land situate in the
Township of Hampden, County of Cumberland and Commonwealth
of Pennsylvania, lying along Pellingham Circle and being
approximately 450 feet southeast of the intersection of Eaglesmoor
Lane and Pellingham Circle, bounded and described as follows, to
wit:
ALSO, BEING a part of the same premises which Jack
Leonard Bair, married man, by his deed dated June 11, 2003 and
recorded June 12, 2003 in the Cumberland County Office of the
Recorder of Deeds in Record Book 257, Page 2828 granted and
conveyed unto Smith Land & Development Corporation, a
Delaware corporation, and Kinsley Equities II Limited Partnership, a
Pennsylvania limited partnership, the Grantors herein. Rachel Bair
also joined in on the deed for the sole purpose of releasing any
marital rights in the subject real estate.
