The Plaintiff is TSR, Incorporated, a Pennsylvania corporation organized and existing under the laws of the Commonwealth of Pennsylvania, with an address of 4900 Ritter Road, Suite 140, Mechanicsburg, Cumberland County, Pennsylvania 17055. 2. The Defendant is Atlantic Central Bankers Bank-Banking Infrastructure and Technology Services, LLC (hereinafter ACBB-BITS) a limited liability company organized and existing under the laws of the Commonwealth of Pennsylvania, with an address of 1400 Market St., Camp Hill, PA 17011. 3. On or about February 26, 2007, the Plaintiff and Defendant entered into a Master Services Agreement which required the Plaintiff to perform certain telecommunication provisioning as asset inventory services to the Defendant in return for which the Defendant agreed to pay for such services in accordance with services order subsequently agreed to between the parties. A copy of the Agreement signed by the parties is attached hereto and made a part hereof as Exhibit "A". 4. Concurrent with the execution of the Master Services Agreement, the parties agreed on the circuit provisioning and telecom asset inventory management services structure as more fully set forth in the Proposal attached hereto and made a part hereof as Exhibit "B". 5. The pricing structure set forth in the attached was suggested by the Defendant and agreed to by the Plaintiff. 6. Subsequent to the execution of the Agreement, Defendant requested the Plaintiff to perform certain telecom provisioning services for Hudson Valley Bank, a client of the Defendants, for which the Plaintiff performed the services and billed in accordance with the pricing structure set forth above. 7. The bill for the services in the amount of $30,162.29 for the month of October 2007, was forwarded to the Defendant. A copy of the invoice is attached hereto and made a part hereof as Exhibit "C". 8. By email from the Defendant, Defendant has indicated that it will not pay for that portion of the bill associated with the Hudson Bank provisioning, an amount equal to $21,150.00 as set forth on the attached Exhibit "A". By such affirmative statement of refusal to pay. Defendant has anticipatorily breached the parties' Agreement, making the entire balance due the Plaintiff by the Defendant immediately due and payable. 9. As a result of the Defendant's breach of contract, Plaintiff is entitled to judgment in favor of the Plaintiff and against the Defendant in the amount of $21,500.00, in addition to any other portions of the invoice that may be unpaid as of the date of trial. WHEREFORE, the Plaintiff requests judgment in favor of the Plaintiff and against the Defendant as aforesaid. MASTER SERVICES AGREEMENT THIS MASTER SERVICES AGREEMENT ("Agreement") is made this 261h day of February, 2007 between TSR, Incorporated, a Pennsylvania corporation ("TSR") and Atlantic Central Bankers Bank-Banking Infrastructure and Technology Services, LLC, a Pennsylvania limited liability company ("ACBB-BITS"). RECITALS WHEREAS, TSR provides telecommunications provisioning and asset inventory services to its customers; and, WHEREAS, ACBB-BITS wishes to engage TSR to perform these services for it pursuant to the terms and conditions of this Agreement and Service Orders issued thereunder. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and in any service orders issued and accepted hereunder, the parties agree as follows: 1. DEFINITIONS A. "Service Order(s)" shall mean orders for Services as may be issued and accepted by the parties during the term of this Agreement. B. "Confidential Information" shall mean any information or materials defined as confidential or proprietary in any Confidentiality Agreement between the parties and: (i) all requests, quotations and proposals for services and the contents thereof, including resulting Service Orders, (ii) all prices, rates and other financial information related to any Service Orders, (iii) all information relating in any way to either party's business or marketing plans, customers lists, and all non-public financial information, (iv) all knowledge or information pertaining to the conduct or details of TSR's business, its processes, formulas, products, pricing structure and policies, (v) "deliverables" as described in Article VIII below, and (vi) all other information one party provides to the other, if the disclosing party clearly identifies such information as being confidential or proprietary prior to the disclosure, or within ten (10) days thereafter. C. "Services" shall mean, individually or collectively, the circuit provisioning, telecommunications asset inventory management and all ancillary services provided by TSR hereunder and as more specifically described in the TSR "Circuit Provisioning and Telecom Asset Inventory Management Services Proposal for Atlantic Central Bankers Bank" dated 26 February 2007, a copy of which is attached hereto and made a part of this Agreement as Exhibit A, and any other proposal from TSR to ACBB-BITS. 2 II. SCOPE AND STRUCTURE/ORDER OF PRECEDENCE A. This Agreement establishes general terms and conditions which apply to Services performed by TSR for ACBB-BITS hereunder. Specific Services will be specified in separate service order documents ("Service Order") issued and accepted during the term hereof. Each Service Order issued and accepted hereunder shall be subject to all of the terms of this Agreement, and shall supersede in their entirety the terms of any standard ACBB-BITS ordering document. B. In the event of conflict or inconsistency between the provisions of this Agreement and those in any Service Order, the terms and conditions of this Agreement shall control. C. Service Orders shall designate ACBB-BITS as the owner of record for all circuits that are ordered by TSR for ACBB-BITS. III. TERM A. Unless sooner terminated as provided in Article IX, the term of this Agreement shall begin on the date hereof and shall continue until 3 expiration or termination of the last active Service Order hereunder, whichever is later. B. Unless otherwise specifically provided, the initial term of each Service Order shall begin and expire on the date(s) specified therein. IV. SERVICES AND AGENCY A. TSR will use reasonable commercial efforts to perform the Services in accordance with industry standards and the applicable Service Order. B. ACBB-BITS appoints TSR as a non-exclusive agent to perform the specific tasks identified in each Service Order. In this capacity TSR has no authority to act on behalf of ACBB-BITS beyond that granted herein or in any Service Order. TSR and ACBB-BITS agree that: (i) TSR shall not make commitments, including, without limitation, the ordering of circuits on ACBB-BITS's behalf, or sign contracts on behalf of ACBB- BITS without ACBB-BITS's written approval, and (ii) TSR shall make no representations or warranties of any kind with respect to ACBB- BITS, its products or services, or its relationship to ACBB-BITS. V. PAYMENT FOR SERVICES 4 A. The rates and charges for Services shall be as specified in Exhibit A and in each Service Order. B. Invoices shall be submitted for each Service Order each month, in arrears. ACBB-BITS will pay all amounts in each invoice within thirty (30) days of invoice date. Any amount left unpaid thirty (30) days after invoice date is subject to a 1.5% late payment charge. Failure by ACBB-BITS to pay invoices when due shall be deemed a material breach of this Agreement for which TSR, in its sole discretion, may terminate the Agreement (and/or any Service Order), and stop work, in addition to any other remedies TSR may have under the Agreement or applicable law. C. ACBB-BITS will reimburse reasonable and actual travel and associated expenses incurred under this Agreement. Travel expenses must be approved by ACBB-BITS in advance. 5 VI. REPRESENTATIONS OF THE PARTIES A. Each party warrants and represents to the other party that it has full corporate power and authority to enter into this Agreement and to perform its obligations hereunder. B. Each party warrants and represents to the other that their performance under this Agreement shall be in conformity with all applicable federal, state and local laws and regulatory requirements including, without limitation: (i) the rules and regulations of the Federal Communications Commission, the Communications Act of 1934, as amended, and the Telecommunications Act of 1996, and (ii) all applicable state rules and regulations, including those of State Public Service Commissions. VII. LIMITATIONS OF LIABILITY AND WARRANTY A. The cumulative liability of TSR to ACBB-BITS from all causes of action and all theories of liability will be limited to and will not exceed in the aggregate the amounts paid by ACBB-BITS to TSR for the Services which are the subject of a cause of action or claim under any Service Order. 6 B. Except to the extent expressly provided in this Agreement, or in any Exhibit or attachment hereto, or in any Service Order hereunder, neither party makes any warranties, and expressly disclaims all other warranties, express or implied, including, without limitation, the implied warranties of merchantability and suitability for the purpose intended. C. In no event shall either party be liable to the other or to any third parties for any indirect, special or consequential damages arising out of or in connection with this Agreement or the performance or use of the Services hereunder, including, without limitation, those based on loss of revenues, profits or business opportunities, whether or not either party had or should have had any knowledge, actual or constructive, that such damages might be incurred, and whether such liability arises from any claim based on contract, warranty, tort or otherwise. D. The parties agree that each party entered into this Agreement in reliance upon the limitations of liability specified herein, which allocate the risks between them. 7 E. If any personnel of TSR is finally adjudged by a court of competent jurisdiction to have engaged in Gross Negligence that proximately causes ACBB-BITS to incur direct damages, losses, costs, expenses or liability for claims, demands or causes of action then TSR shall bear all such direct damages, losses, costs, expenses and liabilities, which shall not exceed the total amount of the direct damages proximately caused by the gross negligence. Under no circumstances shall TSR be liable for consequential, indirect, punitive or special damages of any kind. VIII. INTELLECTUAL PROPERTY. This is not a work for hire Agreement. TSR shall retain all rights, title and interest to all products, tools, and software of any kind used or developed in the performance of this Agreement and any Service Order issued thereunder including, but not limited to, TSR's patented Circuit Pro product and any enhancements, modifications or derivatives thereto. However, the reports and recommendations provided by TSR to ACBB-BITS, as defined in the TSR "Circuit Provisioning and Telecom Asset Inventory Management Services Proposal for Atlantic Central Bankers Bank" dated 26 February 2007 shall be 8 owned by ACBB-BITS and shall be treated as Confidential Information pursuant to Article XIII. IX. TERMINATION A. Neither party shall be in default under this Agreement unless and until it has been given written notice of a breach of a material term of this Agreement by the other party and shall have failed to cure such breach within thirty (30) days after receipt of the notice. When a breach cannot reasonably be cured within the thirty (30) day period, and if the party in breach shall proceed promptly and in good faith to cure the same, the time for cure shall be extended as necessary to permit cure. B. Upon default by either party, the non-defaulting party shall have the right to pursue any or all remedies available to it at law or in equity. C. Either party may terminate this Agreement for its convenience with 30 days written notice to the other party. X. FORCE MATEURE - In no event shall either party have any claim or right against the other for any failure of or delay in performance by such other party if such failure or delay is caused by or the result of causes beyond the reasonable control of such other party, including, but not limited to, acts of 9 God, fire, flood, hurricane, or other natural catastrophe; laws, orders, rules, regulations, directions or actions of governmental authorities having jurisdiction over the subject matter hereof; or any civil or military authority, national emergency, insurrection, riot or war; cable cut or damage, default of or failure to perform by subcontractors, or other similar occurrence. Notwithstanding the foregoing, if the excusable delay exceeds sixty (60) days, either party may terminate any affected Service Order immediately upon written notice. XI. TAXES AND OTHER FEES - Prices established in this Agreement for the performance of the Services are inclusive of taxes and other fees which may be imposed on the provision or use of the Services. MI. Notices shall be sent by registered or certified U.S. Mail, postage prepaid, or by commercial overnight delivery service, or by facsimile, and shall be deemed delivered either on the date of return receipt acknowledgment (in the case of U.S. Mail), or on the next day after the sending of the notice (in the case of facsimile or overnight delivery service). Notwithstanding the foregoing, in the event of facsimile notice, the confirming original must be sent by overnight delivery service for notice to he deemed effective. XIII. CONFIDENTIALITY/NON-SOLICITATION A. "Confidential Information" disclosed by either party to the other shall be held by the recipient in confidence and not: (i) used by the recipient for personal advantage of any kind, or (ii) made available for third parties to use. Each party will direct its employees, contractors, consultants and representatives who have access to any Confidential 11 Information to comply with all of the terms of this Article XIII. If any of the following applies to any information, such information shall not be Confidential Information: (i) it is or becomes available to the public through no wrongful act of the receiving party; (ii) it is already in the possession of the receiving party and not subject to any agreement of confidence between the parties; (iii) it is received from a third party without restriction for the benefit of the disclosing party and without breach of this Agreement; (iv it is independently developed by the receiving party; (v) it is disclosed pursuant to a requirement of a duly empowered government agency or a court of competent jurisdiction. Upon termination or expiration of this Agreement, the receiving party shall either return to the disclosing party or destroy all of the disclosing party's Confidential Information and so certify in writing. The obligations of this provision will survive for two (2) years after any termination of this Agreement. B. During the period of this Agreement and for a period of one year thereafter neither ACBB-BITS nor TSR nor any of their employees, agents, representatives, consultants or other third parties acting on their behalf will directly or indirectly: (a) solicit any customers of the 12 other party, or (b) solicit or seek to hire any employees of the other party. XIV. WAIVER - No waiver of any breach of this Agreement or any Service Order shall be deemed to be a waiver of any other or subsequent breach. XV. GOVERNING LAW - This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania. XVI. ASSIGNMENT - Neither party may assign or transfer any of its rights or obligations hereunder without the prior written consent of the other, which consent shall not unreasonably be withheld or delayed. XVII. DISPUTE RESOLUTION - The parties shall use good faith efforts to resolve any disputes, differences of opinion or controversies arising in connection with this Agreement or any Service Order issued thereunder If, after negotiating in good faith for a reasonable period of time, then either party may file suit against the other in a court of competent jurisdiction in the Commonwealth of Pennsylvania. XVIII. GENERAL PROVISIONS A. Notwithstanding the appointment of TSR as an agent for ACBB-BITS in certain circumstances, the primary relationship of the parties 13 hereunder is that of independent contractors. Each party shall conduct its business at its own initiative and expense, and no employee or other representative of either party shall be deemed for any purpose to be an employee or representative of the other party. B. In the event any provision in this Agreement shall be held invalid, illegal or unenforceable, the unaffected provisions shall remain in full force and effect. The parties shall negotiate in good faith to substitute for such invalid, illegal or unenforceable provision a mutually acceptable provision consistent with the original intentions of the parties. C. This Agreement, the Service Orders, and any Exhibits attached hereto constitute the entire agreement between the parties with respect to the subject matter hereof, and supersede any and all prior or contemporaneous agreements, written or oral. This service provides community banks converged voice and data services over a secured private network. Member banks now will be able to save money and increase productivity by using the single source BITS network. The Business Unit, ACBB-BITS, has now decided to go one step further in applying best practice approaches to telecom management functions. To help improve overall organizational performance and maintain control over their telecom assets, ACBB-BITS has requested TSR to: ? Provide the centralized coordination and supervision needed to attain quality circuit management. ? Maintain an accurate and up-to-date telecom asset inventory. In addition we are making a commitment to provide ACBB-BITS with the highest quality of service and return on investment with minimal workload impact to your company. 2.2 Project Management Organization TSR will establish a project management office at their own premises to support and manage the delivery of services throughout the life of the contract. TSR will ensure that sufficient resources are available to provide the contracted services required by ACBB-BITS. TSR will coordinate with ACBB-BITS in the plans and scheduling to resolve any programmatic issues that may arise. TSR will maintain clear and effective lines of authority, coordination, communication, and accountability between their ACBB-BITS contract team and ACBB-BITS. To facilitate communication and coordination, TSR will provide a Project Manager to interface with ACBB-BITS. This same Manager will be responsible for the day-to-day operations of TSR's ACBB-BITS service team. 2.3 Relationship with Service Providers TSR has been a reseller of telecom services for over 110 service providers (e.g., MCI, AT&T). Because we are not limited in our service provider relationships, we can provide ACBB-BITS with: ? Guidance to the best and most efficient telecom services ? Greater flexibility for future corporate growth ? Less exposure to provider instability Throughout the years, we have made a conscious effort to build provider confidence and rapport, enabling us to offer exceptional customer service and support. Our extensive experience in the complexities of circuit installation gives us the ability to ask intuitive questions and promotes innovative analysis. ACBB-BITS PROPOSAL 3.0 PERIOD OF PERFORMANCE The recommended period of performance for this effort is one (1) year from the date of award, with an option to renew. 4.0 PLACE OF PERFORMANCE Work under this contract will be done at the secured facilities of TSR, Incorporated. 5.0 SCOPE OF SERVICES It is crucial for companies to gain control and manage communication assets with the same level of detail as that of other major cost categories. TSR responds to this need by taking a lifecycle approach to telecommunications management. TSR will keep your telecommunications asset inventory up-to-date and accurate on a daily basis; we will document all your installs, moves, adds, changes, disconnects, and cancels as they occur. TSR will work closely with you and your carriers to furnish start-to-finish, seamless telecommunications circuit management in a way that will help streamline and centralize your processes, increase departmental efficiencies, and maximize your telecommunications budget. 5.1 Circuit Provisioning & Telecom Asset Inventory Management TSR's circuit management procedures will allow ACBB-BITS to have a centralized, one-stop shop for your telecommunications circuit provisioning. It also will allow you to know the location and purpose of every circuit and phone line you own. TSR's circuit provisioning approach includes the following stages: ? Circuit Order Validation ? Circuit Ordering and Installation ? Close-Out Processing and Inventory Management 5.1.1 Circuit Order Validation TSR will initially provide ACBB-BITS with a pre-formatted circuit order form in Microsoft Excel format. This order form will identify key information that is required to successfully create an order. ACCB-BITS will validate all order information during the site review process and provide the information in the order form. Upon receipt of the ACBB-BITS order, TSR will import the order details into our provisioning database. At this point TSR will submit the order to the telco. 02006 TSR, Incorporated. Any disclosure to third parties requires written permission of TSR, Incorporated. 02/02/06 ACBB-BITS PROPOSAL 5.1.2 Circuit Ordering and Installation TSR understands ACBB-BITS' need for timely and accurate circuit installations. During this second stage, operating under ACBB-BITS' "Letter of Agency," TSR will order the circuit and will establish the account in ACBB-BITS' name and mailing address. TSR will aggressively coordinate all installation activities with the backbone network provider, local carrier, site locations, and ACBB-BITS management. TSR will use ACBB-BITS' telco Service Level Agreements (SLAB) to hold telcos accountable to the agreed upon service level commitments, and will document all circuit activity from order receipt to order installation. TSR also will provide a periodic order status to ACBB-BITS via the provisioning, status and inventory reports. Constant communication between headquarters, facilities, and telco(s) throughout the installation process ensures circuits are installed right the first time. Upon completion of the circuit order, it will move into an operational telecom asset inventory database for lifecycle management. 5.1.3 Lifecycle Maintenance and Telecom Asset Inventory Management Circuit activity and action occurring after initial installation will continue to be documented to ensure an accurate, ongoing account of each inventoried service. TSR will record all order activity (i.e., moves, adds, changes, cancels, and de-installations) and essential telecom data (e.g., POC information, telco information, service type, etc.) in our comprehensive inventory database, generated by TSR's patented circuit management system, CircuitPro. This database also will include all order data received from ACBB-BITS in support of the work elements described in this proposal. TSR's inventory database will form the core of ACBB-BITS' inclusive, secured telecom asset inventory. It also will provide all the available details needed to satisfy reporting requirements mutually agreed upon between ACBB-BITS and TSR. TSR will provide upon request a report or extract from the inventory database. 5.2 Project Reports and Deliverables Project reports and deliverables will be conveyed to ACBB-BITS telecommunications management officials within a mutually agreed upon timeframe. At a minimum, a monthly status report will be submitted to ACBB-BITS management that will include progress for the period; activities planned for the next reporting period, if appropriate; and problems encountered. At TSR's discretion, written reports will be submitted whenever major developments and/or issues arise. Typical TSR deliverables and frequencies are listed on Attachment A. Items requiring ACBB- BITS approval may be returned to TSR with comments within five (5) working days of the deliverable date. In those cases, ACBB-BITS will specify whether the deliverable should be updated and resubmitted within 30 days or whether the comments should be reflected in the 02006 TSR, Incorporated. If TSR does not receive comments within five (5) working days of the deliverable date, approval will be implicit. 6.0 SECURITY 6.1 Personnel Security Requirements TSR will adhere to ACBB-BITS security procedures for building access, ID-badge processing, and checkout, should such processes be warranted. 6.2 Storage of Sensitive Material TSR will treat all information and data provided, developed, and used under this contract and any subsequent tasks as highly sensitive-unclassified. Information and data will only be disclosed to personnel who have been approved to work on the contract. TSR will ensure appropriate administrative, technical, and physical safeguards are established and followed and that upon completion of this effort, all ACBB-BITS records are returned. 7.0 COMPANY-FURNISHED EQUIPMENT AND INFORMATION To enable TSR to perform the required functions under this contract, ACBB-BITS will provide the following specified data, including but not limited to: ? Letter of Agency - Documents that authorize TSR to act as Agent on behalf of ACBB-BITS. ? Service Level Agreements (SLAB) - Agreements between ACBB-BITS and telcos that identify unique provisioning requirements and telco commitments. ? Points of Contact - A listing of employees assigned by ACBB-BITS to address TSR questions and requests for data. 8.0 DISASTER RECOVERY The ability to recover crucial data quickly after a disaster is a fundamental requirement of TSR circuit management. As part of our internal disaster plan, TSR will maintain backups or mirror images of all pertinent system databases. One backup set of all databases will be maintained at TSR's corporate facility and a second backup set will be maintained at a remote site. Guido, Judge. Present for the Plaintiff was John W. Purcell, Jr., Esquire, and present for the Defendant was Catherine M. Brown, Esquire. This is a relatively straightforward breach of contract case. The parties have no conflicts during trial week. It is expected that the case will last one or two days. We note that defense counsel and some of her witnesses will be traveling from New Jersey. They would like to start on Monday. If this is not possible, adequate notice should be given to enable them to be here in a timely manner. The only complicated legal issue involves the applicability of the Parol Evidence Rule. The parties are directed to present their position with regard to the Parol Evidence Rule in a motion in limine, to be filed by November 22, 2010. The motion should be accompanied by appropriate authority. Responses to the motions in limine may be filed by December 1, 2010. The Defendant has offered $10,000.00 to settle.
