VITETTA Philadelphia Naval Business Center 4747 South Broad Street Philadelphia, PA 19112 Defendant COMPLAINT Civil Action Term, 2003 No. 03 - L. 501 Plaintiff Archisec, Inc., ("Archisec'), by its undersigned counsel, brings this action against Defendant Vitetta, and in support thereof avers as follows: 1. Plaintiff Archisec is a Virginia corporation registered in Pennsylvania as a foreign corporation with a registered Pennsylvania address of 75 Ridge Road, Etters, Pennsylvania 17319. 2. Defendant Vitetta is a Pennsylvania corporation with its corporate headquarters located at the Philadelphia Naval Business Center, 4747 South Broad Street, Philadelphia, Attorney for Plaintiff Archisec, Inc. : CUMBERLAND COUNTY : COURT OF COMMON PLEAS Pennsylvania, 19112. 3. Defendant Vitetta maintains an office at 224 North Front Street, Wormleysburg, Cumberland County, Pennsylvania. Factual Background 4. Defendant Vitetta was the Architect of record for the Department of General Services (the "Department") on the Pine Grove State Correction Institution-Security Improvement Project, Project No. DGS 575-3-Phase II (the "Project"). On or about April 18, 2001 Vitetta solicited from Archisec a proposal to provide consulting services for the Project. A true and correct copy of the proposal is attached hereto as Exhibit "A." 6. On or about May 10, 2001 Archisec entered into a written Contract (the "Contract") for Special Services with Vitetta, under which Archisec was to provide Security Technology Consultant Services for the Project. A true and correct copy of the Agreement is attached hereto as Exhibit "B." 7. Pursuant to the Contract, Archisec agreed to provide consultant services including the design of a fence-mounted vibration intrusion detection system; the design and integration into the facility's existing system of closed-circuit television cameras, intercoms and remote door controls; the design and layout of new membrane-style graphic control panels; and the development of program criteria to facilitate modifications to the existing logic controller-based touch screen control system. 8. Pursuant to the Contract, Archisec was to be paid $30,040 for its Consultant Services. 9. On September 9, 2002, Defendant Vitetta terminated the Contract for Consulting Services with Archisec due to the fact that the Department of General Services (the "Department") cancelled the bidding on the Project. 10. At Article 8.3, the Contract provides that "in the event of termination not the fault of [Archisec], [Archisec] shall be compensated for services preferred prior to termination, together with Reimbursable Expenses then due." 11. Vitetta's termination of the Contract with Archisec was not due to the fault of Plaintiff Archisec. 12. As of the September 9, 2002 termination of Archisec by Vitetta, Plaintiff Archisec had provided $22,530.00 worth of services to Vitetta for which it had not been paid. 13. Long before Vitetta's termination of Archisec, on August 6, 2001, Plaintiff Archisec had sent a bill to Vitetta for these consulting services in the amount of $22,530.00, but Vitetta failed and refused to pay Archisec. A true and correct copy of the bill is attached hereto as Exhibit "C." 14. Under Article 8.3 of the Contract, Plaintiff Archisec is entitled to be paid for the $22,530.00 worth of consulting services provided pursuant to the Contract. 15. On September 9, 2002, Vitetta admitted that Archisec had provided $22,530.00 worth of services to it for services which were provided prior to Vitetta's termination of the Contract. A true and correct copy of Vitetta's September 9, 2002 letter is attached hereto as Exhibit "D." 16. Upon information and belief, Defendant Vitetta was paid by the Department for the architectural services it provided to the Department prior to the Department's cancellation of the bidding on the Project which included payment for the services provided to Defendant Vitetta by Plaintiff Archisec. 17. Under the Contract, $ 22,530.00 remains due and owing to Archisec. 18. Despite repeated demands by Archisec for payment of the monies due for services provided prior to termination under the Contract, Defendant Vitetta has failed and refused to remit payment of the monies due for the services Archisec rendered on the project. 19. Venue and jurisdiction in this Court are proper pursuant to Article 10.2 of the Contract which provides, in relevant part, that "[t]he parties agree that any claim, dispute and/or other matter in question between the parties shall be subject to the jurisdiction of the Court of Common Pleas, Commonwealth of Pennsylvania and shall be venued in Cumberland County." COUNTI BREACH OF CONTRACT 20. Archisec hereby incorporates paragraphs 1 through 19 above by reference as if set forth at length herein. 21. Pursuant to its Contract with Archisec, Vitetta agreed to pay Archisec for the Security Technology Consulting Services it provided to Vitetta. 22. Pursuant to the Contract with Archisec, Vitetta agreed that in the event of termination not the fault of Archisec, Archisec "shall be compensated for services preferred prior to termination." 23. Despite Archisec's provision of services to Vitetta under the Contract, Vitetta has failed and refused to remit payment to Archisec for those services. 24. Archisec complied with all conditions precedent pursuant to the Contract. 25. Archisec complied with all its obligations under the Contract. 26. Vitetta's failure to pay Archisec for its work and services is a material breach of its obligations under the terms of the Contract. 27. Plaintiff Archisec has been damaged by Vitetta's breach of the Contract and has suffered damages of not less than $22,530.00. WHEREFORE, Plaintiff Archisec, Inc., respectfully requests that this Honorable Court enter judgment in its favor against the Defendant Vitetta, Inc., in an amount not less than $22,530.00, plus interest, attorney's fees, cost of suit, together with such other relief that this Honorable Court deems just and proper. COUNT II UNJUST ENRICHMENT 28. Archisec hereby incorporates paragraphs 1 through 27 above by reference as if set forth at length herein. 29. Archisec provided Security Technology Consulting Services to Vitetta for Vitetta's benefit, fully expecting compensation from Vitetta for those services provided. 30. Vitetta has enjoyed the benefit of the Security Technology Consulting Services provided by Archisec on the Project. 31. Vitetta's retention of these benefit without compensating Archisec would be unjust. 32. The reasonable value of the unpaid labor and materials is $22,530.00. WHEREFORE, Plaintiff Archisec, Inc., respectfully requests that this Honorable Court enter judgment in its favor against the Defendant Vitetta, Inc., in an amount not less than $22,530.00, plus interest, attorney's fees, cost of suit, together with such other relief that this Honorable Court deems just and proper. COUNT III QUANTUM MERUIT 33. Archisec hereby incorporates paragraphs 1 through 32 above by reference as if set forth at length herein 34. Vitetta has fully received the benefit of the serves and labor supplied by Archisec. 35. Archisec is entitled to the quantum meruit value of the services and labor it provided to Vitetta. 36. The quantum meruit value of the services and labor supplied by Archisec to Vitetta, for which Vitetta has failed and refused to compensate Archisec is $22,530.00. WHEREFORE, Plaintiff Archisec, Inc., respectfully requests that this Honorable Court enter judgment in its favor against the Defendant Vitetta, Inc., in an amount not less than $22,530.00, plus interest, attorney's fees, cost of suit, together with such other relief that this Honorable Court deems just and proper.
