The interest of beneficiaries hereunder shall not be subject to anticipation or to voluntary or involuntary alienation. ITEM VII. The Trustee has discretion to payor apply for Settlor the amounts of bust principal the Trustee considers necessary for her proper care, supp0l1, and maintenance. The Trustee will liberally exercise this discretion, with the rights of other beneficiaries considered subordinate. ARTICLE FOUR - ADMINISTRATION AFTER SETTLOR'S DEATH 1. Upon Settlor's death, this trust is in-evocable. At the death of the Settlor, the Trustee will pay: A. Any taxes, attorney's fees, or other costs of administering the Settlor's estate. B. The Settlor's legal debts and any unpaid charitable pledges. C. The expenses of Settlor's last illness and funeral. 2. After the death of Settlor and after making the payments under paragraph 1, the Trustee will distribute the balance of trust estate as follows: A. A thiliy percent (30%) share to the Settlor's son, David Allan Smith, per stirpes. B. A thiliy percent (30%) share to the Settlor's daughter, Catherine Dyer Gordner, per stirpes. C. A thirty percent (30%) share to the Settlor's son, Bradford Bailing Dyer, per stirpes. D. A five percent (5%) share to the Settlor's deceased husband's son, Charles Dickey Dyer, per stirpes. E. A five percent (5%) share to the Settlor's deceased husband's son, Morgan Coit Day Dyer, per stirpes. 3. If a beneficiary is not then alive, the Trustee will give his or her share of the trust to his or her children, per stirpes. If a deceased beneficimy has no living children or grandchildren, then the Trustee will proportionally divide his or her share among the Settlor's other beneficiaries, per stirpes. ARTICLE FIVE - PO\VERS OF TRUSTEE The Trustee has all the powers under Section 737.402 of the Florida Statutes (a copy is attached as Schedule B). The Trustee does not have to follow the provisions of Florida - 2 - Statute 738.12 and thus may keep underproductive property. The Trustee also has the following powers: 1. To make discretionmy allocations of receipts and expenses between principal and income despite the provisions of Section 737 .402( 4) of the Florida Statutes. 2. To end the oust, if the Trustee decides its value does not walTant its continuation, and diso-ibute the oust assets to Settlor. 3. To establish oust accounts at banks, savings institutions, mutual funds, and with financial institutions or brokerage films. 4. To sell, exchange, or convey title to real estate and real estate interests that are pmi of the oust estate. The original Trustee may make discretionmy diso.ibutions of principal and income for her own benefit despite the limitations of Section 737.402(4) of the Florida Statutes. ARTICLE SIX - SUCCESSOR TRUSTEE 1. The Settlor's son, David Allan Smith, becomes the Successor Trustee when any one of the following events occurs: A. A physician celiifies in writing that the Settlor is physically or mentally incapaci tated, B. A court adjudicates the Settlor incapacitated or incompetent, C. The Settlor resigns as Trustee in writing, D. The Settlor dies. 2. If David Allan Smith is not alive or is unable to serve as Successor Trustee, then the Settlor's daughter, Catherine Dyer Gordner becomes the Successor Trustee under the same conditions listed above in paragraph 1. Catherine Dyer Gordner succeeds David Allan Smith as Successor Trustee when anyone of the following events occurs: - 3 - A. A physician ceJiifies in writing that David Allan Smith is physically or mentally incapacitated, B. A comi adjudicates David Allan Smith incapacitated or incompetent, C. David AHan Smith resigns as Trustee in writing, D. David Allan Smith dies. 3. If neither David AHan Smith nor Catherine Dyer Gordner is alive or able to serve as Successor Trustee, then the Settlor's son, Bradford Bailing Dyer, becomes the Successor Trustee under the same conditions listed above in paragraph 1. Bradford Bailing Dyer succeeds Catherine Dyer Gordner as Successor Trustee when any one of the following events occurs: A. A physician ceJiifies in writing that Catherine Dyer Gordner is physically or mentally incapacitated, B. A comi adjudicates Catherine Dyer Gordner incapacitated or incompetent, C. Catherine Dyer Gordner resigns as Trustee in writing, D. Catherine Dyer Gordner dies. 4. The Successor Trustee will have: A. All title of the Trustee to the nust estate; B. All powers, rights, and discretions of the Trustee; C. No liability for the acts or omissions of predecessor Trustees. 5. \Vhere appropriate to the meaning of "Trustee" or "Successor Trustee," words of one gender include all genders. Whenever the word "Trustee" appears in this Trust Agreement it includes any Successor Trustee. 6. A Trustee may resign by giving thirty days advance notice to the Settlor. 7. The Settlor may remove a Trustee by written notice. 8. vVhen a Trustee resigns or is removed, the Settlor may appoint a Successor - 4 - Trustee. Any Successor Trustee has all the powers and authority of the original Trustee. ARTICLE SEVEN - TAXES AND RECORDS The Trustee and Successor Trustee has the duty to: 1. File any required income tax, intangible tax, or other tax returns for the trust. 2. Pay required taxes from the trust estate. 3. Maintain records of receipts and disbursements of the trust. 4. Account for all trust proceeds of any type. ARTICLE EIGHT - SUCCESSOR TRUSTEE COMPENSATION A Successor Trustee is entitled to reimbursement of out-of-pocket expenses incurred in administering this trust, including air travel costs. ARTICLE NINE - RELATIONS WITH TRUSTEE No one dealing with the Trustee or any Successor Trustee need inquire concerning the validity of anything he or she purports to do. Likewise no one dealing with the Trustee or any Successor Trustee needs see to the application of any money paid or any property transferred to or upon the order of the Trustee or Successor Trustee. ARTICLE TEN - GOVERNING LAW The laws of Florida govern this Trust Agreement. ARTICLE ELEVEN - BINDING EFFECT This Agreement binds the Settlor, her assigns, beneficiaries and personal representative, and binds the Trustee and her successors and assigns. - 5 - ARTICLE T'VELVE - COPIES Anyone may rely on a copy of this Agreement that a notary public celiifies is a true copy of the original.
