JOHN DITULLIO DEFENDANT IN THE COURT OF COMMON PLEAS OF CUMBERLAND COUNTY, PENNSYLVANIA No.. 69- 45f : CIVIL ACTION - LAW AND EQUITY COMPLAINT AND NOW COMES, Broco Supply, Inc., by and through its attorneys the Law Offices of Leslie David Jacobson, and hereby files the following Complaint, and in support thereof states as follows: PARTIES I. Plaintiff, Broco Supply, Inc. (hereinafter `Broco"), is a Pennsylvania Corporation with a business address at 5267 Simpson Ferry Road, Mechanicsburg, Pennsylvania 17050. 2. Defendant, John Ditullio (hereinafter "Defendant"), is an adult individual with an address at 101 Linden Street, Wehonah, New Jersey 08090. FACTS 3. Broco and Defendant entered into an oral contract wherein Broco agreed to supply Defendant with certain decking materials and accessories. 4. Broco performed its obligation under the oral agreement by supplying decking materials and accessories to Defendant. A true and correct copy of the Bill of Lading signed by Defendant is attached hereto, made part hereof, and incorporated by reference as "Exhibit I". 3 5. Pursuant to the terms of the oral agreement, Defendant agreed to tender payment to compensate Broco for the decking materials accessories purchased by Defendant. 6. Broco has sent numerous invoices to Defendant requesting payment on the balance of $20,033.60 now due and owing. True and correct copies of the invoices sent to the Defendant are attached hereto, made part hereof, and incorporated by reference as "Exhibit 2". 7. Despite numerous demands Defendant has not paid its obligation due and owing under the contract. 8. The outstanding balance of $20,033.60 remains due and owing to Broco. COUNT I - BREACH OF CONTRACT (ORAL) 9. Broco incorporates paragraphs 1 through 8 above as though fully set forth at length. 10. Broco and Defendant entered into an oral agreement whereby the parties agreed that Broco would supply decking materials and accessories in exchange for payment from the Defendant for the decking materials and accessories in the amount of $20,033.60. 11. The price paid by the Defendant for the decking materials and accessories represent the fair and reasonable price for the decking materials and accessories delivered. 12. Broco has demanded payment from Defendant and Defendant has refused to tender the balance due and owing to Broco in the amount of $20,033.60. 13. Broco has performed its obligation under the contract by delivering the decking materials and accessories to the Defendant, in the bargained for condition. 14. Defendant has breached his obligation under the contract by failing to tender payment to Broco in the amount of $20,033.60. 15. As a direct and proximate result of Defendant's breach, Broco has been damaged in the amount of $20,033.60, representing the amount due and owing under the agreement. 4 16. Broco has satisfied all of its contractual obligations satisfying all conditions precedent for bringing a breach of contract action. WHEREFORE, Broco Supply, Inc., prays this honorable court to enter judgment against the Defendant in the amount of $20,033.60, costs, and for any other relief deemed just and appropriate. COUNT II - UNJUST ENRICHMENT 17. Broco incorporates paragraphs 1 through 16 above as though fully set forth at length. 18. Broco conferred a benefit on Defendant by supplying Defendant decking materials and accessories. 19. Defendant accepted the decking materials and accessories and is believed to have used the materials for his personal or business use. See "Exhibit P. 20. To its detriment, Broco relied on Defendant's promise that he would tender payment on the invoices provided to him for the decking materials and accessories in the amount of $20,033.60. 21. It is inequitable for Defendant to retain the benefit of decking materials and accessones as provided by Broco without tendering payment for the full value of the decking materials and accessories purchased. 22. As a direct and proximate result of Broco's reliance on Defendant's promise to tender payment, Broco has been damaged in the amount of $20,033.60. 23. Defendant will be unjustly enriched if he is not required to tender payment in the amount of $20,033.60 for the materials due and owing to Broco. 5 WHEREFORE, Broco Supply, Inc. prays this honorable court to enter judgment against the Defendant in the amount of $20,033.60 plus costs of these proceedings, and for any other relief deemed just and appropriate.
